The “$50 billion” headline most likely refers to Elon Musk’s 2018 Tesla performance award and the shareholder vote over it in June 2024. Shareholders approved ratifying the award, but that vote did not end the Delaware court case. Tesla’s 2026 filing says the Delaware Supreme Court reinstated the award in December 2025, and an implementing order followed in March 2026. A separate interim award was then forfeited; a different, long-term 2025 award remains governed by its own milestones.
What does “$50 billion” mean?
It is rounded media shorthand for the potential value of the 2018 award, not a fixed cash payment Tesla made to Musk. Coverage at the time also described the package as roughly $46 billion. Those figures do not change the award’s terms: the value of an equity-based award depends on the value of the underlying shares and the award’s terms at a given time.
The award was performance-based. Tesla’s 2018 announcement described 12 tranches, each tied to market-capitalization and operating milestones. The first market-capitalization threshold was $100 billion; each of the remaining 11 required another $50 billion increase. As Tesla put it in its 2018 announcement, “For each of the remaining 11 milestones, Tesla’s market cap must continue to increase in additional $50 billion increments.”
That design matters: the headline amount is not the same thing as a guaranteed salary, a cash payout, or the amount of value the award independently can be shown to have caused.

Did shareholders approve the 2018 award?
Yes. Tesla announced on June 13, 2024, that shareholders had approved ratification. But shareholder approval and legal enforceability are separate questions. The Delaware litigation continued after the vote, and Tesla’s 2026 filing describes the Supreme Court’s later reinstatement and the March 2026 implementing order.
So the vote was not the final word on whether the 2018 award stood. The later court decisions and the board’s subsequent action are essential to understanding its status.

Tesla’s 2026 filing describes the 2025 CEO Performance Award as covering 423,743,904 restricted shares across 12 tranches. Each tranche requires a market-capitalization milestone, specified operating milestones, and continuing service. The final tranche has a market-capitalization threshold of $8.5 trillion; Tesla describes that as an award milestone, not a forecast. The final two tranches also have an additional succession-framework condition.
Tesla’s filing says shareholders approved this award on November 6, 2025, after it was granted on September 3, 2025. The reported status is that none of its tranches had become earned by the filing date. These terms and status are the company’s disclosures; they do not mean the award has been paid or that its milestones are guaranteed to be met.

What does Tesla say the 2018 award accomplished?
In its 2025 proxy, Tesla said the 2018 award had generated $735 billion of value under the company’s calculation. That is Tesla’s own attribution, not an independently established estimate of how much of Tesla’s performance was caused by the compensation incentives. Tesla’s proxy also advanced arguments about retention, incentives, and shareholder value; those are the company’s rationale, not proof of a causal effect.
