As of 8 October 2026, Telenor Pakistan and Ufone are no longer separate mobile operators under the same parent: PTCL completed its acquisition of Telenor Pakistan and Orion Towers on 31 December 2025, then Telenor Pakistan was legally amalgamated into PTML, the company behind Ufone, in July 2026. The combined platform entered that integration with 71.5 million reported subscriptions between the two operators at the end of 2025, close to Jazz’s 73.9 million on the same dated basis. That is a measure of reported subscriptions before the merger—not a current count of unique or active users, nor proof that customers have already gained better coverage, service or prices.
What changed, and when?
The story is now about PTCL’s combined mobile platform, rather than two independent operators competing under separate ownership. The change happened in two stages: PTCL first acquired the companies, and the mobile operation was later amalgamated into PTML.
- 31 December 2025: PTCL completed its acquisition of 100% of Telenor Pakistan and Orion Towers. PTCL and Telenor Group had signed the share purchase agreement in 2023. Telenor Group’s completion announcement said Telenor Pakistan had served more than 40 million customers during its 20-year presence.
- July 2026: After regulatory and court approvals, Telenor Pakistan was amalgamated into PTML, the company behind Ufone. The Associated Press of Pakistan reported on 1 July 2026 that the amalgamation took effect in July and Telenor Pakistan ceased to exist as a separate legal entity.
Those dates matter: the acquisition transferred ownership at the end of 2025; the legal combination of the mobile businesses came later. PTCL’s 2025 annual report records PTA approval of the proposed amalgamation after the reporting date, while the July 2026 report describes its completion.
How large was the combined platform compared with other operators?
PTCL’s Annual Report 2025 gives these operator subscriber counts at 31 December 2025, before the July amalgamation. The 71.5 million figure for Telenor Pakistan and Ufone is their arithmetic sum on that same reporting basis.

These are operator-reported subscriptions, not a deduplicated count of individual people, active users, market share, or a post-merger customer total. The combined pre-merger count was close to Jazz’s reported count, but it does not establish equivalent revenue, usage, loyalty, coverage or profitability. No post-amalgamation market-share or unique-active-user measure is established by the cited figures.
What assets and opportunities does PTCL say the combination brings?
PTCL’s acquisition brought Telenor Pakistan and Orion Towers into a group that already included PTML/Ufone. In its Q1 2026 report, PTCL described a wider customer footprint, infrastructure utilization and spectrum as opportunities from integration. It said the group secured spectrum in the 3.5 GHz and 2.6 GHz bands in the 2026 auction and intended to use it across the combined footprint.

That supports a strategic case for adding capacity and pursuing network expansion; it does not demonstrate nationwide 5G availability, completed deployment, or a particular level of coverage or service quality. Improved coverage, reliability, efficiency and a faster 5G rollout should be treated as objectives or management expectations unless independent or regulatory evidence confirms delivery.
What do the financial results say—and not say?
PTCL reported 58% year-on-year growth in consolidated revenue and a PKR 3.1 billion net profit for Q1 2026, compared with a PKR 4 billion net loss in Q1 of the previous year. PTCL said the change reflected the inclusion of Telenor Pakistan’s results alongside other group factors, including recovery at UBank and improved Ufone performance.

These are group-level reported results during integration, not an isolated measure of Telenor Pakistan’s contribution or evidence that merger synergies caused the full improvement. They also do not, by themselves, show how the combined mobile operation is performing relative to Jazz or Zong.
What safeguards apply to competition and consumer outcomes?
The Competition Commission of Pakistan (CCP) conditionally approved the acquisition on 1 October 2025. Its conditions set out tests for governance, access and consumer benefit; they are safeguards and compliance requirements, not confirmation that customers have already benefited.

- Separate governance: Separate boards and independent management structures are intended to limit conflicts arising from the combination.
- Independent monitoring: A third-party reviewer is to monitor compliance and report quarterly for five years.
- Fair internal dealings: Related-party transactions must be handled at arm’s length, with controls against cross-subsidization.
- Access for other operators: Infrastructure and interconnection access must be nondiscriminatory.
- Pricing oversight: PTA oversight applies to specified wholesale pricing, and the conditions restrict predatory retail pricing.
- Consumer pass-through: The companies must demonstrate that efficiencies reach consumers through service, pricing and infrastructure investment.
For customers and competitors, the practical questions are whether the combined operator delivers broader usable coverage, reliable service, meaningful capacity and competitive prices—and whether rivals retain fair access to relevant wholesale facilities. The available post-amalgamation reporting does not establish independent measurements of coverage, customer experience or prices, or findings from CCP monitoring.

The dated subscriber figures show the scale the two operators brought together, while PTCL’s spectrum disclosures show one part of its stated expansion strategy. Neither is enough to conclude that the combined platform has overtaken competitors in overall market strength. A fuller comparison with Jazz and Zong would need comparable evidence on several fronts:

PTCL President and CEO Hatem Bamatraf described the ambition as bringing customers “cutting-edge products and services that set a new benchmark for digital experience in Pakistan.” That is a statement of intent. Whether it becomes a competitive advantage will depend on what customers experience and what regulators and independent measures can verify.
