TELUS has completed the sale of a 49.9% interest in Terrion, a company holding about 3,000 wireless tower sites, to La Caisse for approximately C$1.26 billion. TELUS kept a 50.1% majority stake, the active parts of its wireless network and control of security systems. The transaction was announced as a way to accelerate debt reduction while TELUS continued using the towers under a lease.
What TELUS sold—and what it kept
The minority stake is in Terrion LP and Terrion GP Inc., not in TELUS itself and not in 49.9% of all TELUS wireless infrastructure. Terrion was created to hold passive macro wireless infrastructure carved out of TELUS: cell towers and related sites. TELUS described the portfolio as roughly 3,000 locations across British Columbia, Alberta, Ontario and Quebec.

How much La Caisse paid
La Caisse paid approximately C$1.26 billion for its 49.9% equity interest, according to TELUS’s transaction announcements. TELUS said the deal valued Terrion at more than C$2.5 billion. These are company-reported transaction figures, not an independent valuation of the towers.
When the transaction closed
TELUS announced completion on September 11, 2025. Its 2025 annual filing records September 10, 2025, as the closing date, a one-day difference in the company’s published materials. TELUS first announced a definitive agreement on August 1, 2025; that announcement described a proposed transaction, while the later release and filing confirm it was completed.

Why TELUS said it made the deal
TELUS said it intended to use the proceeds to reduce net debt by approximately C$1.26 billion. The company estimated that this would lower its then-current net-debt-to-EBITDA ratio by about 0.17x and accelerate progress toward its target ratio of 3.0x by 2027. Those figures describe TELUS’s expectations at announcement, not a guarantee of realized debt or leverage outcomes.
For TELUS, the structure combines a large cash inflow with continued majority ownership, consolidation of Terrion and a long-term lease for tower capacity. La Caisse became a substantial minority investor rather than acquiring control of the tower company.

Terrion’s intended role in Canada’s wireless market
TELUS and La Caisse described Terrion as a dedicated tower operator that would offer wholesale access and co-location to other wireless carriers. The stated plan included constructing or acquiring towers and attracting additional mobile network operators as customers.
TELUS CEO Darren Entwistle called Terrion “Canada’s largest dedicated wireless tower operator,” citing its 3,000 sites. La Caisse’s infrastructure chief Emmanuel Jaclot said the goal was to expand the asset base and welcome additional carrier customers. These statements describe the companies’ positioning and plans; they do not establish later tower growth, new carrier contracts or improved service.

What the transaction does—and does not—mean for customers
The sale changes ownership of passive tower assets, not control of TELUS’s active network components. The companies presented broader access to tower sites as a potential way to support connectivity and a more collaborative wireless market. The transaction materials do not establish that customers will see lower prices, better coverage or faster service as a result.
