Telenor Group reported receiving NOK 0.9 billion in cash flow from Telenor Pakistan between announcing the sale in December 2023 and completing it on 31 December 2025. The company has not itemized that aggregate or explicitly reconciled it with other transaction-related figures in its 2025 financial report. It should not be treated as the sale price, a confirmed dividend, or a specific debt repayment.
What does the NOK 0.9 billion payment from Telenor Pakistan mean?
In its completion announcement, Telenor Group described NOK 0.9 billion as cash flow received from Telenor Pakistan since the sale was announced. The announcement does not break down the amount by transaction, payment type, or date. That means the figure is best understood as a reported aggregate cash-flow amount over that period—not as a separately identified purchase-price payment or a named dividend.
Telenor’s Q4 and full-year 2025 report gives two other transaction-related figures, but does not explicitly reconcile either with the NOK 0.9 billion aggregate:
- NOK 1,582 million net of tax recorded for the sale of shares.
- NOK 2,335 million received by Telenor Pakistan from the buyer as a shareholder loan to settle Telenor Pakistan’s internal debt to Telenor ASA.
These figures have distinct descriptions in the financial report. Without an explicit reconciliation from Telenor, they should not be added to the NOK 0.9 billion or assumed to explain it. Telenor Group’s Q4 and full-year 2025 report and its completion announcement are the primary sources for these reported amounts.

Why the sale was valued at NOK 5.3–5.4 billion
When Telenor announced the deal on 14 December 2023, it described a NOK 5.3 billion cash-and-debt-free valuation. The announcement said that valuation included repayment of NOK 3.5 billion in intercompany loans and a NOK 1.8 billion reduction in interest-bearing liabilities, including leases. These components explain the valuation description; they are not the NOK 0.9 billion cash-flow figure. Telenor’s 2023 transaction announcement gives the original terms.
At closing, Telenor stated a NOK 5.4 billion valuation using September currency rates and noted that final year-end adjustments remained. The difference between the announcement and closing figures should therefore be read alongside their stated exchange-rate basis and adjustment caveat, not as evidence that the NOK 0.9 billion was the sale consideration. Telenor’s completion release reports the closing terms.

When did PTCL complete its acquisition of Telenor Pakistan?
PTCL completed the acquisition on 31 December 2025. Telenor had announced on 14 December 2023 that it agreed to sell its Pakistan telecom operations to PTCL, which is part of e&. The agreement covered Telenor Pakistan and Orion Towers.
Pakistan’s Competition Commission announced approval on 1 October 2025, subject to conditions. Telenor’s Q3 2025 report said the company was seeking Pakistan Telecommunication Authority approval; the subsequent completion announcement confirms the transaction closed at year end. PTCL’s stock-exchange notice identifies the share purchase agreement as dated 14 August 2024 and covering the entire issued share capital of both companies. What the story does—and does not—say about Telenor’s Pakistan business
Telenor Group’s company profile reported 43,155,000 subscriptions and NOK 4,411 million in revenue for Telenor Pakistan in 2024. Those are historical, pre-sale operating figures, not current post-acquisition metrics. They provide context for the business involved but do not explain the NOK 0.9 billion cash flow. Telenor’s company profile lists the 2024 figures.
Telenor Group CEO Benedicte Schilbred Fasmer said the sale “will contribute to consolidation and innovation in the Pakistani telecom industry and will reduce Telenor’s Asian footprint.” That is the company’s stated strategic rationale, rather than a financial breakdown of the cash-flow aggregate. The completion notice distributed through Oslo Børs Newspoint on 31 December 2025 contains the statement.
