What Reuters reported in July 2024
Reuters reported in July 2024 that Smartsheet had attracted interest from private-equity firms and had engaged Qatalyst Partners to review approaches. At that point, the company had not decided whether to pursue a sale. Reuters attributed the account to people familiar with the matter who requested anonymity; Smartsheet and Qatalyst did not respond to Reuters’ requests for comment at the time. How the reported interest turned into a deal
The later transaction was not simply the July report becoming a finalized offer. SEC-filed transaction materials document a process that included discussions with other counterparties, including some that expressed interest after the media report. On July 8, 2024, the Blackstone-Vista consortium submitted a non-binding proposal offering $56.50 per share in cash, subject to due diligence and negotiation of a definitive agreement. Smartsheet’s definitive proxy statement describes the board’s process; the filed transaction agreement materials provide details of the proposal and agreement.
Smartsheet announced an agreement with funds managed by Blackstone and Vista Equity Partners in September 2024. CEO Mark Mader described the company’s deal-era outlook: “Our next phase of growth and customer success is underway, and we look forward to partnering with Blackstone and Vista Equity Partners to accelerate our vision of modernizing work management for enterprises, globally.” Smartsheet’s transaction announcement presents this as the company’s perspective, not an independent assessment of the deal.

What stockholders received and what happened to the listing
When the acquisition closed on January 22, 2025, Smartsheet stated that the transaction’s approximate value was $8.4 billion and stockholders were entitled to $56.50 in cash per share. Smartsheet’s financial context at the time
Reuters reported that Smartsheet generated $904 million in revenue for the fiscal year ending January 31, 2024, compared with $714 million in the prior fiscal year. It also reported that the company narrowed its pre-tax loss from $213 million to $96 million over those periods. These are historical fiscal-year figures cited in the July 2024 account, not current financial results or a standalone explanation of why the acquisition occurred. Reuters
