India’s Securities and Exchange Board of India (SEBI) is the statutory regulator for the securities market. Its legal mandate has three parts: protect investors, promote market development, and regulate the market. That means its role extends beyond investigating misconduct to setting and administering rules for exchanges, intermediaries, funds, and other market activity.
What is SEBI, and when was it established?
SEBI is a statutory body whose authority is grounded primarily in the Securities and Exchange Board of India Act, 1992. The Act’s preamble describes its purpose as protecting investors in securities and promoting the development of, and regulating, the securities market. Section 11(1) makes those three aims the Board’s duty, subject to the Act. SEBI’s official history distinguishes the institution’s origins from its statutory status: SEBI says it was constituted as a non-statutory body on April 12, 1988, while the Act’s provisions came into force on January 30, 1992, and the Board was established as a statutory body under that Act.
What does SEBI do?
Section 11(2) of the SEBI Act lists examples of measures the Board may take. They fall under three connected responsibilities:
Protect investors
SEBI’s investor-protection role includes promoting investor education and taking action against insider trading and fraudulent or unfair trade practices. The Act also authorizes measures such as calling for information and conducting inspections, inquiries, and audits. These tools support oversight and enforcement; they do not mean that every investor loss is automatically covered or reimbursed by SEBI.

Promote market development
SEBI’s mandate is not limited to policing violations. The Act also directs it to promote the development of the securities market. Investor education is one example of a measure that can support this goal while also serving investor protection.
Regulate the market
SEBI’s regulatory reach includes stock exchanges and other securities markets, as well as market intermediaries and funds that are subject to registration and regulation. The Act also covers substantial acquisition of shares and takeovers. These responsibilities place SEBI across the market’s institutions and participants, not only individual trades.

How does SEBI regulate and enforce the rules?
SEBI’s functions broadly include making or administering regulatory requirements, overseeing market participants, investigating possible violations, and deciding matters through applicable processes. A SEBI-hosted judgment excerpt describes delegated legislative, administrative, and adjudicatory functions. These categories are related, but a suspected breach does not itself establish liability: powers and remedies depend on the governing statute and procedure.
SEBI’s official regulatory overview summarizes tools that can include monetary penalties and suspension or cancellation of an intermediary’s registration. Which consequence is available or appropriate depends on the case and the applicable legal process; these are not automatic outcomes for every violation.

Is the SEBI Act the only law governing India’s securities market?
No. The SEBI Act is central to explaining SEBI’s mandate, but the legal framework also includes the Securities Contracts (Regulation) Act, 1956, and the Depositories Act, 1996. The relevant law depends on the activity and issue involved, so it would be inaccurate to treat the SEBI Act as the only statute relevant to securities markets.

SEBI regulates market structures and participants and has powers to address conduct within its statutory remit. Its investor-protection mandate is not a guarantee that an investment will be profitable, that an investor will avoid losses, or that every dispute will be resolved in the investor’s favor.
