What Amphenol’s September 2026 filing says
Amphenol filed a Form 8-K with the U.S. Securities and Exchange Commission on September 4, 2026, about an event dated September 2. The filing says the company’s previously announced two-for-one stock split took effect on September 2. It also adjusted the dividend scheduled for October 14, 2026, to $0.125 per share for shareholders of record on September 22. Read the Form 8-K.
The filing identifies Amphenol Class A common stock under ticker APH and lists senior notes. Those securities details do not show that KKR sold shares. The filing index on Amphenol’s investor-relations site includes other recent SEC filings, but the index alone does not verify the claimed reduction.
What is—and is not—verified about KKR’s ownership
The reviewed Amphenol filing does not say that KKR held 75%, sold shares, or retained 49%. It also does not identify a sale date, share count, price, buyer, transaction structure, or rationale. Those figures and details should therefore be treated as unverified, not as established facts.

A KKR investor-relations filings search result lists filings through October 2, 2026, including a Form 4, but that listing by itself does not establish a sale of Amphenol shares or KKR’s remaining stake. View KKR’s SEC filings page.
What the claim would mean for investors
Without a filing or company statement that confirms the transaction and its terms, it is not possible to assess what a reduction would mean for KKR’s voting power, Amphenol’s ownership structure, or the market price. Nor is there a verified basis to explain why KKR might have sold. Any interpretation would depend on details such as the class and number of shares sold, beneficial ownership afterward, voting rights, sale method, price compared with the prevailing market price, timing, and any stated rationale.

Investors trying to verify an ownership change should look for a disclosure that directly identifies the shares and resulting beneficial ownership, rather than infer a transaction from a company filing about a stock split or from a filings index. Until such evidence is available, the 75%-to-49% claim remains unconfirmed.
