A website may be an online asset, but buying the business behind it calls for the same financial and contractual diligence as any other acquisition.
1. Verify the earnings, not just the seller’s claims
Ask for historical financial statements and tax returns, then compare reported revenue and expenses across those records. The SCORE checklist recommends checking whether revenue is rising or declining and reviewing financial statements and tax returns. Treat statements about profit or growth as claims until documents support them.
- Request records covering multiple periods so you can see changes over time.
- Compare reported income with the supporting financial and tax records, and ask about discrepancies.
- Have an accountant review cash flow and relevant financial ratios before you rely on the seller’s figures.
SCORE’s questions for buyers are a useful starting framework; the checklist was published June 6, 2019, so use it as a diligence aid rather than as evidence of current market conditions.
2. Understand how the website earns revenue
Find out which channels generate sales and what marketing methods support them. Ask how sales vary by season, what has driven growth or decline, and whether increases came from broader market growth, pricing changes, or another cause. A forecast from the seller is not proof that past performance will continue.

- Map the sources of revenue and the methods used to reach customers.
- Look for seasonality and changes in sales over time.
- Ask about the business’s position in its market and the reasons behind significant revenue changes.
These questions follow SCORE’s checklist, which covers sales trends, market position, marketing, seasonality, and the causes of sales changes. Apply them to the business’s documented history rather than assuming that a recent increase will persist.
3. Compare the asking price with value and total cost
The asking price is only one part of the investment. The Small Business Administration (SBA) describes valuation approaches based on cash flow, tangible assets, or specific intangible assets. Which approach fits depends on the business and what is being acquired; there is no single price multiple established for every website.
Estimate the costs of buying and operating the business, then consider whether the expected potential profit justifies the total investment. The SBA’s guidance on buying an existing business recommends considering valuation, total costs, and potential profit, and suggests seeking professional help where appropriate.
4. Confirm exactly which assets and rights transfer
Get a clear written inventory of what is included in the sale. A website business may involve a domain, website, software, brand, or other intellectual property, and ownership of the business does not by itself establish that every related asset or right is included.

- Identify the domain, website, software, brand, and other relevant intellectual property.
- Confirm which assets and ownership rights the transaction transfers.
- Ask how any rights that are not owned outright will be handled in the sale documents.
The SBA’s overview of business assets identifies websites, domain names, and software among intangible or intellectual-property assets. SCORE’s checklist also prompts buyers to ask whether intellectual-property ownership rights will transfer.
5. Investigate the business, its market, and its obligations
Ask why the owner is selling and assess the business’s competitive position, customer-facing channels, contracts, cash flow, and other obligations. These details help you understand what you would be taking on alongside the website and its revenue. An unexplained gap in the seller’s account is a question to resolve before closing, not a reason to assume the best.
Rank #4
The SBA recommends reviewing the broader business landscape and conducting a thorough investigation. SCORE’s checklist adds questions about competition, sales, and marketing. Use the answers to identify issues that may affect value, ongoing costs, or your ability to operate the business.

An accountant can help assess financial records and costs; an attorney can review acquisition documents and the rights they convey. The SBA recommends considering both kinds of professional support when evaluating a purchase. Their review can help you understand what the documents and numbers establish before you commit.

Also clarify who will transfer access, explain operating processes, and share the knowledge needed to run the business. Agree on what the seller will provide during the transition and record those commitments in the transaction documents. The specific handover will depend on the business and deal; no standard website-specific transition procedure is established by the guidance cited here.
How to compare websites you are considering
Use the same questions for every target so that a persuasive sales pitch or a low asking price does not distract from weaker fundamentals. Compare verified earnings and revenue stability, revenue channels and customer concentration, price against a suitable valuation approach, included assets and transferable rights, contractual obligations, and fit with your skills, budget, and intended role. The SBA also advises buyers to quantify their investment, consider their skills and lifestyle, and review the broader business landscape.
For general acquisition guidance, see the SBA’s page on buying an existing business, its overview of business assets, and SCORE’s buyer checklist. These are general small-business resources, not a complete technical diligence checklist for websites.
