What did the lawmakers ask the FTC to investigate?
Engadget reported on January 24, 2026, that 46 House Democrats associated with the Congressional Labor Caucus urged the FTC to examine labor-market consequences of EA’s proposed acquisition. The report quoted their request for an investigation into “EA’s existing wage-setting power, the likelihood of post-transaction layoffs, the degree of labor-market concentration in relevant geographic and occupational markets, and the role of cross-ownership in shaping labor outcomes.” The full letter was linked from the news story but was not accessible for independent review, so the reported count and wording are attributable to that account. Those are issues the lawmakers wanted the commission to examine—not FTC findings, a court ruling, or proof that the transaction had harmed workers. The report did not provide a quantified estimate of job losses or wage effects.
The concerns, in plain terms
- Wage-setting power: whether the transaction could affect EA’s ability to set compensation or workers’ bargaining position.
- Potential layoffs: whether combining ownership could lead to job cuts after a transaction.
- Concentration: whether labor-market effects differ by occupation and geography, rather than treating all game-industry workers as one market.

What is the proposed EA transaction?
EA announced on September 29, 2025, that it had agreed to be acquired by a consortium comprising the Public Investment Fund (PIF), Silver Lake and Affinity Partners. For personal-finance readers, the $210-per-share figure describes the announced cash consideration for stockholders; it is not a statement about employee compensation or the value of any particular shareholder’s holdings. The enterprise value and per-share offer are different measures, so they should not be treated as interchangeable.
What is the transaction’s latest reported status?
In an official filing dated July 30, 2026, EA said stockholders had approved the merger on December 22, 2025, and that all required regulatory approvals had been obtained. EA then expected the transaction to close around the close of trading on August 4, 2026. That filing gives a forecast, not confirmation of completion; the available official record does not establish whether closing occurred after that date or what the resulting ownership status is. The January 2026 news report’s then-current expectation of a 2027 closing has since been superseded by the later filing’s August 2026 forecast. Neither the forecast nor the approval milestones should be presented as proof that the acquisition closed.

The intervention was a request for scrutiny of possible labor effects. It is not evidence that the FTC concluded the acquisition would reduce competition for workers, that layoffs had occurred because of the deal, or that the transaction’s terms changed. No employment-impact estimate or post-acquisition layoff figure was identified in the cited reporting.

The distinction matters: a proposed acquisition can raise questions for regulators while remaining subject to approvals and closing conditions.
