23andMe’s reported public-market value fell dramatically, but “lost billions” describes a collapse in valuation—not billions of dollars of proven cash losses. The company filed for Chapter 11 bankruptcy in March 2025, and TTAM Research Institute bought substantially all of the debtors’ assets for $305 million in July 2025. That asset-sale price is not the same thing as the value of 23andMe’s former stock, and it does not tell former shareholders what, if anything, they will recover.
What happened to 23andMe?
23andMe and its subsidiaries filed voluntary Chapter 11 petitions on March 23, 2025, in the U.S. Bankruptcy Court for the Eastern District of Missouri. Chapter 11 is a court-supervised process for reorganizing or selling a business and dealing with creditor claims; it does not, by itself, answer what common shareholders will ultimately receive.
On July 14, 2025, TTAM Research Institute acquired substantially all of the debtors’ assets for a stated cash purchase price of $305 million, according to 23andMe’s 2025 quarterly filing with the SEC. The filing says the debtors received $302.5 million at closing. The remaining $2.5 million was tied to the institute’s role as stalking-horse sponsor for a plan to acquire the telehealth business.
The sale changed which business and assets were held by the bankruptcy seller. The filing says the Personal Genome Service and research services were no longer included in the seller’s operations after the sale. Lemonaid Health, the telehealth business, continued temporarily while the seller planned a sale and wind-down. These are distinct pieces of the bankruptcy process, not evidence that the former public company continued unchanged.

How large was the valuation decline?
Two figures help show the scale, but they measure different things. Axios reported that 23andMe briefly reached roughly $6 billion in market capitalization after going public in 2021, following a reported $3.5 billion SPAC valuation. Separately, the company’s SEC-filed 2025 annual report gives a non-affiliate market value of voting stock of approximately $120.3 million as of September 30, 2024. That figure used a $6.95 share price and excluded shares held by executive officers and directors.
The September 2024 non-affiliate figure is not the company’s total market capitalization, and neither it nor the 2021 peak is directly comparable to the $305 million paid for substantially all debtor assets in 2025. Market capitalization values publicly traded equity at a particular time; the bankruptcy transaction was a purchase of assets under different circumstances, with creditor claims and wind-down costs to consider. A gross purchase price does not establish how much money remains for shareholders.

The comparison supports saying that 23andMe’s public-market valuation collapsed from its reported peak. It does not support saying the company lost billions in cash, or that its assets, enterprise value and shareholders’ potential recovery were all worth the same amount.
Are 23andMe shares worthless?
The reviewed filings establish that Nasdaq suspended trading in 23andMe’s Class A common stock on March 31, 2025, and that a Form 25 to remove the shares from Nasdaq was filed on June 6, 2025. They do not establish a final distribution or recovery for former common shareholders. It is therefore more accurate to say that the shares stopped trading on Nasdaq and that the available information does not settle their ultimate recovery than to state that they are literally worthless.

In bankruptcy, asset-sale proceeds are subject to the claims and expenses of the estate. The $305 million sale price alone cannot tell an investor whether anything will be left for common stockholders. A definitive answer would require an authoritative update on the bankruptcy estate’s final distributions; the figures above do not provide one.
What does the bankruptcy mean for customers’ genetic data?
The asset sale and the company’s corporate wind-down raised questions about how sensitive genetic information would be handled. In a July 14, 2026 announcement, the Colorado Attorney General reported that the 2023 breach compromised the genetic data of 6.9 million customers worldwide. The state coalition said the sale terms include enhanced security requirements, appropriate risk analysis, a privacy advisory board, comprehensive commitments to comply with privacy laws, and continued deletion rights.

Those commitments describe terms and safeguards attributed to the state coalition; they do not establish a particular customer’s current consent, account settings or deletion status. Customers concerned about their own information should check the privacy and account controls available through the service or successor organization and review any notices sent to them. A company-wide commitment is not the same as proof that an individual account has been deleted.
What payments were announced?
The Colorado Attorney General said the states would receive an $18 million payment from available bankruptcy funds. The state also described a separate $46.75 million class-action settlement intended to provide relief to eligible U.S. consumers who submitted claims by February 17, 2026. These are separate settlements with different recipients and conditions; the state announcement does not say that every affected customer automatically receives money.

What did state officials say about the breach?
Maryland’s Attorney General’s account of the multistate investigation described alleged or identified security shortcomings, including missing safeguards against credential stuffing, weak rate limiting or intrusion prevention, inadequate logging and monitoring, insufficient investigation of unusual login patterns, failure to remediate known vulnerabilities, and design-review and testing shortcomings. Those points are the state’s account of the investigation, not independently verified technical findings presented here.
In March 2025, FTC Chairman Andrew N. Ferguson said, “Consumers should be able to trust that companies will keep their promises, including when it comes to handling of sensitive information.” The statement underscores why the bankruptcy raised more than a financial question: genetic data is sensitive, and customers need clarity about who controls it and what privacy protections apply.

The answer depends on what “23andMe” means. The former public company entered Chapter 11 and sold substantially all debtor assets. Its Personal Genome Service and research services were part of the acquired business, while the bankruptcy seller’s remaining corporate estate was winding down. TTAM Research Institute was the buyer; the July 2026 state announcement refers to the successor institute and its privacy-related sale commitments.
That history should not be collapsed into a simple claim that the original public company is still operating as before, or that every service and corporate entity ended on the same date. A bankruptcy asset sale transfers specified assets; it is not the same as a continuation of the former listed company or a guarantee that every product, service, account term or customer relationship remains unchanged.
