23andMe and certain subsidiaries filed for Chapter 11 bankruptcy on March 23, 2025, seeking a court-supervised sale of substantially all their assets. Anne Wojcicki resigned as CEO that day. The process ended with TTAM Research Institute acquiring substantially all debtor assets for $305 million in cash on July 14, 2025—not with the initial auction result naming Regeneron as the successful bidder.
What 23andMe’s Chapter 11 filing meant
Chapter 11 placed 23andMe’s restructuring and proposed asset sale under the U.S. Bankruptcy Court for the Eastern District of Missouri. The company described the filing as a way to facilitate a court-supervised sale of substantially all its assets. It was not simply an announcement that the consumer service was shutting down.
Board chair Mark Jensen called the court-supervised process “the best path forward,” according to the Associated Press’s coverage at the time of the filing. That was the board chair’s characterization of the decision, not a guarantee about the company’s future or the value of its assets.
When Anne Wojcicki left the CEO role
Wojcicki resigned as CEO effective immediately on March 23, 2025, in connection with the bankruptcy filing. Her departure from the CEO position did not mean she had no further connection to the company: she later led TTAM, the organization that acquired substantially all of 23andMe’s debtor assets.

How the sale moved from Regeneron to TTAM
The auction outcome changed after the initial round. Regeneron was named the successful bidder at the first auction, with TTAM as the backup bidder. Following additional bidding, 23andMe announced a definitive $305 million agreement with TTAM. TTAM completed the transaction on July 14, 2025, according to the SEC filing documenting the closing.

The $305 million figure is the purchase price for the assets, not a stated payout to 23andMe shareholders. The cited transaction account does not establish what, if anything, individual shareholders will recover.

Which parts of the business were involved
The SEC describes the Personal Genome Service as 23andMe’s direct-to-consumer genetic testing, analytics, and genomic sequencing business. TTAM said the Personal Genome Service and Research Services would continue under its ownership. The sale agreement announcement also included Lemonaid Health among the businesses in the proposed transaction.
That distinction matters: a bankruptcy sale of business assets is not the same as a sale of a customer’s personal account or an individual genetic profile. The consumer testing and research operations were among the assets addressed in the transaction.

What the filing and sale mean for customers’ genetic data
There is no basis in the cited statements to give every 23andMe customer a blanket assurance that their genetic data is “safe.” When the bankruptcy filing was announced, 23andMe said there would be no immediate change to customer data management or access. TTAM later committed to honor existing privacy policies and add consumer protections. After closing, TTAM said customers would have transparency and choice, including the option to change their research-participation decision.
Those are statements and commitments by the company and buyer; they are not an independent audit proving how data was secured or handled in every instance after the sale. The completed acquisition establishes a change in ownership of substantially all debtor assets, while the statements describe the parties’ stated approach to customer privacy.

The breach settlement administrator says the 2023 cyberattack involved personal information concerning approximately 6.4 million U.S. residents. That is the administrator’s U.S.-specific figure; it should not be read as an estimate of all affected customers worldwide or as proof that every affected person’s genetic sequence was exposed. The administrator identifies 23andMe, Inc. as now known as Chrome and records that the TTAM asset sale closed on July 14, 2025.
For an account holder, the useful distinction is between what the parties promised and what has been independently verified. Review the company’s current privacy information and account choices directly before deciding whether to participate in research or retain an account; settings and policies can change.
