Zurich Completes Beazley Acquisition; CEO Adrian Cox to Leave

Zurich’s Beazley acquisition is complete. The offer was worth £13.35 per share, and CEO Adrian Cox will leave as Zurich’s new leadership takes shape.

Zurich Insurance Group announced on 2 October 2026 that it had completed its acquisition of Beazley plc. The agreed offer was worth £13.35 per Beazley share, comprising £13.10 in cash and a permitted £0.25 dividend. Beazley CEO Adrian Cox is leaving as the business enters its next phase.

Has Zurich completed the Beazley takeover?

Yes. Zurich announced completion on 2 October 2026. Under the transaction timetable, the scheme became effective on 1 October; Beazley’s listing and trading were cancelled on 2 October. Zurich’s completion announcement and transaction page record those milestones.

What will Beazley shareholders receive?

The agreed total value was 1,335 pence (£13.35) per share: 1,310 pence (£13.10) in cash plus a permitted 25 pence (£0.25) dividend, according to Zurich’s 2 March 2026 offer announcement. The per-share terms are distinct from Zurich’s estimated aggregate cash consideration of approximately USD 10.9 billion, which was calculated using its stated diluted share count, estimated 2026 awards and exchange rate.

At the time it announced the offer, Zurich estimated the proposed funding mix as approximately USD 3.0 billion from existing cash, USD 2.9 billion from new debt facilities and USD 5.0 billion from a capital increase/share placement. Those were estimates in the March announcement, not a fresh breakdown of financing at completion.

Why is Adrian Cox leaving, and who will lead the business?

Zurich said Cox will leave Beazley as the organization begins its next phase; it did not state a more specific reason in its completion announcement. Zurich named Kristof Terryn CEO of Beazley and Zurich Global Specialty, subject to regulatory approval. The announcement establishes the appointment and its condition, but does not confirm that regulatory approval has since been granted.

Zurich also announced Helen Pickford, then Zurich UK CFO, as CFO of Beazley and Zurich Global Specialty. Beazley group CFO Barbara Plucnar Jensen was to support integration as a senior adviser until March 2027. Sally Henderson was named Chief People & Sustainability Officer and Ed Bridge General Counsel for the combined specialty business.

What is Zurich’s rationale for the acquisition?

Zurich says the combination brings Beazley’s specialist underwriting capabilities and Lloyd’s presence together with Zurich’s distribution and specialty business, under a London-headquartered operation. Zurich Group CEO Mario Greco described the intended benefit this way: “By integrating Beazley into our Global Specialty business, we will accelerate growth and we will bring new very relevant solutions to our existing clients. Beazley’s underwriters will have immediate access to our distribution model and will join our customer service teams.” This is Zurich’s strategic rationale, not evidence that the promised growth or customer benefits have already materialized.

Zurich reported that the combined business would have approximately USD 15 billion in specialty gross written premiums on a pro forma basis as at 31 December 2024. It reported approximately USD 9 billion for its existing specialty franchise as at 31 December 2025. The figures refer to different dates and are company-reported.

Which benefits are targets rather than achieved results?

Zurich’s integration projections are forward-looking targets, not completed outcomes. The company said it expects:

  • More than USD 1 billion of annual incremental revenue by 2029.
  • At least USD 150 million of annual cost savings.
  • At least USD 1 billion of one-off capital extraction within the first two years.

Zurich’s announcements state these goals, but do not independently establish whether or when they will be delivered. The completion of the acquisition should therefore be distinguished from the future performance and savings Zurich expects from integration.
