Y Combinator’s 2015 Hacker News “Spinout” Was an Internal Autonomy Move, Not a Sale

YC promised Hacker News editorial independence in 2015, but did not sell or legally separate it. HN became an autonomous unit inside YC, led by Dan Gackle and removed from the investment branch.

On September 29, 2015, Y Combinator announced that Hacker News would become an autonomous unit inside YC and would no longer formally sit in YC’s investment branch. YC promised “full editorial independence,” but it did not announce a sale, a new standalone company, or a legal separation. Dan Gackle (known as dang) would run product, engineering, and moderation while reporting to YC leadership.

What YC actually announced

Sam Altman’s announcement, “Two HN Announcements”, covered both an organizational change and a moderation experiment.

An autonomous unit within YC

Hacker News would become its own autonomous YC unit rather than remain formally part of the investment branch. Gackle received responsibility for product, engineering, moderation, and editorial decisions. He would report directly to Altman, with the option of reporting to YC’s Board of Overseers.

What “spin out” did not mean

The announcement did not describe an independent corporation, a transfer of ownership, a nonprofit conversion, or independent financing. “Spin out” is therefore best understood as an internal organizational separation: HN was distanced from YC’s investment operation while remaining connected to Y Combinator.

Why YC wanted distance from its investment business

Hacker News began as a forum for YC founders but had grown into a broader technology-news and discussion community. That growth made HN valuable beyond recruiting or promoting YC companies, while also creating an obvious conflict: YC-backed startups could be submitted, praised, criticized, or debated on a site still belonging to YC.

YC’s stated logic was that HN would benefit YC most by serving the wider community rather than functioning primarily as an investment-channel asset. The promised independence was intended to let discussion quality, not YC’s portfolio interests, guide ranking, product choices, and moderation.

Autonomy versus independence

“Full editorial independence” was YC’s description of the intended operating model, not a legal term or an independently audited fact. The announcement gave Gackle broad decision-making authority but retained a reporting relationship to YC.

Question What the 2015 evidence supports
Separate from YC’s investment branch? Yes. YC said HN would no longer formally belong to that branch.
Separate from Y Combinator itself? No. HN was described as an autonomous unit within YC.
Independently owned? Not established by the announcement.
Editorial autonomy? Promised by YC, with Gackle responsible for editorial and moderation decisions.
Free of every YC conflict of interest? No guarantee. The institutional relationship remained.
Independently governed? Only partly: Gackle had operational autonomy but reported to YC leadership.

The simultaneous moderation experiment: Modnesty I

The second announcement introduced “Modnesty I,” short for moderation amnesty. Users with at least 30 karma could see flag links and participate. The aim was to make HN as self-regulating as possible by giving the community more influence over moderation decisions.

This continued YC’s earlier experimentation with software automation, user voting and flagging, and human intervention. In its November 10, 2014 update, YC described tests of flagging thresholds and mechanisms for killing or restoring comments. An experiment that automatically killed sufficiently downvoted comments was reversed after users objected that unpopular views were being punished too harshly. A later guideline also urged users to avoid gratuitous negativity.

How YC-related stories were handled

Later comments by HN administrator dang provide a practical explanation of the conflict-of-interest policy. In a 2024 discussion, he said HN generally moderates less, not more, when a story concerns YC or a YC startup: the site should not suppress criticism to protect YC, while still applying its ordinary standards against shallow outrage, repetition, linkbait, or low-information discussion. See dang’s October 3, 2024 explanation and a similar June 18, 2024 discussion.

Zero to One: Notes on Startups, or How to Build the Future
  • If you want to build a better future, you must believe in secrets.
  • The great secret of our time is that there are still uncharted frontiers to explore and new inventions to create. In Zero to One, legendary entrepreneur and investor Peter Thiel shows how we can find singular ways to create those new things.

That approach does not promise that every YC-related submission reaches the front page or escapes moderation. HN is a hybrid system: users vote and flag, software filters activity, and moderators retain discretion under published guidelines. Less aggressive moderation is a safeguard against suppression, not a guarantee of automatic promotion.

What remained tied to YC

YC’s continuing institutional connection is visible in its current materials: the YC FAQ directs users to the Hacker News FAQ, and YC’s legal framework remains relevant to the service. The YC legal terms address user-content rights and affiliated-company relationships. Those terms concern legal control and usage, not proof that YC dictated any particular ranking or moderation decision.

Nothing in the 2015 announcement establishes a separate HN board, an independent funding model, an external ombudsman, or a new legal entity. Nor does it prove that no influence ever occurred; it establishes a governance promise and reporting structure.

Why the wording still matters

Contemporary coverage, including VentureBeat’s account, reasonably emphasized the “full editorial independence” claim. The missing qualification is that editorial autonomy and corporate independence are different things. HN could operate independently of YC’s investment arm while still receiving YC’s institutional support and remaining answerable to YC leadership.

Verdict

YC’s September 2015 move was meaningful, but narrower than a conventional spinout. It reorganized Hacker News as an autonomous unit inside Y Combinator, placed its day-to-day editorial and moderation authority with Dan Gackle, and promised independence from investment interests. It did not sell HN or legally detach it from YC. The most accurate description is an internal autonomy arrangement: operational independence was promised, while ownership, reporting ties, and potential conflicts remained.
