Tenable announced and closed its acquisition of industrial cybersecurity company Indegy on December 2, 2019. Tenable said the deal would help organizations assess operational technology (OT) risk alongside information technology (IT) risk, combining its vulnerability-management platform with Indegy’s OT-focused asset visibility and security capabilities.
What Tenable acquired and what it paid
Indegy Ltd. provided visibility, security and control across operational technology environments, such as industrial networks and the systems used to operate them. Tenable said it acquired the company and closed the transaction on December 2, 2019, for $78 million in cash, subject to customary purchase price adjustments. Tenable’s SEC filing likewise says its subsidiary acquired all outstanding Indegy share capital for approximately $78 million in cash.
Tenable also estimated at announcement that deal-related costs would be $15 million to $17 million, primarily for intellectual-property transfer and other transaction costs. That was an estimate, not a final audited cost figure. Tenable’s December 2, 2019 announcement and its SEC Form 8-K describe the transaction.
Why Tenable said it bought Indegy
Tenable’s stated rationale was to help customers manage cyber risk across IT and OT with a unified, risk-based view. IT systems support business computing and services; OT systems monitor or control physical processes and industrial equipment. Tenable argued that OT had become part of the modern attack surface and that customers needed to assess those environments alongside IT rather than treat them as separate security domains.

At the time, Tenable chairman and CEO Amit Yoran said, “For every company in every industry, OT is now part of the modern attack surface.” This was the company’s strategic case for the acquisition, not independent validation that the combined offering delivered a particular security outcome.
What Indegy was expected to add
Tenable described the acquisition as adding capabilities tailored to OT environments, including:

- Asset inventory: visibility into OT devices and their components.
- Configuration management: insight into how industrial devices were configured.
- Threat detection: monitoring for potential threats in industrial environments.
- Vulnerability management: assessment of OT vulnerabilities, with Tenable’s risk prioritization and measurement applied across OT assets.
In broad terms, Tenable brought an existing vulnerability-management platform and Indegy brought OT device visibility and industrial-security capabilities. Tenable presented the combination as a way to bring IT and OT risk into a more unified view; the announcement does not establish that every organization would receive identical results.
What integration timing Tenable announced
At the time of the acquisition announcement, Tenable said the Indegy Industrial Cybersecurity Suite integration with Tenable.sc, its on-premises vulnerability-management offering, was available. It planned integrations with Tenable.io, its cloud-based vulnerability-management offering, and Tenable Lumin for the first half of 2020.

Those Tenable.io and Lumin dates were plans stated in December 2019. The cited announcement and filings establish the plan, not the actual launch date or present availability of each integration. Tenable’s later 2019 filing described Tenable.ot among its platform offerings for industrial IoT and OT environments; that supports subsequent use of the product name, but does not establish current packaging or availability. The deal’s relevance is its intended combination of two kinds of visibility: vulnerability-management and risk measurement across IT, alongside inventory, configuration, threat-detection and vulnerability capabilities focused on OT. For a security team evaluating an OT program, the announcement points to the capabilities Tenable intended to connect, but it is not a current product specification or proof of present-day integration status.
