Why Target Is Being Sued Over DEI and Its 2023 Pride Campaign

Target’s annual report identifies two purported investor class actions over alleged disclosures about DEI/ESG risks, the 2023 Pride campaign, and oversight. The allegations are not proven findings.

Target faces purported investor securities class actions alleging that it misled shareholders about risks tied to its ESG and DEI initiatives, including its 2023 Pride Month merchandise campaign, and how those risks were overseen. The claims are allegations, not a court finding that Target broke the law. Target’s 2025 annual report identifies two filings in the U.S. District Court for the Middle District of Florida, dated January 31 and February 20, 2025.

Why are investors suing Target over DEI?

The plaintiffs’ theory is about what Target allegedly told investors about business risks—not simply whether the company should have run a Pride campaign. The complaints contend that Target failed to disclose risks associated with its ESG and DEI agenda, the 2023 Pride merchandise collection, and oversight of those risks. Target’s annual report summarizes the allegations as claims that the company misled investors in its disclosures.

The Florida State Board of Administration filed a separate complaint alleging violations of federal securities laws based on alleged nondisclosure of risks tied to DEI/ESG programs and the Pride campaign. The Associated Press reported on the February 20 filing and attributed a statement about the case to Florida Attorney General James Uthmeier, who was the attorney general at the time. That political context is distinct from the securities claims and is not a court finding.

What are plaintiffs asking for?

Target’s annual-report summary says plaintiffs seek damages and other relief, including attorneys’ fees. That is a request, not an award. The materials described here do not establish that a court has ordered Target to pay damages.

Has a court ruled against Target?

The available records do not establish a final judgment against Target or a complete current case posture as of October 4, 2026. A docket listing for the City of Riviera Beach Police Pension Fund matter reflects early 2025 procedural activity, including a motion concerning a proposed amended complaint and scheduling, but does not settle the status of all related actions. Do not treat the filing of a complaint as proof of fraud or as a decision on the merits.
