Why Fortinet Acquired enSilo—and What the Deal Added

Fortinet acquired enSilo to add endpoint detection and response to its Security Fabric. The 2019 announcement and later SEC disclosures describe the deal from different angles—and report different financial measures.

Fortinet said it completed its acquisition of endpoint-security company enSilo on October 28, 2019. The strategic aim was to add enSilo’s endpoint detection and response (EDR) capabilities to Fortinet’s Security Fabric and coordinate endpoint protection with the company’s network and security-management products. Fortinet’s release did not disclose the deal terms; a subsequent SEC filing reported approximately $20 million in initial cash consideration, while a later annual-report disclosure gave a $15.8 million purchase price under acquisition accounting.

What Fortinet announced

Fortinet’s October 28, 2019 announcement said it had completed the acquisition of enSilo, a privately held advanced endpoint-security company headquartered in San Francisco. The announcement said the transaction terms were not disclosed in that release. The SEC filing later supplied financial detail, so the press-release wording does not mean no figures were ever reported.

Why Fortinet said it bought enSilo

Fortinet’s stated strategy was to add automated, real-time threat detection, protection, and response on endpoints, then connect that visibility and response to its broader security products. In practical terms, endpoint tools can help identify and contain suspicious activity on computers and other devices, while network and management products provide additional ways to monitor and coordinate a response.

Fortinet said it planned to integrate enSilo EDR with FortiSIEM, FortiInsight user and entity behavior analytics (UEBA) features, and FortiNAC. It also said enSilo complemented FortiGate, FortiSandbox, FortiSIEM, and the FortiClient Fabric Agent. What enSilo was described as bringing

Fortinet characterized enSilo’s offering as automated endpoint threat protection and response, including EDR. Its announcement described a lightweight agent for Linux, Windows, and macOS, automated real-time protection against advanced threats, incident response services, and patented code-tracing technology intended to thwart attacks and prevent data exfiltration and ransomware.

The announcement also described coordinated security for IoT devices, on-premise or cloud deployment, multi-tenancy, and scalability to hundreds of thousands of endpoints. Fortinet’s follow-up blog framed automatic threat containment as a way to stop exfiltration and prevent ransomware data tampering. How much did Fortinet pay?

The reported figures use different measures. Fortinet’s Form 8-K reported approximately $20 million in initial cash consideration, including $2 million held in escrow until at least October 2020. A later Fortinet annual-report filing reported a $15.8 million purchase price under acquisition accounting. The latter reflected accounting for goodwill and identifiable intangible assets, offset by net liabilities assumed, and also described the indemnity escrow. What the announcement does—and does not—establish

The acquisition announcement is useful for understanding Fortinet’s rationale and how it described enSilo’s product at the time. It does not establish enSilo’s independent effectiveness, the present availability or naming of its technology, or the current status of the integrations Fortinet outlined in 2019.

Fortinet’s release also cited Enterprise Strategy Group research, saying 76% of organizations found threat detection and response more difficult than two years earlier. That figure is best understood as a statistic attributed to ESG by Fortinet in 2019, rather than as a current measure or an independently verified result here. Fortinet’s announcement
