Announced in 2001 and completed in 2002, the deal combined Brooks’ tool-level automation strengths with PRI’s factory systems and software—not the companies that make core process tools such as lithography, etch or deposition equipment.
Was the Brooks–PRI merger recent?
No. Brooks announced a stock-based acquisition of PRI Automation on October 24, 2001, and completed it on May 14, 2002, after regulatory and shareholder approvals. The combined company took the name Brooks-PRI Automation.
Under the merger terms, PRI shareholders received 0.52 Brooks shares for each PRI share. This was a historical transaction, not a recent merger announcement.
Why did Brooks and PRI want to combine?
Customers wanted fewer suppliers
Semiconductor fabs and equipment makers were pressing suppliers to provide broader, more integrated solutions rather than making customers coordinate as many separate vendors. Contemporary coverage in EDN connected that pressure to a semiconductor downturn and delays to planned 300mm fab projects. Brooks CEO Robert Therrien described the customer preference as doing business with fewer suppliers that could offer more complete and integrated solutions.

Large global programs require scale
Fab automation is not just a robot or a piece of handling equipment. It involves interfaces to process tools, wafer and reticle movement, automated material handling systems (AMHS), factory-control software, systems integration and field service. A supplier with broader coverage can take responsibility for more of those connections, reducing handoffs among vendors for a fab or equipment OEM.
Scale also helps fund the capabilities needed to serve customers across regions: local sales and support, applications and qualification work, research and development, and products that may remain in service through long equipment lifecycles. Brooks executive Michael Pippins made that case in EDN, pointing to the expense of worldwide support infrastructure and R&D. The counterweight is that consolidation can leave customers with fewer independent suppliers to choose from.

What did each company bring to fab automation?

Brooks’ 2002 Form 10-K said PRI served semiconductor and precision-electronics manufacturers as well as OEM process-tool makers. It said the acquisition gave Brooks entry into AMHS and lithography automation, significantly expanded its atmospheric products for OEMs, and increased its software market share. In this context, “lithography automation” means automation around lithography operations; the merger did not make Brooks a manufacturer of core lithography, etch or deposition process equipment.
What do the deal’s different dollar figures mean?
Coverage cited several figures, but they describe different things. They should not be treated as competing estimates of one purchase price.

The first figure is the one to use when discussing the announced transaction consideration. The sales and combined-company descriptions measure business scale; the accounting figure is a valuation input used for financial reporting.

Brooks’ current website positions the company in semiconductor and life-science automation, with categories including vacuum automation for controlled substrate transport, advanced-packaging automation, contamination control and interface automation. The company says more than 100,000 automation solutions operate around the clock in semiconductor and advanced-packaging fabs. Product categories and company claims can change, but the broader strategic idea remains recognizable: customers may value a supplier able to combine specialized hardware, software, integration and lifecycle support.

For someone comparing fab-automation suppliers today, the useful question is not simply which company has the broadest catalog. Compare the practical coverage and cost of deploying each supplier across a factory:
- Coverage: Does it handle tool automation, AMHS, factory software, contamination control and packaging, or only some of these?
- Integration: How well do its hardware, controls and software work together from tool level to fab level?
- Qualification effort: How many interfaces, vendors and certifications must the fab or equipment OEM manage?
- Global support: What field-service and applications-engineering presence is available near the customer’s fabs, and how quickly can it respond?
- Lifecycle economics: Consider uptime, yield protection, upgradeability, spare parts and total cost of ownership, not only the initial purchase price.
Those are the operating considerations behind the 2001–02 push to “get bigger”: broader scale was presented as a way to meet customer demand and support complex global deployments, not as growth for its own sake.
