Why Arm Planned to Divest Its IoT Services Business and Refocus on Chip IP

Arm proposed moving its IoT Platform and Treasure Data businesses to SoftBank-backed entities in 2020 so it could focus on semiconductor IP. The announcement set conditions and an expected timetable, but did not confirm a closing.

Arm’s July 2020 announcement was a proposed transfer—not an announcement of a completed sale. Arm said it planned to move its IoT Platform and Treasure Data businesses to new entities owned and operated by SoftBank Group and affiliates, so Arm could concentrate on semiconductor intellectual property (IP) while the new entities pursued IoT and data opportunities.

What Arm announced in July 2020

Arm identified two businesses—IoT Platform and Treasure Data—as the components of its IoT Services Group (ISG). It proposed transferring both to new SoftBank-owned and -operated entities. Arm also said it expected to keep collaborating with those entities after the transfer. The announcement described a planned organizational change, not a sale that had already taken effect. Arm’s July 7, 2020 announcement gives the company’s account of the proposal.

What IoT Platform and Treasure Data did

The announcement grouped the IoT Platform and Treasure Data businesses under ISG and framed their opportunity around data. It did not provide a detailed product-by-product description in the announcement, so it is more precise to identify them as Arm’s IoT services businesses than to infer specific products or customers from their names.

Why Arm said it planned the transfer

Arm presented the proposal as a way to sharpen its strategic focus. SoftBank and its affiliates, Arm said, could draw on experience with early-stage businesses to pursue ISG’s data opportunity. Arm, in turn, could put more attention into its semiconductor IP roadmap and support for partners. In the announcement, Arm CEO Simon Segars said: “Arm believes there are great opportunities in the symbiotic growth of data and compute.”

The two sides of that strategy were related but distinct: IoT services were organized around data opportunities, while Arm’s core business centered on designing and licensing the IP used in chips. Arm cited more than 165 billion Arm-based chips shipped by its partners and an average of more than 22 billion a year over the preceding three years. Those are figures Arm reported in 2020, not current shipment totals.

Was the proposed transfer completed?

Arm’s release said the proposal required further board review, customary closing conditions and consultation with local staff representatives where applicable. Arm expected it to be finalized by the end of September 2020 if approved. The release itself does not establish that the transfer closed or give an exact legal closing date, so it supports describing the move as proposed rather than stating that SoftBank definitively acquired the businesses.

What Arm’s business model looks like now

Arm’s fiscal-2026 reporting describes a business still centered on semiconductor technology, while also extending beyond individual IP designs. Its principal activities include licensing and marketing CPU, GPU and system IP, compute subsystems, development tools, software and related services. For the year ended March 31, 2026, Arm reported group revenue of $4,920 million, compared with $4,007 million for 2025. The report also says Arm introduced its Arm AGI CPU production-silicon product in March 2026. These details appear in Arm’s fiscal-2026 reporting.

Arm’s Form 20-F describes exploration of offerings beyond individual IP designs, including RTL-based and GDSII-based compute subsystems, chiplets and complete chip solutions. It also identifies foundries, electronic design automation (EDA) vendors, firmware and operating-system vendors, software-tool providers and application developers among the ecosystem partners relevant to its business. Arm’s Form 20-F filed with the SEC provides that context.

How the 2020 proposal fits Arm’s strategy

The proposal distinguished between a services operation aimed at IoT and data opportunities and a semiconductor business built around IP licensing, partner relationships and chip-related products. In the years since, Arm’s reporting shows a continued emphasis on IP alongside compute subsystems and more integrated silicon offerings. That current direction helps explain the fit with the 2020 focus rationale, but it does not by itself prove the proposed transfer’s legal completion or establish what happened to each business afterward.
