Who Owns Alibaba Group? Shares, Board Rights and VIEs Explained

Alibaba shareholders own shares in the Cayman Islands parent, while Partnership board rights and VIE contracts shape how the group is governed and operates.

Alibaba Group Holding Limited is a publicly traded Cayman Islands holding company. Its shareholders own shares in that parent—not direct equity in every business beneath it. The Alibaba Partnership has separate rights to nominate or, in limited cases, appoint board members, while some China-based operations use contractual VIE arrangements rather than direct ownership by the listed parent.

Who owns shares in Alibaba Group?

Alibaba Group Holding Limited is the listed parent company. Its ordinary shares trade on the Hong Kong Stock Exchange under 9988 (HKD counter) and 89988 (RMB counter); its American depositary shares trade in New York under BABA. Alibaba says the parent is a holding company and does not itself directly conduct business operations.

Alibaba reports one class of ordinary shares, with one vote per share. It reported 19,134,051,238 ordinary shares in issue as of March 31, 2026. That is a dated share count, not a current list of every shareholder or a breakdown of who owns each share. An ADS is a separate trading form from an ordinary share; the share count should not be read as an ADS count.

Does Jack Ma still own Alibaba?

Jack Ma’s status as a founder does not, by itself, establish his current ownership stake or board control. Alibaba’s FY2026 ownership information does not provide a current percentage for him, so a precise present-day holding cannot be stated from that information.

Does SoftBank still own Alibaba?

Alibaba’s FY2026 annual report says SoftBank Group was no longer a major shareholder as of the report’s relevant date. Older SoftBank ownership percentages should not be treated as current. A major-shareholder designation is also not a complete accounting of every share a party might hold.

How should reported ownership figures be read?

Alibaba’s annual report lists interests of directors and executive officers, including Joe Tsai’s direct and indirect interests. Those figures reflect the report’s definitions and reporting date; they can include interests attributed through other people or entities and are not equivalent to a live register of all investors. For any claimed stake, check the filing date, whether it refers to ordinary shares or ADSs, and whether it reports direct, attributed or beneficial ownership.

The company’s filings index showed new beneficial-ownership statements through October 2, 2026. An index of filings is not a complete current cap table, so a precise current holding requires checking the underlying, dated filing.

Who controls Alibaba Group’s board?

Share ownership and board-nomination rights are different forms of influence. Alibaba’s ordinary shares carry one vote each, but the Alibaba Partnership has special governance rights under the company’s articles. It is a management governance body, not a separate class of shares.

The Partnership makes internal decisions on a one-partner-one-vote basis. It has the exclusive right to nominate—or in limited circumstances appoint—up to a simple majority of the board. Shareholders vote on Partnership nominees at annual general meetings; the annual report also describes interim appointment rights and conditions on the Partnership’s authority. Alibaba says these nomination rights make it a weighted-voting-rights issuer under Hong Kong Listing Rules, notwithstanding the one-vote-per-ordinary-share structure.

As of the FY2026 annual report, the Partnership had 18 members. Alibaba’s ten-member board then comprised four Partnership nominees and six independent directors nominated by the Nominating and Corporate Governance Committee. The Partnership’s right to nominate up to a simple majority therefore did not mean it held a majority of board seats at that reported date. Membership and board composition can change, so these counts should be treated as a dated snapshot.

What is Alibaba’s VIE structure?

Alibaba’s listed parent owns subsidiaries and operating entities, but some businesses in China operate through variable interest entities (VIEs) and contractual arrangements. Alibaba’s FY2026 Form 20-F describes an enhanced arrangement in which a VIE is typically held by a PRC limited liability company, which is owned directly or indirectly through two PRC limited partnerships.

These contracts are intended to give the listed group specified economic benefits and control. They are not the same as the listed parent directly owning the VIE’s equity. As a result, a shareholder in Alibaba Group Holding Limited owns shares in the Cayman Islands parent; that shareholder does not thereby directly own a proportionate share of every VIE’s equity.

Alibaba warns that contractual arrangements may be less effective than direct ownership and that a failure by counterparties to perform could harm the group. This creates legal and enforcement risks distinct from the ordinary market risk of owning Alibaba shares.
