When Did Vishay Acquire BCcomponents? The 2002 Deal Explained

Vishay completed its acquisition of BCcomponents Holdings B.V. on December 13, 2002. The deal added a broad range of passive electronic components and operations in Europe, India, and China to Vishay’s business. Vishay’s filing reports a total purchase price of $233.462 million.

When did Vishay acquire BCcomponents?

The acquisition closed on December 13, 2002, according to Vishay’s filing. Vishay acquired the outstanding shares of BCcomponents Holdings B.V.; this was a completed transaction, not merely a proposed purchase.

What did BCcomponents make?

BCcomponents manufactured passive electronic components. Its product lines included:

  • Linear and non-linear resistors
  • Ceramic, film, and aluminum electrolytic capacitors
  • Switches
  • Trimming potentiometers

The filing also reports approximately $320 million in BCcomponents sales for 2001. That is a historical annual-sales figure, not the acquisition price.

How much did Vishay pay?

Vishay’s purchase-price accounting lists $233.462 million in total purchase price. The accounting components were:

The filing separately says Vishay paid or assumed approximately $224 million of BCcomponents obligations, including indebtedness and transaction fees and expenses. Vishay also exchanged $105 million of mezzanine indebtedness and certain other securities for $105 million of floating-rate unsecured Vishay loan notes due 2102. Why was BCcomponents significant to Vishay?

BCcomponents broadened Vishay’s passive-component portfolio and added operations in Europe, India, and the People’s Republic of China. Vishay characterized the acquisition in its filing as having “significantly enhanced our global market position in passive components.” That is the company’s stated rationale, not an independent measurement of market share.

Was BCcomponents a Philips business?

The cited transaction filing establishes that Vishay acquired BCcomponents Holdings B.V., but it does not establish the company’s prior ownership history. On the available evidence here, a connection to Philips cannot be confirmed.

Can you still buy BCcomponents capacitors?

Yes. Vishay’s January 14, 2026 release identifies BCcomponents-branded devices in its 193 PUR-SI series of snap-in power aluminum electrolytic capacitors. Vishay says the devices deliver up to 30% higher ripple current than standard solutions in similar case sizes.
