What to Look for in a Bookkeeping Service Agreement

A practical checklist for reviewing the scope, cost, record access, security, and exit terms in a U.S. small-business bookkeeping agreement.

Before signing a bookkeeping agreement, make sure it spells out exactly what work you will receive, what it will cost, what you must provide, how your records will be protected and accessed, and what happens when the service ends. A usable agreement should leave you with complete accounting records and supporting documents—not just a promise that someone will keep the books.

This checklist is general guidance for U.S. small businesses, not legal advice. State law, the services involved, and the data being handled can change what terms are appropriate.

1. Define the work, deliverables, and deadlines

“Bookkeeping” alone is too vague to show what the provider has agreed to do. List the recurring tasks and the results you expect, using only the services both parties actually intend to include.

  • Tasks: Will the provider categorize transactions, reconcile accounts, support accounts payable or receivable, enter payroll data, or prepare monthly financial statements?
  • Deliverables: Name the reports, file formats, and delivery schedule. Specify whether you receive a monthly close package and when it is due.
  • Review and approval: State who checks the books and reports, who approves transactions, and whether the provider can initiate payments or payroll actions.
  • Exclusions: Say explicitly whether tax return preparation, tax advice, audit representation, bill payment, payroll filings, or financial planning are included. Do not assume any of these come with bookkeeping.
  • Client deadlines: Identify the documents and information you must supply and when. Ask how late or incomplete records affect the close date and report deadlines.

2. Work out the full cost, not just the base fee

Identify how the regular fee is calculated: fixed, hourly, tiered, or tied to transaction volume. Then check the assumptions behind it, such as the number of accounts, transactions, entities, or reporting periods included.

  • What are the rates for cleanup or catch-up work, amended periods, extra accounts, rush requests, and additional meetings?
  • Are software, payment-processing, or other out-of-pocket expenses billed separately?
  • When are invoices issued and due, and what happens if you dispute a charge or pay late?
  • How much notice must the provider give before changing the price, and can you end the agreement instead of accepting a change?
  • Are there fees for final reports, exporting records, migration, or transition assistance?

Compare the expected total under realistic usage, including likely overages and exit costs. No single pricing model is best for every business; the important point is knowing which work triggers an additional charge.

3. Set responsibilities, system access, and record ownership expectations

The agreement should identify the accounting platform and clarify who owns or administers the account, what permissions the provider receives, and how you can retrieve your records. Use named user accounts and appropriate permission levels rather than sharing a single set of credentials where possible.

  • List the statements, receipts, invoices, payroll details, and other source documents you must provide, along with due dates.
  • Clarify who enters, reviews, and approves transactions, reconciliations, and reports.
  • State whether the provider may make payments, change vendor or employee details, or take other actions that move money or affect payroll.
  • Explain how you will access a complete accounting file in a usable or native format, plus the supporting records needed to understand and substantiate entries.

The IRS says a taxpayer’s use of a third party to provide services for electronic records does not remove the taxpayer’s recordkeeping obligations. In other words, hiring a bookkeeper does not by itself transfer your responsibility to retain and support tax records. Read the IRS’s automated-records guidance and preserve your ability to access the books and supporting documents.

4. Check confidentiality, security, and retention terms

Financial records can contain sensitive business and personal information. Look for clear limits on how the provider may use or disclose it, who may access it, and what safeguards apply.

  • Are employees and subcontractors bound by confidentiality requirements, and may the provider use subcontractors without your approval?
  • What access controls, backups, and other safeguards are used to protect records?
  • How will the provider escalate and notify you about a suspected security incident?
  • How long will the provider keep working files and source records, and how will records be returned or securely deleted when the engagement ends?

IRS Publication 5708 offers information-security planning topics for tax and accounting practices, including access, incident response, and retention. It is a useful risk checklist, not proof that every listed safeguard is legally required in every bookkeeping engagement. See IRS Publication 5708.

5. Plan the exit and handoff before you need one

Read the termination terms as carefully as the service description. The agreement should explain how either party can end the relationship and how you get a clean handoff.

  • Can either party terminate without cause, and what notice is required? What happens if a party breaches the agreement, and is there a chance to cure the breach?
  • What fees remain due, and which reports or close work will be completed through the end date?
  • When and in what format will the provider transfer the accounting file, supporting records, and work in progress?
  • Is transition help available, what does it cost, and are migration or cleanup charges separate?
  • When will the provider’s access be removed, and what copies may it retain and for how long?

Do not assume the contract guarantees a particular notice period or handoff right. The effect of a clause depends on the agreement’s wording and applicable law; commercial template examples identify these as practical topics, not universal rules.

6. Understand liability and dispute provisions

Review what the agreement says about claims, losses, negligence, confidentiality breaches, data incidents, and unpaid fees. Check which losses or conduct are excluded or limited. A liability cap or indemnity clause can have significant consequences, and there is no universal cap established here as appropriate for every business or enforceable in every state.

Also look for the governing law, dispute venue or process, how amendments are made, and whether electronic signatures are accepted. Because state-specific requirements and the effect of these clauses depend on the circumstances, consult a local attorney if the potential exposure is material.

7. Compare agreements on the same points

If you are choosing between providers, compare the actual terms rather than the headline monthly price.

Total cost Base-fee assumptions, overage rates, expenses, and exit charges
Responsibilities and controls Client inputs, approvals, provider permissions, and authority to take actions
Security and access Confidentiality, staff or subcontractor access, safeguards, and incident notice
Portability and retention Access to complete files and source records, retention period, and return or deletion
Termination and transition Notice, final deliverables, handoff timing, migration assistance, and fees

Special case: agreements involving federal tax information

If the work involves federal tax information handled under a government arrangement, additional safeguards may apply. IRS Publication 1075 contains specific contract provisions concerning authorized access, confidentiality, and subcontracting in that specialized context. It is not a general statutory checklist for an ordinary small-business bookkeeping contract. See IRS Publication 1075.

Before you sign

  • Can you point to the exact clause describing each service you expect?
  • Do you know what you will pay in an ordinary month and when extra charges can arise?
  • Can you access the accounting platform and retrieve complete books and supporting documents?
  • Are security, retention, return or deletion, and subcontractor terms clear?
  • Could you end the relationship and move the records without losing access or facing an unexpected charge?
