What to Check Before Buying a Token Ahead of Its Launch

Before buying a token presale or other pre-launch offering, verify who is selling it, what rights the token gives you, how its supply and transfer restrictions work, and whether the code and any claimed listing can be independently checked. If important details cannot be corroborated, treat them as unknown—not as promises that are likely to come true. No checklist can eliminate the risk of losing your money.

Start by identifying the seller and the legal context

Find the legal name of the issuer, the people who control it, related companies, and any intermediary taking your payment. Check those identities using sources independent of the project’s promotional channels. Look for relevant registration or exemption disclosures where applicable, and confirm that the offering’s stated eligibility rules match your situation.

A project’s choice of words—such as “utility token” or “not a security”—does not settle its legal status. The SEC’s April 2026 resource explains that a crypto asset that is not itself a security may still be offered subject to an investment contract; the analysis depends on the facts of the offering. U.S. regulatory materials do not determine the rules that apply in every country. The SEC’s Transactions Involving Crypto Assets resource and its 2017 ICO bulletin are useful starting points, not a legal determination about a particular token.

Read the terms and establish what the token gives you

Get the actual offering terms, white paper or equivalent technical documents, and any purchase agreement. Save copies with their dates or version numbers: a social post or a webpage can change, and marketing material is not a substitute for the terms governing your purchase.

  • Holder rights: What can a holder do now? Does the token confer a claim, access, governance vote, or other enforceable right, or is a benefit only planned for later?
  • Use of proceeds: What does the issuer say it will do with sale proceeds? Is that commitment in the offering documents, and what happens if the project does not reach its stated milestones?
  • Refunds and conditions: Is a refund available, and under what specific circumstances and deadline? Check whether the sale depends on minimum fundraising, product delivery, or other conditions.
  • Resale limits: Are transfers restricted by the contract, sale terms, or applicable rules? A token appearing in a wallet does not necessarily mean it can be freely resold.
  • Dependencies: Does the token have useful functionality today, or does its proposed use depend on future software, adoption, approvals, or decisions by the team?

The SEC’s ICO bulletin and the CFTC’s digital-currency advisory identify rights, proceeds, resale restrictions, and refunds as relevant questions. They do not establish that any particular offering’s answers are accurate.

How to check token supply, allocations, and vesting

Do not rely on a headline presale price. Map how much of the token can exist, who receives it, and when those tokens can move. The SEC Division of Corporation Finance’s 2025 staff statement lists supply, issuance and burn mechanics, allocations, vesting or lockups, and control over supply rules among potentially relevant disclosure topics. It is a staff statement about disclosure, not an endorsement or a review of a specific project.

  • Total and circulating supply: Compare the stated maximum or total supply with the amount already circulating and the amount planned for the sale. Check how the project defines each figure.
  • Allocations: Identify the shares assigned to founders, employees, investors, the treasury, ecosystem incentives, and public buyers. Large or concentrated holdings can affect future selling pressure and control.
  • Minting and issuance: Find out whether new tokens can be created, who has authority to create them, and whether that authority has limits or can be changed.
  • Vesting and unlocks: Record when insiders and other major recipients can transfer tokens. Look for cliff dates, gradual release schedules, and any conditions attached to unlocking.
  • Burns and rule changes: Check whether burns are automatic or discretionary, and who can change supply, vesting, or transfer rules. A stated burn policy is not proof that tokens have been burned.

Compare the announced schedule with authoritative project documents and, where possible, the deployed contract. The SEC’s 2025 crypto-asset offerings statement and Crypto Task Force recommendations provide disclosure context; an announced schedule still needs verification against the actual implementation.

Verify the contract and understand what an audit does—and does not—show

  1. Find the claimed contract address through a primary project channel. Do not take an address from an unsolicited message, search advertisement, or social-media reply.
  2. Match it to the relevant blockchain. Check that the address and chain named by the project correspond to the deployed contract. A correct-looking address on the wrong network is not confirmation.
  3. Check what code is published. Compare published source code with the deployed contract where the chain’s tools allow it. If source code or key details are unavailable, record that as unverified.
  4. Read the audit report itself. Confirm the auditor, report date, exact contract and code version reviewed, audit scope, findings, and whether identified issues were fixed. Check whether the deployed code matches the version assessed.
  5. Inspect privileged controls. Establish whether an administrator can mint tokens, pause transfers, change fees, upgrade the contract, or restrict addresses—and who controls those permissions.

An audit is limited to the code and scope it names. It is not a guarantee against bugs, privileged control, fraud, or loss, and there is no single foolproof verification method or universal audit standard established by the cited materials. The SEC’s ICO bulletin recommends asking whether code is public and independently audited; its 2025 statement identifies audit details as a disclosure topic.

Can you sell a presale token after launch?

Not necessarily. A planned exchange listing is not the same as an independently confirmed listing, and a listing is not proof that you will be able to sell a meaningful amount at an indicated price. Check the sale documents for transfer restrictions, then verify any claimed venue directly with that venue. Distinguish a live market with observable trading and liquidity from a plan, application, or promise.

Even where trading is available, liquidity can be thin or disappear; a concentrated holder base and scheduled unlocks may add selling pressure. The SEC’s crypto-asset securities alert and the CFTC’s digital-currency advisory identify volatility and illiquidity as risks. Neither a venue announcement nor an early quoted price establishes that you can exit when you want, in the amount you want, or at that price.

Watch for pressure, unrealistic return claims, and impersonation

Countdowns, urgency, unsolicited tips, celebrity testimonials, and claims of high returns with little or no risk are reasons to slow down, not to skip verification. In its 2017 ICO bulletin, the SEC advised: “Be wary of anyone who promises that you will receive a high rate of return on your investment, with little or no risk.”

Navigate to the project’s official domain independently. Cross-check the sale address, terms, team identities, and contract details against primary sources. Do not send funds through unsolicited links or QR codes. The SEC’s digital-asset scam alert, CFTC digital-asset fraud guidance, and the CFTC’s pump-and-dump advisory discuss warning signs and fraud risks.

Compare offerings using the same evidence

If you are evaluating more than one presale, compare the same categories rather than ranking projects by a low token price or a polished pitch. This is an organizing framework, not a score or a finding that any offering is suitable.

What to compare Evidence to look for
Rights and utility What holders can do now versus benefits that depend on future delivery.
Issuer transparency Identifiable issuer, principals, affiliates, and intermediaries, checked independently.
Legal and eligibility disclosures Offering terms, relevant registration or exemption disclosures, and stated buyer restrictions.
Supply and unlocks Total and circulating supply, insider allocations, minting authority, vesting, and unlock timing.
Code and control Published source, privileged contract controls, audit scope, and unresolved findings.
Refunds and resale Specific refund conditions, transfer limits, and other restrictions in the terms.
Trading access and liquidity Independently confirmed venues and evidence of actual liquidity, not an announced plan.
Execution risk Dependence on future adoption, product delivery, approvals, or managerial promises.

When to stop rather than fill gaps with assumptions

Pause if you cannot verify who receives your money, what you are buying, how supply can change, whether the contract matches the claims, or what limits apply to transfers and refunds. Missing evidence does not prove misconduct, but it also does not support treating a claim as true. No reliable current, authoritative failure or fraud rate for pre-launch token offerings is established by the cited materials, so an old estimate should not be treated as your probability of loss.

The SEC’s 2023 alert states: “The only money you should put at risk with any speculative investment is money you can afford to lose entirely.” A completed checklist can reveal unanswered questions; it cannot make a speculative offering safe.
