What to Check Before Buying a Chinese EV Stock

Before buying a Chinese EV stock, identify the exact security and examine its ownership structure, regulatory and audit risks, cash position, vehicle economics, and listing-specific valuation.

Before buying, identify the exact security and what it legally represents, then review the issuer’s latest filings for VIE and regulatory exposure, audit access, financial resilience, vehicle economics, and valuation. A Chinese EV brand’s operating business and the offshore company whose shares trade in the U.S. or Hong Kong are not necessarily the same legal entity.

1. Identify the security and the company behind it

Start with the ticker, exchange, share class, and legal name of the issuer. A U.S.-traded American depositary share (ADS) represents a specified number of underlying ordinary shares; it is not itself a direct share in the Chinese operating company. Check the deposit agreement for the ADS-to-ordinary-share ratio, the class of ordinary shares, and the rights attached to them. If the company also trades in Hong Kong or elsewhere, identify that line separately.

Then follow the ownership chain from the listed issuer to the companies that design, manufacture, and sell the vehicles. An offshore holding company may own interests in subsidiaries while relying on contractual arrangements with one or more variable interest entities (VIEs) in China. Those arrangements are not the same as owning equity in the operating entity.

Li Auto’s 2025 Form 20-F describes the issuer as a Cayman Islands holding company with no equity ownership in its VIEs. It says holders of Li Auto ordinary shares or ADSs own equity in the offshore holding company, not direct equity in the VIEs, and that the legal enforceability of the VIE contracts has not been tested in a Chinese court. Treat that as Li Auto’s disclosure, not a description of every EV maker; read the target company’s own latest annual filing and deposit agreement.

2. Map VIE, regulatory, and cash-transfer dependencies

Draw the structure shown in the filings: listed parent, offshore subsidiaries, PRC subsidiaries, VIEs, and the contractual links between them. Note which business operations depend on each entity and where the issuer says relevant permissions or approvals are required. In the risk factors and regulatory sections, look for discussion of foreign-investment restrictions, CSRC overseas-offering filing requirements, cybersecurity review, data rules, and other permissions that could affect fundraising or operations.

Separate what has happened from what the company says could happen. A filing may state that a particular offering or activity completed a required filing, while warning that future transactions could require additional procedures or approvals. Li Auto’s 2025 Form 20-F describes possible CSRC or cybersecurity review requirements for future capital-market activity and warns of risk if procedures are delayed or unavailable. That warning is not, by itself, evidence that a specific current transaction lacks approval.

Trace cash as carefully as control. Check whether the parent relies on dividends from PRC subsidiaries, service fees from VIEs, or other transfers to meet parent-level obligations. XPeng’s 2024 filing describes reliance on dividends from PRC subsidiaries and service fees from VIEs for those obligations. Review the target’s own disclosures for restrictions, approvals, taxes, or other conditions that could limit when cash held in China can reach the offshore issuer.

The U.S.-China Economic and Security Review Commission’s report, last updated March 7, 2025, describes the broader VIE concern: investors may have contractual claims to control through an offshore company without owning the operating business, and the enforceability of VIE arrangements has not been tested in Chinese courts. It reports that 159 Chinese companies listed on the three major U.S. exchanges used a VIE, representing US$1 trillion, or 91 percent of the market capitalization of Chinese firms listed on those exchanges. Those are broad report figures, not counts or current market measurements for Chinese EV companies.

3. Check the auditor and current U.S. inspection status

Find the audit firm named in the latest annual filing. Then check the Public Company Accounting Oversight Board (PCAOB) for its current inspection access and the U.S. Securities and Exchange Commission’s Commission-Identified Issuer lists for the issuer’s status. Record the date of that check: access and issuer designations can change.

The Holding Foreign Companies Accountable Act (HFCAA) does not mean that a Chinese-listed stock is automatically subject to a current U.S. trading ban. Li Auto’s 2025 Form 20-F says the PCAOB’s December 2022 determination restored inspection access for mainland China and Hong Kong. It also warns that if full access is lost again, an issuer could be identified and face a U.S. trading prohibition after two consecutive years of non-inspectable audits under the rules described in the filing. The commission report likewise describes that two-year mechanism and the possibility that the issue could return if access is obstructed.

For the company you are evaluating, verify the latest status rather than relying on an older filing’s account of prior access. An issuer’s risk disclosure explains its view of the exposure; PCAOB and SEC records are the places to check current inspection and identification status.

4. Test financial resilience and the quality of cash

Build a multi-period picture from audited annual statements and interim reports, rather than judging the company from one quarter or a delivery-growth headline. Compare trends in:

  • Revenue, gross margin, and operating margin.
  • Operating cash flow and capital expenditure.
  • Cash and short-term investments, debt, lease obligations, and near-term maturities.
  • Inventory and receivables, which can help explain whether reported growth is converting into cash.
  • Share-based compensation and changes in the fully diluted share count.

Ask where reported liquidity is held: at the listed parent, in subsidiaries, or elsewhere in the group. Cash on a consolidated balance sheet is not automatically cash that the offshore parent can use immediately. Read the company’s explanation of restrictions, transfers, approvals, and taxes, alongside its contractual structure.

Compare cash burn with available liquidity and upcoming obligations, but do not apply a universal minimum cash balance or runway threshold without a reason tied to that company’s costs and financing needs. The reviewed filings do not establish a current, comparable cash or profitability ranking across Chinese EV makers. Use each issuer’s figures and definitions consistently, and note when accounting presentation makes a peer comparison imperfect.

5. Determine whether vehicle growth is economically sound

Deliveries show vehicles handed over, not by themselves whether the business is earning an adequate return or generating cash. Track the operating indicators the company reports and connect them to margins and funding needs:

  • Deliveries by model and geography, and whether the company distinguishes wholesale shipments from customer deliveries.
  • Average selling price or product mix, when disclosed, alongside gross margin.
  • Warranty costs, inventory levels, and factory utilization.
  • New-model cadence, distribution reach, and recurring service revenue.
  • Operating cash flow and capital spending as volumes change.

Test whether rising volume is accompanied by durable margins and cash generation, or whether price reductions, product mix, factory investment, or working-capital needs are absorbing the gains. Compare positioning, product refreshes, distribution, manufacturing scale, and technology claims with competing Chinese and foreign vehicles. Treat delivery figures as company-reported unless independently validated retail-demand data is available.

Li Auto’s 2025 filing and NIO’s 2025 filing both describe intense competition in China’s automotive market, including pressure from established automakers, new entrants, and product or pricing competition. These are issuer-disclosed risks; they are not an independent comparison of the companies’ execution or products.

6. Value the exact listing line, not just the brand

Use a current price and a fully diluted share count for the specific security you could buy. Calculate or compare enterprise value and cash-adjusted valuation, then use revenue or earnings multiples only where those measures are meaningful. A company with weak or negative earnings may not be usefully compared on an earnings multiple. When comparing peers, account for differences in business models, growth, margins, debt, dilution, and cash location rather than treating every EV maker as interchangeable.

For cross-listed companies, check the ADS ratio, ordinary-share class, currency, market hours, trading liquidity, custody access, and any price gap between lines. Convert currencies using a current exchange rate and remember that trading access or settlement arrangements can differ by venue. A U.S. ADS and a Hong Kong ordinary share may relate to the same issuer but are not necessarily interchangeable instruments. Current prices, valuation multiples, foreign-exchange rates, and trading access require a fresh check before an investment decision.

Compare companies on the same evidence

If weighing two or more issuers, use the same periods and definitions wherever possible. A concise comparison should cover:

  • Corporate structure, operating ownership, and dependence on VIE contracts.
  • Regulatory exposure, auditor inspection access, and current SEC status.
  • Financial resilience, dilution, and where cash is held within the group.
  • Vehicle economics, delivery quality, and competitive execution.
  • Valuation based on the exact traded security, listing venue, currency, and liquidity.

Keep filing-based disclosures distinct from independent verification, and keep company-reported deliveries distinct from independently validated retail demand. This checklist is a due-diligence framework, not a recommendation to buy any named stock.
