It does not automatically erase tax: property use, exchange timing, cash or other property received, and related-party rules can change the result.
What qualifies for a 1031 exchange?
For exchanges after 2017, Section 1031 generally applies only to real property held for investment or productive use in a trade or business. Both the property transferred and the replacement property must meet that holding-purpose test. Property held primarily for sale, such as inventory, and property used solely as a personal residence generally do not qualify. Most personal property and intangible assets are also outside the general rule. The IRS describes a narrow statutory treatment for certain mutual ditch, reservoir, or irrigation company stock. IRS Publication 544 (2025) and the Instructions for Form 8824 (2025) explain the limits.
A rental dwelling may qualify if it is genuinely held for investment or productive use; calling a property a rental does not by itself establish eligibility. The IRS notes that dwelling units can qualify when certain requirements are met, so personal use and other facts may need to be examined.
What does “like kind” mean?
For real estate, “like kind” is broad: the properties need not be identical or have the same quality. As the IRS puts it, “Properties are of like kind if they are of the same nature or character, even if they differ in grade or quality.” Improved and unimproved real property are generally like kind. How does a deferred exchange work?
In a deferred exchange, you transfer the property you are giving up before receiving the replacement property. The deadlines run from the transfer date and are statutory limits, not planning targets.
- Identify replacement property in writing within 45 days. The identification must describe the property clearly and be delivered or agreed to in writing under IRS requirements.
- Receive the replacement property by the deadline. The general limit is the earlier of 180 days after the transfer or the due date of your tax return for that year, including extensions. If you receive the replacement property before the 45-day identification period ends, the identification requirement is treated as met.
The return due date can make the practical exchange window shorter than 180 days unless an extension changes that due date. Exact calendar deadlines depend on the transfer date and filing circumstances.

A qualified intermediary may facilitate a deferred exchange. The IRS warns that if timing requirements are missed because of the intermediary, the transaction will not qualify as a deferred exchange and gain may be taxable in the year the relinquished property was transferred. Does a 1031 exchange eliminate tax?
No. When qualifying real property is exchanged solely for like-kind real property, Section 1031 generally defers recognition of gain or loss at that time. If you receive money or other property that is not like kind, gain is recognized to the extent of that receipt; a loss is not recognized in the exchange. How do you report an exchange?
Taxpayers who transfer property in a like-kind exchange during the tax year generally file Form 8824 with that year’s return. The form reports the exchange, calculates gain deferred or currently recognized, and figures the basis in the replacement property. IRS Instructions for Form 8824 (2025)
Related-party exchanges have additional restrictions. Depending on the direct or indirect transaction and subsequent dispositions, gain may have to be reported as if the property had been sold. Review the related-party rules in the Form 8824 instructions before relying on deferral.

- Both properties are real property held for investment or productive use in a trade or business, rather than primarily for sale or solely for personal use.
- The properties meet the like-kind rules, including the U.S.-versus-foreign real estate limitation.
- The written identification and receipt deadlines can be met based on the transfer date and tax-return due date.
- You understand whether cash or non-like-kind property will be received and how that may affect recognized gain.
- You have checked whether a related party is involved and how the exchange must be reported.
Because eligibility, basis, deadlines, and related-party treatment depend on transaction-specific facts, consult a tax professional before transferring property.
