On February 22, 2005, Integrated Microelectronics Inc. (IMI) acquired selected electronics manufacturing services (EMS) and original design manufacturing (ODM) assets from Saturn Electronics & Engineering (Tustin) Inc. and its subsidiary Saturn Electronics Philippines, Inc. It was an asset transaction—not a sale of all of Saturn—and it gave IMI its first U.S. address while extending its manufacturing footprint into North America.
What did IMI acquire?
The assets covered two locations and complementary capabilities: product design and development in Tustin, California, and high-volume surface-mount technology (SMT) assembly in Cebu, Philippines. EDN reported the transaction on February 22, 2005.

Why did IMI buy the assets?
IMI presented the deal as a way to add design, process-development, and flip-chip assembly capabilities to its customer offering, while pursuing expansion into target markets, particularly North America. The Tustin operation supplied a U.S. base; the Cebu facilities added high-volume assembly.

What stayed with Saturn?
Saturn Electronics & Engineering said the sale would let it focus on its core automotive and electronics businesses. The company said the transaction did not affect its automotive business or its non-flexible-circuit electronics business. Saturn also planned to retain global product-design and purchasing teams in North America and the Far East.
