The September 15, 2025 headline that TikTok’s deal with China was “set to finalize” described a negotiating framework—not a completed sale. President Donald Trump and Chinese President Xi Jinping were expected to settle remaining issues later that week. The arrangement was subsequently put into operation through TikTok USDS Joint Venture LLC, established January 23, 2026.
For U.S. users, TikTok remained available. The new structure made U.S. operations majority American-owned, reduced ByteDance’s stake to 19.9%, and assigned stated responsibility for U.S. data, software security, recommendation-system operations and content moderation to the joint venture. Some global interoperability and commercial relationships remained.
The short answer
- September 15, 2025: Treasury Secretary Scott Bessent announced a U.S.-China framework and said Trump and Xi would address final details.
- September 19, 2025: The presidents discussed the arrangement, but public reporting did not establish that every legal and commercial document had been signed.
- September 25, 2025: Trump’s executive order treated the proposed structure as a “qualified divestiture” under U.S. law and allowed time for completion.
- January 23, 2026: TikTok USDS Joint Venture LLC announced that it had been established, with Silver Lake, Oracle and MGX each holding 15% and ByteDance retaining 19.9%.
Thus, “set to finalize” was an accurate description of the situation on September 15, but it was a forecast of the closing process, not proof that a finished transaction already existed.
Why TikTok faced a U.S. ban
Congress passed the Protecting Americans from Foreign Adversary Controlled Applications Act in April 2024. For TikTok, the law created a divest-or-restrictions framework: unless ownership and control were separated from a designated foreign adversary, app distribution, updates, maintenance or hosting in the United States could be restricted. The statutory deadline arrived January 19, 2025, and TikTok briefly went dark in the United States, according to Associated Press reporting.

On January 20, Trump directed the attorney general not to enforce the law for 75 days while his administration pursued a resolution. That order is available at the White House. The dispute was therefore more than an ordinary acquisition: the proposed transaction had to remove foreign-adversary control while preserving a functioning service for American users.
What Bessent announced on September 15
Bessent said the two governments had reached a framework for resolving TikTok’s ownership dispute and that Trump and Xi would discuss or finalize remaining details. The full terms were not publicly released, and Chinese officials did not immediately describe a completed sale in equivalent terms. The contemporary account is reported by Reuters via Investing.com.
What the framework appeared to establish
- A new U.S.-based entity would operate TikTok in the United States.
- U.S. investors would hold majority ownership and control.
- ByteDance’s ownership would fall below 20%.
- Data, algorithms, software and Chinese-government influence would be addressed through security and governance controls.
What was still unknown
- The complete investor list and exact ownership percentages.
- Board composition and veto or consent rights.
- Whether algorithmic technology would be transferred, licensed or operated under another arrangement.
- How moderation, software updates, audits and data flows would be enforced.
- Whether Chinese authorities had formally approved the transaction.
AP and Axios both emphasized that concrete public details were limited.
What Trump and Xi did—and did not—finalize
Trump and Xi spoke on September 19. Public accounts said they made progress and discussed approval of the TikTok arrangement, but did not present the call as a publicly documented closing ceremony. China’s statements used more cautious language about companies negotiating under Chinese law, while U.S. officials described a more specific structure. That distinction matters: political approval, a qualified-divestiture determination, signed transaction documents and operational implementation were separate stages.

What the White House authorized on September 25
Trump’s September 25 executive order declared the proposed divestiture a “qualified divestiture” under the 2024 law and directed another enforcement pause while the transaction was completed. The White House fact sheet and the executive-order text described these elements:
- A new U.S.-based joint venture with majority ownership and control by U.S. persons.
- ByteDance ownership below 20%.
- A seven-member board with only one ByteDance-selected director.
- No ByteDance role on the security committee.
- Oracle as the security and cloud provider.
- U.S. storage and protection of sensitive American user data.
- U.S. control over operation of the recommendation algorithm, code and content-moderation decisions.
- Monitoring of software updates, algorithms and data flows.
The formal order is also available as a PDF. These were the administration’s legal and security descriptions; they do not, by themselves, constitute independent technical verification.
How the January 2026 joint venture was structured
On January 23, 2026, TikTok announced the establishment of TikTok USDS Joint Venture LLC. Its announcement lists the following ownership:

The company described the venture as majority American-owned and independently governed. The announcement is at TikTok’s newsroom. The White House’s earlier seven-seat-board description remains the relevant source for the administration’s legal rationale; the January announcement supplies the later ownership details.
What changed for data, algorithms and moderation
TikTok USDS says it is responsible for protecting U.S. user data in Oracle’s U.S. cloud environment, securing and reviewing U.S. app software and source code, retraining and testing the recommendation algorithm on U.S. user data, and controlling U.S. trust-and-safety policies and moderation. It also says third-party audits and certifications apply to safeguards for TikTok, CapCut, Lemon8 and other covered U.S. apps and websites. Those statements describe the venture’s claimed governance model. They should not be read as proof that independent auditors or regulators have already verified every control.
What did not necessarily change
The arrangement did not make the entire worldwide TikTok ecosystem wholly separate from ByteDance. ByteDance retained a 19.9% economic interest, and TikTok’s announcement says global entities continue to manage interoperability and some commercial activities, including e-commerce, advertising and marketing.

What the arrangement meant for users and businesses
The immediate practical result was continuity: TikTok remained available to U.S. users instead of being removed under the divest-or-ban framework. There is no reliable basis in the cited material to claim that users had to create new accounts, migrate to a separate app, or experienced a specific recommendation-system change.
Creators and advertisers should nevertheless distinguish platform availability from certainty about long-term governance. They should review current privacy, advertising, commerce and creator-program terms, track any changes to data disclosures, and avoid making TikTok their only source of traffic. Maintain an owned website, email list or customer database and repurpose important video for YouTube Shorts and Instagram Reels. Businesses can find TikTok’s advertising service at TikTok for Business; campaign pricing is generally auction- and budget-based rather than a fixed subscription.

How to judge whether the deal was genuinely completed
- Legal: Was the structure formally recognized as a qualified divestiture?
- Ownership: Was ByteDance reduced below the applicable threshold?
- Governance: Did a new board and U.S. entity take control?
- Operations: Who controlled U.S. data, code, algorithms and moderation?
- Corporate: Was the joint venture actually established?
- China’s position: What did Chinese authorities formally say, rather than what U.S. officials said they expected?
- Continuity: Did the service remain available to U.S. users?
On the evidence available as of August 18, 2026, the legal framework and corporate-establishment tests are documented, while the precise confidential contracts, algorithm licensing terms and independent audit results remain less transparent.
