What Elon Musk’s “Shakespearean” OpenAI lawsuit alleged—and how he lost

Elon Musk’s 2024 lawsuit accused OpenAI of betraying its nonprofit mission. Here’s what he alleged, how OpenAI responded and why a jury rejected his claims in 2026.

A federal jury rejected Elon Musk’s lawsuit against OpenAI on May 18, 2026, after finding that his claims were filed too late under the statute of limitations. The case began with a 2024 complaint accusing OpenAI’s leaders of abandoning the organization’s founding purpose; the complaint called the alleged deception “of Shakespearean proportions.” That was Musk’s allegation, not a finding that OpenAI had broken a promise.

What the lawsuit was about

Musk’s August 5, 2024 federal complaint accused OpenAI, CEO Sam Altman, president Greg Brockman and related entities of moving away from the nonprofit, public-benefit and safety-focused purpose on which Musk said he had agreed to help establish and fund the organization. The case, Musk v. Altman et al., case 4:24-cv-04722-YGR, was filed in the U.S. District Court for the Northern District of California.

The complaint connected several disputes: OpenAI’s move toward commercial entities, its relationship with Microsoft, and limits on access to technology that Musk said should have been shared more openly. It alleged that the defendants’ conduct served private or corporate financial interests at odds with OpenAI’s original mission. These were claims in Musk’s lawsuit, not facts the jury later established.

The distinction matters because “nonprofit,” “open” and “safe” describe different things. Nonprofit refers to organizational and legal status; open concerns how research, software or models are made available; and safety is a goal for AI development and deployment. Musk’s complaint linked these concepts, but a dispute over one does not automatically prove a breach of the others.

Why Musk sued “again”

The August filing followed an earlier federal lawsuit in February 2024 and Musk’s withdrawal of a similar California state-court case in June. “Again” referred to bringing another lawsuit over substantially the same alleged abandonment of OpenAI’s founding mission; it was not an appeal of the same case. The August complaint revived and expanded the dispute. The Guardian’s account of the filing and the complaint coverage by Courthouse News describe that sequence.

What “Shakespearean” meant

The word came from Musk’s complaint, which described the alleged deception as “deceit of Shakespearean proportions.” It was a dramatic characterization of what Musk said happened—not a court’s description or conclusion. “Shakespearean betrayal” is a shorthand for the allegation, not the complaint’s exact phrase. Axios reported the wording and allegations when the new suit was filed.

OpenAI’s response and the competitive context

OpenAI rejected Musk’s account. In its public response, the company presented the litigation as motivated by competition and resentment, and argued that Musk’s actions could benefit xAI, the AI company he launched in 2023. OpenAI also says Musk left the organization before later criticizing it. Those are OpenAI’s arguments, not neutral findings about Musk’s motive. Its public account of the dispute and court filing set out its position.

Musk’s leadership of a competing AI company is relevant context: the lawsuit challenged a rival’s structure and sought remedies that could affect that structure and its relationship with Microsoft. Competition does not, by itself, establish that Musk’s allegations were false; nor does his role as an early OpenAI backer establish that they were true.

What happened at trial

Jury selection began in Oakland on April 27, 2026, and Musk testified from April 28 through April 30, according to Associated Press trial coverage. The dispute concerned whether OpenAI’s evolution toward a commercial structure violated commitments Musk could enforce, as well as whether he had brought his claims within the applicable time limit. Trial coverage reported that Musk sought damages of up to approximately $134 billion; that was a claimed amount, not a court award. Axios’s verdict report describes the requested damages and outcome.

Why Musk lost—and what the verdict did not decide

On May 18, 2026, the jury rejected Musk’s claims after finding them barred by the statute of limitations. In other words, the decisive issue was that the claims came too late under the applicable legal deadline. The Associated Press report on the verdict and the court’s case page document the result.

The outcome resolved this lawsuit against Musk, but it should not be inflated into a ruling that every factual allegation was false or that OpenAI’s corporate transformation fulfilled every aspect of its original mission. A time-bar finding is about when claims were brought; it is not a universal endorsement of a company’s governance, access policies or AI-safety choices.

Why the case still matters

The verdict ended Musk’s claims in this case, not the broader arguments about who can enforce a nonprofit’s founding purpose or how that purpose should constrain later commercial activity. It also did not settle what “open” should mean for powerful AI systems, or how safety commitments should be measured. Those questions involve governance and policy as well as legal obligations; the jury’s timing-based result does not resolve them all.
