An M&A advisory firm helps a business owner plan and pursue a sale, or helps a buyer evaluate and pursue an acquisition. Depending on the assignment, its work can include analyzing value and alternatives, finding or assessing counterparties, coordinating information and due diligence, advising on deal terms, and supporting negotiations through closing. The precise scope depends on the engagement; the owner or buyer still makes key decisions and supplies information.
What an M&A advisor may do for a seller
A seller-side advisor can help the owner assess whether a sale is the right option and plan how to approach the market. Services may include analyzing value, preparing or coordinating sale materials, identifying potential buyers, managing outreach, and assisting with diligence, deal structure, negotiation, and closing. These are possible services, not a required checklist for every firm or transaction. The SEC-hosted M&A broker material describes intermediary work and notes that the services and parties’ needs vary.
The owner remains involved: the advisor does not take over the owner’s decisions or knowledge of the business. A seller may need to provide historical and current company information and work alongside lawyers, accountants, commercial bankers, or other consultants as appropriate.
How buyer outreach can work
One SEC-hosted broker-dealer procedure describes preparing a target list and contacting prospects with an executive summary that gives basic information and may initially leave the seller anonymous. That is an example of one firm’s documented procedure—not a universal sale process or a promise that every advisor will use anonymous marketing.

What an M&A advisor may do for a buyer
On the buy side, an advisor may help evaluate potential acquisition targets, analyze value and strategic alternatives, advise on timing, price, and structure, and assist with diligence, negotiation, and closing. A buyer may use an intermediary to help assess valuation issues and transaction concerns, but the assignment should spell out what the advisor will handle and what remains with the buyer and its other professionals. The SEC-hosted investment-banking service description gives examples of buy-side and sell-side work; it is illustrative rather than a universal service standard.
M&A advisory firm versus business broker
The titles overlap, so they do not establish a strict, universal boundary. SEC-hosted material describes business-broker activities that can range from introductions to financial analysis, marketing a business for sale, and helping coordinate negotiations with a client’s other advisors. Broadly, business brokers often work with small or mid-sized businesses, while investment banks and M&A advisory firms may take on larger or more complex assignments. There is no supported universal revenue cutoff that determines which label applies.

Compare the actual services, relevant experience, and engagement terms rather than relying on the firm’s title. Also avoid assuming that every M&A advisor is an investment bank or that every intermediary performs the same regulatory role.
How to compare prospective advisors
Before signing an engagement, ask each firm to explain its proposed scope, fees, assumptions, and conflicts in writing. Compare the same practical dimensions across candidates:

- Fit and experience: Does the firm have experience relevant to your company’s size, industry, and transaction objective?
- Scope and deliverables: What work is included, what will you receive, and what stays with you or another professional?
- Representation and conflicts: Whom does the firm represent in this assignment? Could it represent another party, and how would it identify and address conflicts?
- Compensation: How is the advisor paid, and does any compensation depend on the deal closing or its size?
- Process and confidentiality: How will the firm handle buyer outreach, information sharing, diligence, and communication with you?
- Registration, where relevant: What is the registration status of the firm and the individual professionals who will do the work?
There is no established general fee range, average process duration, or quantified increase in sale value attributable to hiring an advisor. Treat estimates as specific to the firm’s proposed work and assumptions rather than as industry-wide benchmarks.

In the United States, certain activities in a business sale may raise broker-dealer registration questions, particularly when securities are involved and compensation is tied to a transaction. The SEC’s small-business guidance on broker-dealers explains that a broker is a person engaged in the business of buying or selling securities for the account of others. The SEC also identifies activities such as soliciting, negotiating, or executing transactions; compensation linked to the outcome or deal size; and handling securities or funds as relevant factors.
