Western Digital’s Split Is Complete: Sandisk Reemerged as an Independent Company

Western Digital completed its separation of Sandisk on February 21, 2025, leaving WD focused on HDDs and Sandisk as a standalone Flash company.

Western Digital completed the separation of its Flash business into Sandisk Corporation on February 21, 2025. Western Digital continued as an HDD-focused company, while Sandisk became a separate public company focused on Flash. Western Digital stockholders of record on February 12, 2025 received a pro rata distribution representing 80.1% of Sandisk’s outstanding shares.

What happened in the Western Digital–Sandisk split?

Western Digital announced plans in October 2023 to separate its HDD and Flash businesses. The transaction was completed on February 21, 2025, creating two independent public companies. Western Digital’s filing describes the distribution of Sandisk shares to stockholders of record on February 12, 2025: those stockholders received, pro rata, 80.1% of Sandisk’s outstanding shares. What does each company do now?

Sandisk described the transaction as a “significant milestone in our reemergence as a standalone global leader in flash-based storage solutions.” That wording comes from the company’s 2025 proxy statement, in a letter from its Chair and Lead Independent Director; “reemergence” is Sandisk’s characterization of its return as an independent company. Why did Western Digital split the businesses?

Western Digital said separate companies could pursue business-specific product development and opportunities, as well as their own capital structures and capital allocation. What does the split mean for investors?

The share distribution is the key direct consequence for eligible Western Digital stockholders: the company distributed 80.1% of Sandisk’s outstanding shares pro rata. The cited separation materials establish the transaction’s structure and business allocation, but they do not establish whether the split created long-term value for shareholders.

The two companies now report separately, so their results and capital decisions can be assessed on their own. For example, Sandisk’s August 5, 2026 fiscal fourth-quarter release said it had signed five additional New Business Model agreements since those announced on its April earnings call—three with new customers and two expanding prior agreements.
