VRJAM said it planned to integrate Montage into a Hedera-based product stack and use it to develop a proposed tokenized-liquidity system. The available record describes an announced plan, not proof that the system launched, was independently audited, or attracted customers.
What VRJAM acquired
The corporate and product names matter: the reported target was KnotNFT Inc., described as a Silicon Valley startup; Montage was KnotNFT’s flagship NFT trading and royalty-distribution platform. Jonathan Griffit was identified in the announcement excerpt as Montage’s CEO and co-founder. The available listing does not establish his current role or the post-acquisition status of the team.
The record does not provide a purchase price, deal structure, employee-transfer terms, equity details, or legal transaction documents. It describes VRJAM as an immersive-technology and Web3 software company and reports that it acquired KnotNFT and ownership of Montage’s technology. CB Insights’ VRJAM profile is the available source for these transaction details.
The dates do not establish a closing date
The listing shows May 7, 2024, for “VRJAM acquires Montage,” and May 8, 2024, for a related news item. But the release excerpt it reproduces says “San Francisco, Tuesday 26th March.” The acquisition was therefore publicly listed in May while the excerpt refers to a March 26 announcement; neither date, on this record alone, confirms the legal closing date.

What Montage was intended to add
VRJAM’s stated rationale was to add NFT trading and royalty distribution to its wider Web3 product stack. It described plans to use Montage in a system that could represent project liquidity with tradable tokens, connect trading activity across centralized and decentralized venues, and direct a share of revenue to community participants through royalties. The announcement also said Montage, originally designed for Ethereum, was intended to expand to other EVM-compatible networks.
Those are company-stated plans and potential benefits, not independently demonstrated capabilities. A platform can support NFT trading without proving that it can aggregate liquidity across venues, generate reliable community income, or sustain a viable market.

How the proposed token-bond model was supposed to work
In VRJAM’s description, “token bond” referred to a proposed token or NFT associated with liquidity locked in a project and made tradable through a marketplace. The announcement linked trading activity to price and liquidity signals and described potential royalty payments to community advocates. It did not establish that “bond” meant a conventional debt security, a guaranteed claim on assets, or a guaranteed source of yield.
- A brand, creator, or Web3 project would create an NFT or token bond through the proposed marketplace.
- The token would be associated with liquidity locked in the project.
- Users could trade the token bond, with trading intended to reflect or influence price and liquidity conditions.
- Community members promoting the project could potentially receive a share of revenue through royalties tied to trading activity.
- The system was intended to work beyond Ethereum on EVM-compatible networks.
This describes the announced design, not a verified production workflow. The available record does not identify a token standard, smart-contract address, custody arrangement, lockup enforcement mechanism, price-feed design, royalty formula, participating centralized exchange, completed cross-venue settlement, or independent security audit.

A token’s label does not settle what holders receive
Four separate questions would determine what this structure means in practice:
- Technical representation: What does the token’s code say it represents, and where is any associated liquidity held?
- Economic entitlement: Does a holder have an enforceable right to assets, revenue, or redemption, or only a tradable token?
- Legal status: Depending on the rights, marketing, purchaser expectations, and jurisdiction, an instrument could raise questions about securities, derivatives, collective investments, or other regulated products. NFT labeling alone does not determine classification.
- Enforceability: What recourse would holders have if liquidity were removed, contracts failed, or a project became insolvent?
The announcement does not answer these questions, so no legal classification or holder protection can be inferred from it.

Why Hedera and EVM compatibility were part of the plan
VRJAM connected the acquisition to its adoption of Hedera and said Montage would be integrated into a Hedera-based product stack. Its description also contemplated expansion to Ethereum-compatible networks. These statements indicate intended network direction; they do not establish that a Hedera deployment or cross-chain product went live. The available announcement excerpt does not document a deployment or technical integration.
“EVM-compatible” does not mean that an application behaves identically, has the same fees, uses the same tools, or shares liquidity on every network. Operating across chains typically requires additional deployment and operational infrastructure, and may involve bridges or messaging systems, separate liquidity, and network-specific security work. Hedera’s inclusion in a plan does not itself guarantee commercial viability, interoperability, security, or regulatory compliance.

What problem the model aimed to address
VRJAM framed the goal as helping brands, creators, and communities build Web3 economies beyond speculative token trading. The proposed combination—NFT ownership or membership, community advocacy, trading, royalties, and liquidity management—could in principle connect participation with monetization. Whether it creates lasting value depends on the design and behavior of the system, not the “token bond” label.
- Does the product give members utility beyond trading?
- Who contributes the initial liquidity, and who bears losses if token prices fall?
- What does “locked” mean in practice, who controls the lock, and can it be changed?
- Could payments tied to trading encourage excessive promotion or activity that does not reflect genuine demand?
- Can the model work without a continuing flow of new buyers?
- Would simpler loyalty, membership, creator-royalty, or liquidity-pool systems serve the same audience with less complexity?
Risks that matter to users and projects
Technology and market risks
- Smart-contract defects, compromised administrative controls, or failed upgrades could affect tokens or associated funds.
- Manipulated price feeds, thin markets, wash trading, or incentive-driven volume could make trading signals unreliable.
- Cross-chain bridges and messaging systems add potential failure points; liquidity may also fragment between networks.
- A claimed liquidity lock does not by itself guarantee a token’s price, redemption value, or protection from losses.
- Exchange integration, market-making, or secondary-market demand could fail, leaving holders unable to trade at expected prices.
- Royalty collection may not work consistently across marketplaces and secondary-market venues.
Legal, compliance, and business-model risks
Tokenized liquidity and revenue-sharing can raise regulatory questions depending on the instrument’s structure, promotion, rights, and jurisdictions involved. Consumer-facing brands may also need to assess disclosure, advertising, tax, anti-money-laundering, money-transmission, and promotional-marketing obligations. These are areas for specialist legal analysis, not findings that VRJAM violated any law.
There is also a practical trust problem: customers may not understand what is locked, where it is held, who controls it, or what happens when a project fails. Brands may hesitate to expose customers to a financial product whose risks and benefits are difficult to explain.
What is established about execution
The available account is a company/profile-style reproduction of an announcement. It does not establish a live Montage product, smart-contract deployment, audit, customer adoption, transaction volume, exchange integration, royalty payments, or operating performance. That is an evidence limit, not proof that none of those things ever existed; the listed material simply does not verify them. The CB Insights profile is the source for the announcement and acquisition listing discussed here.
