Vodafone Spain and MasOrange’s proposed fibre joint venture is now operating as PremiumFiber. Vodafone said it began operations on 4 December 2025, with more than 12 million premises in its footprint and nearly 5 million connected customers. Its reported ownership is 58% MasOrange, 17% Vodafone Spain and 25% GIC. The original July 2024 headline described only a nonbinding proposal; later agreements and the launch changed its status.
What is the Vodafone and MasOrange joint venture?
PremiumFiber is a company operating shared fibre-to-the-home (FTTH) infrastructure contributed by MasOrange and Vodafone Spain. The arrangement brings together network assets serving more than 12 million premises, according to Vodafone’s December 2025 launch announcement. It is intended for the two operators, rather than being established in the cited announcements as an open wholesale network for any retail provider.
At the time the binding agreement was announced in January 2025, Vodafone said each operator would maintain and operate the network assets it contributed. The announcements also mention XGSPON as a possible technology the network could adopt; that is not evidence that all customers already receive XGSPON, a particular speed or a defined service-quality level. Statements about better service, premium connectivity or energy efficiency are company claims, not independently measured comparisons in the cited material.
Is the fibre company already operating?
Yes. Vodafone reported that PremiumFiber commenced operations on 4 December 2025, after completion of the agreement. The earlier July 2024 announcement was not the launch: it announced a confidential, nonbinding letter of intent, with final terms and regulatory authorisations still outstanding.

How the proposal became an operating company
- 24 July 2024: MasOrange and Vodafone Spain announced a nonbinding proposal for nationwide network sharing and a shared fibre company expected to cover approximately 11.5 million premises. They contemplated a third investor, but had not yet reached a final agreement.
- 3 January 2025: Vodafone announced a binding agreement covering more than 12 million premises. Its proposed ownership at that stage was 50% MasOrange, 10% Vodafone Spain and 40% financial investor. Regulatory approvals were still required; closing was then expected by the end of the first half of 2025.
- 4 August 2025: MasOrange, Vodafone Spain and GIC announced revised terms, with approximate ownership of 58%, 17% and 25%. The parties said regulatory approvals were required and expected closing in the fourth quarter of 2025.
- 4 December 2025: Vodafone announced that the agreement had been completed and PremiumFiber had started operating.
Who owns PremiumFiber?
Vodafone’s December 2025 launch announcement reported the following ownership split:

There was a separate change at MasOrange’s parent-company level in 2026. Orange announced that it had acquired Lorca’s remaining 50% stake in MasOrange, making Orange the owner of 100% of MasOrange. That does not establish a change in PremiumFiber’s reported ownership: the two companies are distinct, and Vodafone’s cited PremiumFiber announcement gives the split above.

How many homes does PremiumFiber cover?
Vodafone reported more than 12 million premises in PremiumFiber’s network footprint at launch, alongside nearly 5 million connected customers. These are different measures: premises in the footprint are not the same as customers connected to the network. The approximately 11.5 million premises in the 2024 proposal was an earlier estimate, not the later launch figure.
Orange separately reported that MasOrange had 26 million mobile customers and 7.1 million fixed broadband customers at the end of the first quarter of 2026. Those are MasOrange-wide totals, not PremiumFiber connected-customer figures. A national footprint figure also does not confirm that a particular address can order service; the announcements do not provide a household eligibility checker.

What does the transaction mean financially?
In its August 2025 announcement, MasOrange said it planned to use €3.2 billion of net proceeds from the operation to repay debt. This was the announced intended use of proceeds, not an independently verified report that repayment had been completed. Vodafone described the venture as part of its plan to secure fibre access for its customers, while MasOrange presented it as a way to support connectivity and future upgrades; those are the companies’ stated rationales.
