Verizon appointed former PayPal chief executive and Verizon director Dan Schulman as CEO, replacing Hans Vestberg effective October 4, 2025. Verizon publicly announced the change on October 6. Mark Bertolini became board chairman, while Vestberg remained a director and special adviser during the transition, expected to run through October 4, 2026. The move is best understood not as the end of 5G investment, but as a shift toward turning Verizon’s network and expanded fiber footprint into stronger customer growth, broadband sales and financial returns.
What changed at Verizon?
The board-approved succession put Schulman in charge of Verizon on October 4, 2025. The company’s October 6 announcement described a leadership transition into a “new chapter.” Bertolini moved from lead independent director to board chair. Vestberg did not simply disappear from the company: he stayed on the board for the remainder of his term and took a special-adviser role during the handover.
The formal details, including the effective date and Vestberg’s advisory arrangement, appear in Verizon’s 2026 proxy statement. Verizon’s announcement is available at Verizon’s CEO-transition release.
Why Verizon said it made the switch
Chairman Bertolini said Schulman was the leader to guide a period of greater customer focus and financial growth. Schulman described Verizon as being at a “critical juncture” and identified several goals:

- Increase market share in mobility and broadband.
- Lower the cost to serve customers.
- Improve capital-allocation discipline.
- Regain leadership in the telecommunications sector.
Verizon also pointed to two timing considerations: years of major network investment had created a platform for growth, and the Frontier Communications transaction was approaching completion. Those statements explain the board’s intended direction; they do not prove that the new strategy will succeed or that any one executive caused Verizon’s competitive or financial challenges.
Planned transition or sudden announcement?
The company characterized the change as a board-approved transition. Because the public announcement came after the October 4 effective date, it looked abrupt to outside observers. The dates are different: October 4 was the effective change in leadership, while October 6 was the public announcement.
Who is Dan Schulman?
Schulman is a payments and consumer-technology executive rather than a career network engineer. He was president and CEO of PayPal and previously held senior roles involving AT&T, Priceline, Virgin Mobile and American Express. Verizon’s board appointed him a director in 2018, and he later served as independent lead director before becoming CEO.

Verizon said PayPal’s annual revenue grew from approximately $8 billion to $30 billion during Schulman’s tenure. That is the company’s characterization of his record, not an independently calculated performance measure in the appointment announcement. His background helps explain the emphasis on customer acquisition, digital experiences, operating efficiency and business transformation. It does not mean Verizon has decided that network engineering or infrastructure investment is no longer important.

Vestberg’s tenure was closely associated with a large network-investment cycle. Verizon credited him with advancing its 5G strategy, acquiring C-Band spectrum, expanding the Verizon Frontline public-safety business and negotiating the Frontier acquisition. The leadership change therefore follows a period in which Verizon built substantial network and spectrum capacity.
That record should not be reduced to a simple success-or-failure verdict. Verizon’s decision to seek stronger customer momentum and financial performance is a corporate objective, not evidence that Vestberg alone was responsible for every weakness or missed opportunity.

Does “after the 5G rollout” mean 5G is finished?
No. “After its 5G rollout” is useful shorthand for moving beyond the most intensive phase of construction and spectrum spending, but Verizon has not declared 5G complete or abandoned further investment. Its 2025 Form 10-K continues to describe 5G as part of an active infrastructure strategy alongside fiber, fixed wireless access, cloud infrastructure, private networks and automation. The more defensible interpretation is a change in emphasis: Verizon wants to monetize network investment through wireless subscriber growth, home-broadband bundles, fiber expansion, fixed wireless access, enterprise connectivity and lower operating costs. A strong network is an asset; the next test is whether it produces better growth and returns.

Verizon completed its Frontier acquisition on January 20, 2026. The transaction was not a $22.3 billion cash payment. Verizon reported approximately $9.4 billion in cash, net of cash acquired, and assumed approximately $12.9 billion of Frontier debt, for approximately $22.3 billion in total aggregate consideration. The closing is confirmed in Verizon’s 8-K; the consideration appears in its 2025 Form 10-K.

Frontier expanded Verizon’s fiber broadband footprint to 31 U.S. states and Washington, D.C. That makes the CEO’s assignment broader than running a wireless carrier after a 5G buildout. Schulman must integrate Frontier’s operations and systems while selling a combined mobility-and-broadband proposition. Vestberg’s transition responsibilities included helping with that integration.
Verizon’s 2026 proxy calls the deal a pivotal transformation milestone and links the strategy to a fiber footprint exceeding 30 million homes and businesses, with a longer-term ambition of 40–50 million fiber passings. Those are company targets and strategic ambitions, not guaranteed results. The relevant proxy discussion is at SEC.gov.

- Wireless and home-broadband bundling, especially where Verizon fiber is available.
- Fiber construction and the availability of fixed wireless access.
- Pricing, promotions and efforts to reduce customer-service friction.
- Integration of Frontier billing, network and service operations.
- Network and capital-spending priorities across wireless, fiber and enterprise services.
Claims about cheaper plans, better coverage, layoffs or immediate service improvements require separate evidence. None follows automatically from the leadership change.
What investors should measure
The “next phase” becomes credible only through operating results. Useful tests include:
- Mobility subscriber additions, churn and retention.
- Broadband and fiber net additions, passings and penetration.
- Fixed wireless access growth and broadband bundling rates.
- Frontier integration costs, timing and realized synergies.
- Operating-expense reductions and cost to serve.
- Capital expenditure, free cash flow and debt after the acquisition.
- Dividend policy and any share repurchases.
- Whether Verizon regains market share against AT&T and T-Mobile.
Verizon’s investor materials continue to identify Schulman as CEO as of 2026; its investor hub is at verizon.com/about/investors. These measures distinguish management’s promises from outcomes reported in later filings.
The central trade-off and key risks
Verizon needs both network strength and commercial execution. A network advantage has limited financial value if customers do not choose Verizon’s wireless and broadband products, or if the cost of serving them erodes returns.

- Capital intensity: Fiber expansion requires substantial spending while Verizon carries additional debt and maintains dividend expectations.
- Competitive pricing: Wireless rivals may keep promotions and prices under pressure.
- Execution risk: Cost cutting can damage customer experience if poorly managed.
- Leadership fit: Schulman brings transformation and payments experience, but telecom remains a capital-intensive, regulated network business.
- Convergence limits: Wireless-and-fiber bundles may not work equally well in every market.
What the appointment ultimately signals
Schulman’s appointment represents a change in emphasis—from primarily building network and spectrum advantage to using that advantage for customer growth, broadband convergence, efficiency and financial performance. Verizon is still investing in 5G and other network technologies. The harder question is whether Schulman can integrate Frontier and convert Verizon’s enlarged fiber and wireless platform into durable subscriber growth and better returns.
