How Veritone said it would use the proceeds
Veritone said it intended to combine the net proceeds with existing cash and cash equivalents to repay and/or restructure part of its convertible debt, and to fund working capital and general corporate purposes. That is a stated plan, not evidence that debt has already been repaid or restructured.
The prospectus says management has broad discretion over use of proceeds and that intended uses may change as plans and business conditions change. The documents do not identify a specific debt instrument or quantify what portion of proceeds would go to each purpose.

What the dated price and dilution figures show
The prospectus supplement reported a last sale price of $1.19 on September 30, 2026. The offering price of $0.75 was below that dated market reference. The $1.19 figure is not a live quote and should not be treated as the current market price.
The prospectus also calculated immediate dilution of $1.08 per share for new investors. That figure is based on Veritone’s net tangible book value as of June 30, 2026, and the assumptions in the offering. It is a prospectus calculation tied to that balance-sheet date and transaction scenario, not a prediction of subsequent trading losses.
