VAST Data’s reported $1 billion financing became official on April 22, 2026. The company announced that its Series F closed at a $30 billion valuation, with approximately $1 billion in total transaction value. The deal included both newly issued primary capital for VAST and secondary sales by existing shareholders, so it should not be described as a $1 billion cash injection into the company.
The financing confirms the February 6 report from CRN, which had attributed the proposed round to Israeli business publication Globes. At that stage, VAST had not confirmed the transaction.
What the February report said
On February 6, 2026, CRN reported that VAST Data was seeking approximately $1 billion at an estimated $30 billion valuation. The report said a substantial portion could be a secondary sale, giving early investors, founders and long-term employees an opportunity to sell existing shares.
That distinction mattered because a secondary transaction transfers money to selling shareholders rather than to VAST. CRN also reported that VAST did not comment when the story was published, so the February article described a financing process—not a completed round.

What VAST confirmed on April 22
VAST’s official announcement confirmed the closing of Series F on April 22, 2026. The company said:
- The valuation was $30 billion.
- Total transaction value was approximately $1 billion.
- The financing included both primary and secondary capital.
- Drive Capital led the round and Access Industries co-led it.
- Existing investors including Fidelity Management & Research Company, NEA and NVIDIA participated, alongside new investors.
VAST said the primary proceeds would support global expansion, technology expansion, and strategic transactions or partnerships. It did not disclose how the approximately $1 billion was divided between primary and secondary capital. The official announcement is available at VAST Data.
Why primary and secondary capital are different
Primary capital
Primary capital comes from newly issued shares and goes to the company. It can fund hiring, research and development, sales expansion, acquisitions, infrastructure or working capital.
Secondary capital
Secondary capital is paid to existing shareholders who sell shares. It can provide liquidity without increasing VAST’s cash balance or issuing an equivalent amount of new operating capital.
Consequently, “approximately $1 billion in total transaction value” is the accurate description. The evidence does not support saying that VAST received the full $1 billion for expansion. The earlier Globes-based report suggested secondary liquidity would be substantial, while VAST’s final announcement confirmed only the mixed structure and not the precise split.

How much did VAST’s valuation increase?
VAST said the $30 billion Series F valuation was more than three times the $9.1 billion valuation associated with its late-2023 Series E. That earlier round was reported as $118 million. VAST co-founder Jeff Denworth told CRN at the time that the company did not need the funding and was already cash-flow positive.

This repricing occurred in roughly two and a half years. It reflects investor willingness to value VAST as a broader AI data-platform company, not merely as a conventional storage-array vendor.
What VAST Data sells
VAST began as a high-performance storage company and now markets a broader VAST AI Operating System and unified data-and-computing platform. The company says the platform brings together services commonly separated among storage, databases, real-time processing and compute-oriented infrastructure.

Its technical foundation is DASE, or Disaggregated Shared Everything. VAST positions DASE as a parallel distributed architecture intended to provide scale, performance, resilience and simpler management for AI and other data-intensive workloads. These are company product claims, not an independent certification of performance.
Why AI spending increases the importance of data infrastructure
AI systems need more than processors. Training and inference pipelines must continuously read, transform, share and protect very large datasets. Storage throughput, metadata operations, data movement and pipeline delays can limit how effectively expensive GPUs are used.

Modern deployments also combine unstructured files, structured records, vector or semantic information and real-time operational data. AI-cloud providers need multi-tenant systems that can serve many customers, while enterprises need infrastructure that supports both model development and production inference.
VAST’s investment thesis is that this data layer becomes more strategic as AI clusters grow. That is a company positioning, not proof that every AI project requires VAST or that the market will consolidate around one vendor.
Operating metrics behind the valuation
In its financing announcement, VAST reported:
- More than $4 billion in cumulative bookings.
- More than $500 million in Committed Annual Recurring Revenue (CARR) exiting its previous fiscal year.
- Positive operating margin.
- Positive free cash flow.
- A 228% Rule of X score in its most recent fiscal year.
These are company-reported figures from a private business, not audited public-company filings in the cited announcement. Bookings are not recognized revenue. CARR is not the same as GAAP revenue and its definition, duration and cancellation terms were not reconciled there. Operating margin is different from net income, and free cash flow depends on the company’s measurement choices. Rule of X is a growth-and-profitability framework, not a universal accounting standard.
Using only the disclosed minimum, a $30 billion valuation is at least roughly 60 times $500 million of CARR. That is a simple headline ratio, not a conventional revenue multiple: the CARR figure is stated as “more than” $500 million and is not audited revenue.

VAST cited deployments or relationships involving CoreWeave, Lowe’s, the U.S. Air Force and Cursor, along with comments from Mistral AI, JPMorganChase and Crusoe. The examples span AI clouds, enterprises, government, financial services, model development and AI-agent workloads.

VAST and CoreWeave also announced a commercial agreement valued at approximately $1.17 billion, according to CRN. Contract value should not be treated as current annual revenue or as proof of recognized sales.

What investors should still verify
- Primary proceeds: How much of the transaction actually went onto VAST’s balance sheet?
- CARR quality: What contracts, terms, renewal rates and usage assumptions are included?
- Revenue concentration: How dependent is the company on a small number of AI-cloud or large enterprise customers?
- Business mix: How much value comes from software subscriptions versus hardware bundles, integration and channel partners?
- Margin durability: Can positive cash flow persist as deployments, support obligations and supply-chain costs expand?
- Partner dependence: What leverage do NVIDIA, cloud providers and OEM channels have over distribution and economics?
- Exit expectations: Does a $30 billion private valuation increase pressure for an IPO or strategic sale?
What enterprise buyers should evaluate
VAST’s proposition is most relevant where large, concurrent workloads make data movement and storage performance material constraints. Buyers should compare it with enterprise NAS and scale-out storage, object storage, hyperscaler-managed AI services, GPU-cloud platforms, data-lakehouse products and internally assembled commodity infrastructure.
- Sustained throughput during concurrent training and inference.
- Metadata scalability and latency.
- Required NFS, SMB, S3 and Kubernetes compatibility.
- Data protection, recovery and security controls.
- Multi-tenancy, quality-of-service and governance features.
- Migration tooling and data portability.
- On-premises, cloud and hybrid deployment options.
- Hardware lifecycle, support coverage and partner availability.
- Pricing based on capacity, performance, subscription, appliances or a blended model.
Small teams or modest model-development projects may find a managed object-storage or cloud service simpler and cheaper. A large AI platform should require a workload-specific proof of concept and a full total-cost analysis.
Bottom line for the financing story
VAST Data did not merely continue to “aim for” a $1 billion round. It closed Series F at a company-announced $30 billion valuation on April 22, 2026, with approximately $1 billion in total transaction value. The central qualification is the structure: the financing combined primary and secondary capital, and the exact split remains undisclosed.
The deal signals strong investor conviction in AI data infrastructure and in VAST’s reported growth, cash generation and platform strategy. It does not by itself prove that VAST received $1 billion for operations, that its bookings equal revenue, or that its customer relationships establish market leadership.
