Tripledot Studios acquired AppLovin’s mobile-gaming business, including 10 studios and their game portfolio. Announced on May 7, 2025, at approximately $800 million, the transaction closed on June 30, 2025. That headline figure was not an $800 million cash payment: AppLovin received cash and an equity interest in Tripledot, and later reported a different accounting value for the consideration.
What happened in the Tripledot–AppLovin deal?
Tripledot bought AppLovin’s mobile-game studios and associated portfolio, not AppLovin Corporation itself. The agreement was announced on May 7, 2025, and AppLovin confirmed the sale closed on June 30, 2025. The sale marked AppLovin’s exit from operating the divested gaming business while it concentrated on advertising and software.
Tripledot described the transaction as worth approximately $800 million. That is best understood as the deal’s announced headline value, rather than cash paid at closing. AppLovin’s later SEC filing reported total consideration of $715.6 million for accounting purposes. AppLovin described the portfolio as 10 studios. The transaction was a business and portfolio sale, not simply the purchase of one publisher or one game.

Representative games named in connection with the portfolio include Hexa Sort, Wordscapes, Clockmaker, Cooking Madness, West Game and Project Makeover. A studio, a publishing label, a franchise and an individual title are different things; the public transaction announcement does not establish that every listed game was transferred under an identical legal arrangement. Why was the deal called an $800 million acquisition?
Tripledot announced an approximate $800 million value and described the structure as roughly half cash and half equity. AppLovin’s closing announcement gave a more specific description: $400 million in cash, subject to closing adjustments, plus equity representing approximately 20% of Tripledot’s fully diluted equity at closing. These descriptions distinguish the headline valuation from the form of consideration.

AppLovin’s June 30, 2025 SEC filing later recorded total consideration of $715.6 million: $430.6 million in cash and 596,869,142 Tripledot ordinary shares valued at $285 million. The announcement figure and the filing’s accounting figure differ; they describe the transaction at different stages and on different valuation bases. How the payment terms changed
AppLovin’s filing for the quarter ended March 31, 2025 described the original agreement as $400 million in cash consideration—$150 million payable at closing and a $250 million secured promissory note—plus Tripledot shares representing approximately 20% of its fully diluted equity. The filing also said Tripledot expected to finance part of the cash purchase price with debt. Why did AppLovin sell its gaming business?
AppLovin said the sale streamlined the company around its core business and allowed it to focus on advertising and related opportunities. The distinction is between operating games directly and supplying software and advertising infrastructure used by app businesses. The sale removed the divested studios and games from AppLovin’s operating portfolio; it did not sell the public company or its continuing advertising business.
AppLovin’s SEC filing treated the Apps Business as discontinued operations because the divestiture represented a strategic shift with a major effect on its operations and financial results. For AppLovin, the trade-off was giving up direct exposure to game-development performance in exchange for cash and an ownership interest in Tripledot, while simplifying its business focus. Why did Tripledot want the portfolio?
The acquisition gave Tripledot more studios, established games and geographic reach, including a larger presence in the United States and Asia. Tripledot presented the deal as a way to broaden genres and teams, diversify its portfolio and expand its operating scale. Those benefits come with the work of integrating multiple studios, including their technology, analytics, publishing practices, live operations and organizational cultures.
Tripledot said the combined operation would have 12 studios across 23 cities, approximately 25 million daily active users and annual gross revenue approaching $2 billion. It also said no single game would represent more than 10% of total net revenue. These are company-provided claims about the combined business, not independently audited post-acquisition results. Scale can spread reliance across more titles, but it does not eliminate exposure to changing player engagement, app-store rules, user-acquisition costs or the ongoing expense of maintaining live games. What does the sale mean for AppLovin shareholders?
The buyer’s cash and Tripledot equity were consideration to AppLovin and relevant subsidiaries under the transaction—not Tripledot shares distributed directly to AppLovin’s public shareholders. AppLovin described its stake as approximately 20% of Tripledot’s fully diluted equity at closing. Because Tripledot is privately held, that stake is not equivalent to publicly traded shares: it is less liquid and more difficult for outside investors to value.
What does it mean for employees and players?
The deal transferred the gaming portfolio and studios to Tripledot. Tripledot said it would welcome the associated teams, but the cited transaction announcements do not set out a detailed post-closing workforce plan or guarantee continued employment, unchanged reporting lines or unchanged studio branding.
For players, a change in ownership does not itself guarantee that a game will continue indefinitely or remain unchanged. Future development, in-game economies, support teams and availability can depend on later business decisions. The acquisition announcements alone do not establish whether any of those elements changed after closing.
What the transaction signals about mobile gaming
The deal illustrates the appeal of portfolio scale in a business where companies compete to attract users, retain them through regular updates, monetize through advertising and in-app purchases, and use analytics and cross-promotion across titles. A larger portfolio can offer more ways to balance performance across games, but it also means managing more teams and live products. Tripledot’s challenge is to integrate the studios while sustaining the games; AppLovin’s strategic bet is that advertising and software are a more focused core than owning those studios directly.
