No—the TikTok deal is not still waiting to close this week. Reports said the U.S. divestiture closed around January 22–23, 2026, creating TikTok USDS Joint Venture LLC. The U.S. app remains available, but the transaction did not sell TikTok worldwide or make every technology, data and regulatory question disappear.
What the TikTok deal actually was
The transaction covered TikTok’s U.S. operations and assets, not the global TikTok business. It was intended to satisfy the U.S. law requiring ByteDance to divest the American operation or face restrictions on distributing and operating the service.
The new U.S. operating entity is TikTok USDS Joint Venture LLC. Its establishment was announced on January 23, 2026, in the venture’s official notice: TikTok USDS Joint Venture LLC Established. TikTok’s current U.S. Terms of Service identify that company as the platform operator.
A political announcement, a proposed framework, a presidential enforcement decision and a completed transaction are different events. The closing is supported by January reporting and the subsequent formation announcement—not merely by an earlier promise to find a buyer.

Who owns the U.S. operation?
Axios reported that Oracle, Silver Lake and Abu Dhabi investment firm MGX collectively received 45% of the U.S. entity. ByteDance was reported to retain a minority interest; earlier proposed structures described that interest as 19.9%. The remaining ownership was associated with other investors.

That structure makes it more accurate to say that TikTok’s U.S. operations are held through a U.S.-based joint venture with reported American-led ownership—not that TikTok worldwide became an entirely American company. What happened to the algorithm and data?
The hardest issue was never just transferring a corporate subsidiary. The recommendation engine is embedded in software, models, training data, update processes and operational controls. “U.S. control” can therefore mean several different things:
- Who owns or licenses the recommendation technology;
- Who controls source-code access, model training and updates;
- Who hosts and can access U.S. user data;
- Who sets content-moderation and security policies; and
- Whether the American recommendation system is technically separate from the global system.
Earlier proposals and White House descriptions referred to U.S. control of the algorithm and an American-majority board. Those descriptions do not, by themselves, prove that every ByteDance-developed component was sold outright or that the U.S. system is wholly independent. The law’s national-security rationale concerned possible Chinese government access to data and influence over content. The transaction was intended to address those concerns; it is not evidence that officials, courts or independent technical auditors have declared all such risks eliminated. Why did the transaction take so long?
Chinese approval and technology rules
China’s export-control and technology rules created uncertainty over whether recommendation technology could be transferred, licensed or modified for a U.S. structure.
Trade and diplomatic friction
Reuters reported that an earlier spin-off plan was put on hold after tariff tensions and Chinese objections. Negotiations therefore involved broader U.S.–China relations, not only a private sale.

The structure had to reduce ByteDance’s control enough to meet the U.S. statute while defining board authority, investor rights and continuing technology relationships.

Data governance and political scrutiny
U.S. officials wanted assurances about American user data and security operations. Lawmakers in both parties continued to question whether any arrangement sufficiently reduced national-security risk. Reuters reported repeated deadline extensions, including one to September 17, 2025, at Investing.com. A September framework still required substantial work, according to AP: AP News.

The app did not become a wholly separate global product overnight. Existing accounts, followers, videos and core features continued after the new entity was established. Most users may notice no immediate interface change.
The legal relationship did change. TikTok’s U.S. Terms of Service, last updated July 15, 2026, name TikTok USDS Joint Venture LLC as operator: U.S. Terms of Service. The U.S. Privacy Policy, last updated February 5, 2026, is available at U.S. Privacy Policy. Those documents are the right place to check the contracting entity, dispute provisions and stated data practices.

Creators
- Accounts and audiences were not automatically reset by the ownership change.
- Review payout terms, tax forms, content licenses, music rights, moderation rules and age-related policies for references to the new operator.
- Keep an audience presence elsewhere. A new ownership structure does not remove outage, regulatory or service-continuity risk.
Advertisers and businesses
- Confirm which entity appears in current advertising and commercial agreements.
- Expect campaign measurement, commerce and branded-content rules to evolve independently of the ownership closing.
- Do not assume the U.S. operating company is identical to TikTok’s global commercial or technology relationships.
TikTok for Business separately announced a 2026 transition away from its “Custom Identity” advertising setup toward linked, verified business accounts. That product change is described at TikTok for Business and is not itself proof of an ownership change.
What remains unresolved
- Technical separation: Public descriptions do not fully establish how source code, model training, licensing and updates are divided.
- Final economics: Reported percentages should not be treated as a verified final cap table without transaction filings.
- Residual influence: A minority ByteDance stake can fall below a statutory control threshold without proving that every relationship or influence channel ended.
- Legal durability: Litigation, Chinese export controls, future executive enforcement decisions or new legislation could still affect the arrangement.
- Transparency: A closing can resolve the immediate shutdown threat while leaving valuation, governance and security details less visible than users and lawmakers might prefer.
The practical verdict is narrower than “TikTok is now fully American.” The January 2026 closing placed the U.S. service in a new joint venture and kept the app operating, but the long-term test is whether the venture’s actual technology, data and governance controls satisfy the law’s purpose as well as its formal ownership requirements.
