The arrangement leaves ByteDance with a 19.9% stake rather than eliminating its ownership. It changes the stated control structure for U.S. data, the recommendation algorithm and trust-and-safety decisions, but questions remain about how ByteDance’s algorithm license fits the law governing a qualified divestiture.
What was formed
TikTok USDS Joint Venture LLC was established to oversee TikTok’s U.S. operations. TikTok says the entity was created in compliance with the September 25, 2025 executive order and is independent from the prior U.S. Data Security organization on which it was built.
The company says U.S. users can keep using the same TikTok app. It also says the safeguards apply to CapCut, Lemon8 and other TikTok apps and websites available in the United States.
TikTok’s 2026 announcement described a community serving more than 200 million Americans and 7.5 million businesses. That figure is the company’s description of users and businesses able to continue using its services; it is not the same measurement as the approximately 170 million Americans cited by the White House in the 2025 executive order.

Who owns and governs the venture

The three managing investors each hold 15%, while ByteDance retains 19.9%. Because ByteDance still owns a minority interest, this is not a complete sale and should not be described as ByteDance having no ownership.
Board and executives
TikTok says the venture has a seven-member board with a majority of American members. Its listed directors are Shou Chew, Timothy Dattels, Mark Dooley, Egon Durban, Raul Fernandez, Kenneth Glueck and David Scott. Adam Presser was appointed chief executive officer and Will Farrell chief security officer.
The board structure is the company’s stated governance arrangement. The announcement does not, by itself, establish how every decision will work in practice after the entity begins operating.

What TikTok says will change operationally
Data and cloud infrastructure
TikTok says U.S. user data will be protected in Oracle’s secure U.S. cloud environment. It describes a privacy and cybersecurity program that will be audited and certified by third-party cybersecurity experts and aligned with the NIST Cybersecurity Framework, NIST 800-53, ISO 27001 and the Cybersecurity and Infrastructure Security Agency’s Security Requirements for Restricted Transactions.
Those are announced safeguards and standards, not independent evidence that the controls are currently effective. The available materials do not provide a completed audit report or an independent finding on ongoing compliance.
Recommendation algorithm
The venture says it will retrain, test and update the recommendation algorithm using U.S. user data and keep the algorithm secured in Oracle’s U.S. cloud. TikTok also says the venture will review and validate source code on an ongoing basis with Oracle serving as a trusted security partner.

Associated Press reporting says ByteDance will license the algorithm to the U.S. entity for retraining. That creates an important distinction: the American venture may operate and adapt the system, while ByteDance remains involved through a licensing relationship.
Moderation and trust and safety
TikTok says the new venture will have decision-making authority over U.S. trust-and-safety policies and content-moderation decisions. The announcement establishes that as the company’s intended allocation of authority; it does not independently verify post-formation moderation outcomes.

Why the algorithm relationship remains unsettled
Executive Order 14352 describes a qualified divestiture as removing foreign-adversary control and preventing an operational relationship with the U.S. business. The order specifically says that prohibited cooperation can include cooperation over recommendation-algorithm operation and data-sharing agreements. The administration concluded that the proposed U.S.-based, majority-American-owned joint venture could satisfy that framework, subject to implementation agreements.

AP reported that ByteDance’s algorithm license would support retraining and also noted uncertainty about how that continuing involvement fits the statutory bar on cooperation concerning algorithm operation. The reporting identifies a live legal question; it does not itself determine that the structure violates the law or prove that it complies.
As Georgetown law and technology professor Anupam Chander told AP, “Who controls TikTok in the U.S. has a lot of sway over what Americans see on the app.” That makes the practical division of control more consequential than the ownership percentages alone.

- Ownership and voting control: whether the majority-American ownership and board majority translate into effective decision-making authority.
- Algorithm operations: who can access, retrain, test, approve and update recommendation models, and what ByteDance’s license permits.
- Data location and access: whether U.S. data remains in the stated Oracle environment and which personnel or entities can reach it.
- Security oversight: whether third-party audits are completed and what their scope and findings are.
- Moderation authority: whether the venture independently sets and enforces U.S. trust-and-safety policies.
Neither TikTok’s announcement nor the executive order independently establishes the venture’s current performance on those measures.
What the deal means for U.S. users and businesses
For users, the immediate practical message is continuity: TikTok says the existing app remains available, rather than requiring a separate American download. For businesses, creators and advertisers, the ownership and governance changes may matter over time because recommendation rules, moderation decisions and data-handling practices can affect reach, compliance and commercial operations.
The announcement does not provide a new consumer sign-up process, a change to the app’s name or a published schedule for replacing the existing service. Any future operational change should be judged against the venture’s documented authority and independently verifiable security and compliance results.
