The announcement produced an unusual outcome: the buyer that wanted the company lost the deal, while a rival obtained key people and selected intellectual property without taking on the entire business.
What Windsurf built and why it mattered
Windsurf developed an AI-assisted coding editor with agentic features that could generate, modify and navigate software. Its product competed for a place inside developers’ daily workflows alongside Cursor, GitHub Copilot and tools built around Visual Studio Code.
That position is strategically valuable. A coding agent sees the code a developer is writing, can influence which models and cloud services are used, and may become a distribution channel for a broader AI platform. For Google, Microsoft and OpenAI, winning that workflow can matter as much as winning a standalone chatbot user.

Why OpenAI pursued Windsurf
OpenAI was reported in May 2025 to be negotiating a roughly $3 billion acquisition. The figure described the expected value of a proposed transaction, not money OpenAI ultimately paid. An acquisition would have offered OpenAI a mature product, an experienced team, a base of developer users and feedback from real coding tasks.
It also would have accelerated OpenAI’s coding ambitions rather than requiring the company to build every editor, agent and enterprise workflow internally. The proposed purchase would have combined product distribution with scarce technical expertise.
Where Microsoft entered the negotiations
Reporting from The Information and analysis from Thurrott described concerns about how Windsurf technology would fit within the OpenAI–Microsoft agreement.
The reported issue was that OpenAI’s contractual obligations could give Microsoft access to technology OpenAI obtained, potentially including Windsurf-related intellectual property. Microsoft also operates competing developer products, including Visual Studio Code and GitHub Copilot. That created both a contractual question and a direct commercial conflict.

It is too strong to state as settled fact that Microsoft formally “vetoed” or “killed” the acquisition. Public reporting establishes Microsoft’s role and the reported IP concerns, but does not disclose the complete contract or prove the precise legal mechanism that ended negotiations. The headline’s “Thanks, Microsoft!” is an interpretation of the competitive result, not a confirmed statement of Microsoft’s intent.
What Google actually obtained
On July 11, 2025, Google and Windsurf announced that Mohan, Chen and selected research and development employees would join Google DeepMind. Reuters reporting said the arrangement also involved approximately $2.4 billion in license fees. Reuters’ contemporaneous account and TechCrunch’s report described the license as non-exclusive and said Google did not take a stake in Windsurf.
In practical terms, Google received:
- A non-exclusive license to certain Windsurf technology.
- Windsurf’s chief executive, Varun Mohan.
- Co-founder Douglas Chen.
- Some research and development personnel placed within Google DeepMind.
Google did not receive the entire Windsurf workforce, all of the company’s operations or exclusive ownership of every piece of its intellectual property. The public reports do not disclose how the reported $2.4 billion was divided among licensing rights, talent-related arrangements and liquidity for stakeholders.
Is this an acquisition, an acquihire or a license?
The most accurate description is a technology-licensing and talent-recruitment deal with acquihire characteristics.

- Acquihire-like: Google recruited the CEO, co-founder and selected technical staff.
- Licensing transaction: Google reportedly paid for non-exclusive rights to certain technology.
- Not a full acquisition: Windsurf remained a separate operating company and Google did not take control of it.
Calling it simply an “acquihire” omits the technology rights. Calling it a Google acquisition of Windsurf is materially inaccurate.
Why Google would pay billions without buying the company
Speed and scarce expertise
Experienced builders of coding agents are difficult to recruit one at a time. Hiring a proven leadership group can shorten the path to useful products and help Google compete in a rapidly moving market.
Less operational baggage
A license and selected hires let Google avoid assuming Windsurf’s entire customer base, contracts, liabilities and operating obligations. It could obtain capabilities without integrating every part of the startup.
Strategic flexibility
Because the reported license was non-exclusive, Google gained access without necessarily locking itself into a full-company acquisition. Windsurf could continue developing and licensing its product elsewhere.

DeepMind and Gemini ambitions
The hires were positioned within Google DeepMind, where agentic coding expertise could support Google’s developer products and Gemini-related work. The announcements do not establish exactly which future products will use the licensed technology.
What happened inside Windsurf
Windsurf announced that Head of Business Jeff Wang would become interim CEO and that Graham Moreno would become president. Most of the broader team was expected to continue building the product, particularly for enterprise customers.
That structure is why the Google deal did not automatically mean Windsurf would shut down or become a Google-only service. It did, however, remove senior leaders and some researchers, creating potential execution and roadmap risks.

OpenAI
OpenAI lost a ready-made coding platform and the opportunity to secure Windsurf’s leadership before Google did. The episode also exposed how a partnership can limit freedom to enter adjacent software markets. It does not prove that OpenAI’s coding strategy failed or that its Microsoft relationship was ending. Reports that OpenAI considered antitrust pressure against Microsoft should be treated as separate context, not a proven consequence of this deal.

Microsoft
Microsoft’s reported contractual leverage may have reduced the risk of OpenAI acquiring a direct competitor to Visual Studio Code and GitHub Copilot. The trade-off is that Google obtained the talent and technology opportunity instead. Nothing in the public record proves Microsoft deliberately intended to hand those assets to Google.
Google gained experienced coding-agent leadership and technology without buying an entire startup. That strengthens its position against Microsoft, OpenAI, Cursor and other developer-tool providers, while leaving Google responsible for proving that startup expertise can translate into execution inside a large organization.
Windsurf
The company retained independence and reportedly received a substantial liquidity event, but it also lost its top executives and some researchers. Interim leadership, customer confidence and the ability to compete with better-funded rivals became important variables.
What Windsurf customers should watch
The company’s continued operation was the public position at the time of the announcement, but customers should separate that fact from assumptions about long-term stability.
- Contract continuity: Confirm that enterprise agreements, support contacts and service-level commitments remain unchanged.
- Data handling: Recheck where source code, prompts and telemetry are processed, stored and retained.
- Model dependencies: Ask which model providers and APIs the product relies on and whether licensing changes could alter those options.
- Roadmap and staffing: Seek an updated product roadmap and escalation path after the leadership transition.
- Integration risk: Review IDE, identity, security and procurement dependencies before making a multiyear commitment.
For alternatives, readers can compare official information from Windsurf, Cursor, GitHub Copilot, Gemini Code Assist and Devin. Product features, pricing and enterprise terms change frequently and should be checked directly with each provider.
The broader lesson for AI deals
The Windsurf episode shows why modern AI transactions are not always conventional mergers. Control can be divided among employees, intellectual property, distribution, customer contracts and the rights contained in a strategic partnership.
OpenAI sought the whole company and got none of it. Google obtained valuable people and licensed technology while leaving Windsurf operating. Microsoft’s relationship with OpenAI shaped what the first transaction could deliver, but the resulting competitive benefit flowed, at least initially, to Google. That is the central fact behind the headline—and the reason this was more than a failed acquisition story.
