Telegram’s Announced $300 Million Grok Deal: What It Means for TON and Crypto

Telegram announced a one-year Grok integration with $300 million in cash and xAI equity plus subscription revenue sharing. The contract status was publicly disputed, and no direct TON role was announced.

Short answer: On May 28, 2025, Telegram founder Pavel Durov announced a one-year arrangement for xAI’s Grok to be integrated across Telegram, saying Telegram would receive $300 million in cash and xAI equity, plus 50% of revenue from xAI subscriptions sold through the app. But Elon Musk reportedly said no formal agreement had been signed. The announcement described an AI distribution deal—not a TON investment or a confirmed crypto partnership.

What Telegram announced

Durov’s May 28, 2025 announcement said Telegram and xAI had agreed to a one-year partnership to bring Grok to Telegram’s “billion-plus” users and integrate it across Telegram’s apps. That audience figure was Telegram’s stated scale, not a claim that every user was active or would receive the feature.

The announced commercial terms were $300 million in cash and xAI equity for Telegram, plus 50% of revenue from xAI subscriptions sold through Telegram. TechCrunch described the arrangement as xAI paying Telegram for distribution and integration. The public announcement did not specify how the $300 million was divided between cash and equity, when it would be paid, or how the equity would be valued.

Durov’s announcement sets out Telegram’s version of the terms. It is more precise to describe these as announced terms than to say Telegram completed a $300 million financing or that xAI invested $300 million in the company. Cash, equity, and a distribution payment are not interchangeable: cash can provide liquidity, while equity’s value depends on its valuation and liquidity.

Why the contract status matters

Telegram’s announcement and Musk’s reported response conflict on a consequential point. Durov said the parties had agreed; The Block reported that Musk said no formal agreement had been signed. The public record cited here therefore does not establish that the arrangement was signed, completed, paid, or implemented as announced.

Those are separate milestones. An announcement describes intended terms; a signed contract establishes formal commitments; payment and revenue sharing depend on the contract’s conditions; and a product rollout is a separate operational step. The announcement alone does not confirm that each milestone occurred.

What Grok was supposed to do in Telegram

Contemporary descriptions presented Grok as an assistant reachable from Telegram’s interface, including near the top of the chat screen and through search. Reported or demonstrated capabilities included:

  • Writing and editing help.
  • Summaries of chats, documents, and links.
  • Sticker and avatar generation.
  • Business assistance.
  • Support for moderating group chats.

These were announced or demonstrated functions, not proof that every feature launched for every country, platform, account, or subscription tier. TechCrunch’s report and Social Media Today’s coverage describe the planned feature scope.

Why Telegram and xAI might want the arrangement

Telegram: monetize distribution and add an AI feature

The proposed deal would let Telegram monetize its reach through the announced payment and a share of qualifying subscription revenue, while adding an AI assistant without Telegram having to build and operate a frontier model itself. If delivered, writing help, summaries, and business tools could also make the app more useful and competitive with messaging platforms that offer embedded assistants.

The financial terms do not establish $300 million in recurring annual revenue. The arrangement was described as one year, and the public announcement did not say whether the amount was guaranteed, paid upfront, conditional, or split over time. Nor did it state whether revenue sharing would continue after the stated term.

xAI: reach users beyond X

Telegram would give xAI a large existing distribution channel and a potential route to subscription sales beyond X. The strategic aim was reach and product use, not a stated blockchain deployment. The Information’s contemporary summary described Telegram as an offer of chatbot distribution.

What the announcement does—and does not—mean for TON

Direct TON effects were not announced

The public terms did not identify a TON payment requirement, subscription settlement through TON, an xAI purchase of TON, a build on The Open Network, or new token utility tied to Grok. No publicly announced direct TON component is established by the sources cited here. That does not prove no private or later arrangement exists; it means the announced Grok terms do not provide evidence for one.

Durov has separately promoted TON’s distribution advantages through Telegram, but that separate statement does not show that the Grok arrangement uses TON. See Durov’s separate post about TON.

Indirect benefits are possible, not automatic

If an AI rollout increased Telegram engagement, business activity, or use of mini-apps, it could indirectly help parts of Telegram’s broader ecosystem, including some crypto applications. But more time in Telegram does not necessarily mean more TON transactions or token demand. Activity could benefit non-crypto features, competing applications, or other tokens instead.

Why TON reportedly rose after the announcement

CoinDesk reported that TON rose as much as 16% after the May 28, 2025 announcement. That is a reported short-term market move, not proof the deal caused it or created durable value. Traders may have treated the news as positive for Telegram, speculated about future ecosystem activity, or reacted to Musk-related attention; momentum and crypto-market volatility can also move prices. None of those interpretations establishes lasting demand for TON.

Privacy, moderation, and security questions

Features that summarize chats, documents, or links raise practical questions about what information would be sent to an external AI provider and under what controls. The cited announcement and contemporary feature coverage do not settle the answers. Before submitting sensitive material to any integrated assistant, users need clear product terms and privacy disclosures.

  • Which content is transmitted to xAI, and is use opt-in?
  • Is submitted content retained or used to train models?
  • Are private chats treated differently from groups, channels, or business accounts?
  • What controls do business users have over confidential data?
  • How are inaccurate summaries, harmful outputs, or moderation mistakes handled?

Group moderation assistance would not remove the need for human oversight. AI can miss context or produce errors; a prominent assistant could also become a target for impersonation, phishing, token promotion, and other scam attempts inside Telegram.

What crypto readers should watch

For investors or TON users, the useful evidence would be concrete product and commercial milestones—not the announcement or an initial token move alone:

  • An official Telegram or xAI confirmation that a binding agreement was executed.
  • Evidence of rollout, with the supported platforms, countries, account tiers, and billing terms specified.
  • Published terms showing whether subscriptions are sold through Telegram and how revenue sharing works.
  • Any explicit TON payment, wallet, mini-app, or on-chain integration announcement.
  • Financial disclosure or other confirmation of payment, revenue, or renewal of the one-year arrangement.
  • Current privacy documentation explaining data handling for Grok features.

xAI’s official news archive is one place to check for later company announcements; the cited materials do not establish whether the proposed arrangement ultimately ran for the full year or was renewed. Until direct crypto mechanics are documented, the deal is best understood as an announced AI distribution and monetization arrangement, not a TON investment thesis.
