Synopsys Completed Its Ansys Acquisition: What the $35 Billion Deal Means

Synopsys closed its Ansys acquisition in July 2025, but the roughly $35 billion figure was an announced cash-and-stock valuation. Here’s what the deal changed, what regulators required, and what remains to be verified about integration.

Synopsys completed its acquisition of Ansys on July 17, 2025. The deal was announced at an estimated enterprise value of about $35 billion, but that was a cash-and-stock valuation—not a fixed cash payment. Ansys is no longer a separately traded company, and the combined business is pursuing a broader engineering-software platform. The transaction closed after regulatory review; divestitures required to address competition concerns followed as a separate milestone.

What happened—and what does “$35 billion” mean?

Synopsys announced the acquisition on January 16, 2024, and completed it on July 17, 2025. Ansys shareholders approved the transaction, and Ansys common stock ceased trading on Nasdaq after closing. The completion announcement is available from Synopsys; Ansys’ investor-relations site now directs visitors to the combined company’s information at Ansys investor relations.

The approximately $35 billion figure was the announced enterprise-value estimate, calculated using Synopsys’ closing share price on December 21, 2023. Under the original terms, each Ansys share was to receive $197 in cash plus 0.3450 Synopsys shares, subject to provisions in the merger agreement. Because a portion of the consideration was stock, its value moved with Synopsys’ share price; agreement provisions also addressed the share issuance and adjustments. The $35 billion estimate therefore should not be read as the exact value delivered at closing. Why did the deal take about 18 months?

The transaction required shareholder approval and regulatory review in multiple jurisdictions. Competition concerns were central to the process, rather than a routine administrative detail. The U.S. Federal Trade Commission said the combination could eliminate head-to-head competition in three software-tool markets and risk higher prices or less innovation in tools used for semiconductor and photonics-related design. Those were the FTC’s concerns about specific markets, not a finding that every product of either company lacked competition.

Two dates matter: Synopsys closed the acquisition on July 17, 2025; the FTC approved a final divestiture order on October 10, 2025. The later order did not mean the acquisition had remained pending until October. The FTC’s explanation is in its final-order announcement.

What did Synopsys and Ansys bring together?

The strategic logic was to connect semiconductor design tools with software that simulates how products behave in the physical world. Synopsys’ traditional strengths are electronic design automation (EDA), chip design, verification and signoff, semiconductor IP, and design services. Ansys’ portfolio spans structural mechanics, fluid dynamics, electromagnetics, thermal analysis, optics, materials, systems modeling, and multiphysics simulation.

Ansys’ product portfolio and electronics products illustrate the range. In principle, connecting these capabilities can help teams evaluate electrical, thermal, mechanical, electromagnetic, optical, and system behavior earlier in product development. That matters for complex work such as AI accelerators, high-performance computing, advanced packaging, automotive electronics, aerospace systems, and industrial equipment.

Synopsys described the combination as addressing a $31 billion total addressable market. That is a management estimate based on the company’s market definition, not independently verified revenue or a forecast of sales. The potential benefits—such as finding design problems earlier or coordinating chip, package, and system decisions—are strategic aims, not proof that every workflow is already integrated.

What did regulators require Synopsys to divest?

The FTC’s final order required divestiture to Keysight Technologies of Synopsys’ optical- and photonic-software assets and Ansys’ PowerArtist, a power-consumption-analysis tool. The remedy targeted the areas in which the FTC identified competition concerns. It did not break up Ansys’ broader simulation portfolio or cancel the acquisition’s wider silicon-to-systems rationale. The FTC describes the assets and remedy in its order announcement.

What changed for customers—and what has not been established?

Synopsys’ customer FAQ said most sales contacts would remain the same at closing, with changes communicated directly. It also directed customers to continue using existing support channels: Ansys support through ACSS and Synopsys support through SolvNetPlus. Existing documentation would remain available. These statements describe the company’s customer guidance; they do not establish that every customer’s contract, license, or day-to-day experience remained unchanged.

For buyers, common ownership does not by itself establish that licenses transfer between product families, that support portals have merged, or that a particular workflow now runs in a single environment. Customers should confirm terms and technical compatibility with their account teams, especially if they use products affected by the divestitures. Synopsys’ customer FAQ provides its stated guidance. Ansys continues to present products under the Ansys name, including on its product site.

Has Synopsys delivered the promised integration?

Synopsys said the first integrated capabilities were expected in the first half of 2026, including multiphysics capabilities across the EDA stack and applications for multi-die advanced packaging. It also described a longer roadmap involving testing and virtualization of complex intelligent systems, including automotive applications. Those statements are a company roadmap, not by themselves evidence of delivery or measured customer results.

As of August 18, 2026, the available facts here establish the acquisition, product portfolios, customer guidance, divestiture remedy, and previously announced integration plans; they do not establish which specific integrated capabilities shipped, how widely customers adopted them, or what measurable results they produced. A buyer evaluating the platform should verify the exact product release, supported workflow, licensing, and interoperability for the intended use rather than assume the full portfolio is unified.

What are the financial and competitive stakes?

For Synopsys, the acquisition offers a larger portfolio and the possibility of cross-selling to semiconductor, automotive, aerospace, electronics, and industrial customers. The company said the broader platform could serve a larger market, but execution matters: integrating software organizations, retaining employees, protecting customer relationships, sustaining product roadmaps, and servicing acquisition-related debt all carry risk. The companies identified these kinds of risks in their transaction announcement and completion announcement. They are execution risks, not evidence by themselves that the transaction has failed.

Customers may value a broader supplier relationship, but a larger suite can also increase procurement, training, deployment, and vendor-management complexity. Users may prefer independent best-of-breed tools, and regulators’ targeted remedy reflects the concern that reduced competition in particular markets could affect choice, prices, or innovation. Alternatives such as Cadence, Siemens, COMSOL, and Keysight cover different parts of EDA and simulation; they are not interchangeable one-for-one substitutes. Buyers should compare solver coverage, semiconductor integration, CAD/PLM interoperability, deployment, licensing, support, and the availability of any divested tools.
