Splunk Acquired Phantom Cyber for About $350 Million in 2018—What the Deal Actually Cost

Splunk’s 2018 Phantom Cyber deal was announced at approximately $350 million, while its FY2021 annual report records $303.8 million in fair value of consideration transferred. The two figures use different measurement bases.

Splunk announced a definitive agreement to acquire Phantom Cyber Corporation on February 27, 2018, for approximately $350 million, subject to adjustment and payable in cash and stock. The deal added Phantom’s security orchestration, automation and response (SOAR) technology to Splunk’s security-analytics platform. Splunk’s later FY2021 annual report records a different accounting measure: $303.8 million in fair value of consideration transferred.

What Splunk announced

Splunk’s February 27, 2018 announcement described an agreement to buy Phantom Cyber for approximately $350 million. The stated amount was subject to adjustment, and the consideration was to be paid in a combination of cash and stock. The announcement also said the transaction was expected to close in Splunk’s fiscal first quarter, subject to customary closing conditions.

The strategic objective was to combine Splunk’s data analytics and security-investigation capabilities with Phantom’s security orchestration, automation and response technology. In practical terms, Phantom’s software was intended to help security operations and IT teams automate actions taken after an alert, rather than relying on analysts to perform every step manually.

Why Phantom mattered to Splunk

Adding orchestration and response

Phantom provided enterprise SOAR technology: workflows that can coordinate tools, enrich alerts, and execute repeatable response actions. Splunk characterized the acquisition as adding SOAR to its portfolio and extending automation for security and IT customers.

The companies’ stated rationale

Splunk president and CEO Doug Merritt said, “Phantom’s employees and technology significantly expand and strengthen Splunk’s vision for the security nerve center and for business revolution through IT.” Phantom co-founder and CEO Oliver Friedrichs said the company was founded to give security-operations-center analysts “a powerful advantage over their adversaries” by automatically and quickly resolving threats.

Why the $350 million and $303.8 million figures differ

These amounts describe different stages and measurement bases. The first is the transaction value announced in February 2018; the second is the fair value of consideration that Splunk later recognized for accounting purposes.

The annual-report figure should therefore not be presented as a simple correction of the headline price. An announced deal value can reflect negotiated consideration subject to closing adjustments, while acquisition accounting measures the fair value transferred when the transaction closes and allocates its components under accounting rules.

When did the acquisition close?

Splunk’s FY2021 annual report records the acquisition of 100% of Phantom Cyber on April 6, 2018. Splunk’s dedicated acquisition-history page gives April 9, 2018. Because the audited annual-report acquisition note is the company’s accounting record for the transaction date, April 6 is the more appropriate date when a precise close date is required; the April 9 entry should be treated as a discrepancy in Splunk’s later corporate-history material.

What happened to Phantom’s product?

Splunk later renamed Splunk Phantom as Splunk SOAR and announced a cloud deployment option. That historical announcement documents the naming and deployment direction at that time; it does not, by itself, establish Splunk SOAR’s product packaging, licensing, availability or deployment choices in September 2026.
