Nasdaq notified the company on September 30, 2026, that it has a conditional period to address the deficiencies. The notice has no immediate effect on SKYX’s listing, according to the company’s October 1 Form 8-K, but the filing does not guarantee that SKYX will regain compliance by the applicable deadline.
Why did SKYX fall out of compliance?
Independent director Efrat L. Greenstein Brayer died on September 26, 2026. SKYX said she served on its audit and compensation committees and chaired its nominating and corporate governance committee. The company notified Nasdaq on September 28 that the vacancy meant it no longer met two composition requirements: a majority-independent board and an audit committee with at least three members. SKYX’s October 1, 2026 Form 8-K reports the death, her roles and the company’s notice to Nasdaq.
The issue arose after the company’s July 8 annual stockholders’ meeting, at which shareholders elected seven directors, including Greenstein Brayer, according to SKYX’s annual-meeting filing. The reported noncompliance followed her death; the filing does not say Nasdaq found a separate violation of other board or committee eligibility rules.
Which Nasdaq rules are involved?
Nasdaq Rule 5605(b)(1) requires a listed company’s board to have a majority of independent directors. Rule 5605(c)(2)(A) requires an audit committee of at least three members. Nasdaq’s rule text also sets independence, financial-literacy and other eligibility conditions for audit committee members. SKYX identified the board-majority and committee-size provisions as the deficiencies triggered by the vacancy; it did not report a Nasdaq finding about those other conditions. What is SKYX’s deadline to regain compliance?
Nasdaq sent SKYX a cure-period letter on September 30, 2026. The company’s filing describes the ordinary endpoint as whichever comes first: its next annual stockholders’ meeting or September 26, 2027. There is an additional condition if the annual meeting occurs early:
- If the next annual meeting is on or after March 25, 2027, the stated endpoint is the earlier of that meeting or September 26, 2027.
- If the next annual meeting is before March 25, 2027, SKYX must evidence compliance no later than March 25, 2027.
That means September 26, 2027 is not a guaranteed deadline in every scenario, and March 25, 2027 is not a universal deadline. The applicable date depends on when the next annual meeting is held. These dates and conditions are reported in the company’s October 1 Form 8-K.

Does the notice immediately affect SKYX’s Nasdaq listing?
No immediate effect was reported. SKYX’s filing states: “The foregoing has no immediate effect on the Company’s Nasdaq listing, subject to compliance with the listing rules.” This is the company’s description in its SEC filing, not a separate assurance from Nasdaq. SKYX said it intends to take steps to regain compliance, while cautioning that there can be no assurance it will do so within the required cure period.

The filing establishes the vacancy, the two reported composition deficiencies, Nasdaq’s notice and the conditional cure-period framework. It does not establish that SKYX had appointed replacement directors or that Nasdaq had confirmed the company regained compliance after the October 1 filing. Any later outcome would require a subsequent company or Nasdaq disclosure.
