Sinch announced an agreement to acquire India-based ACL Mobile on June 15, 2020, for INR 5.35 billion (about SEK 655 million at the exchange rate cited then). Sinch completed the first stage on September 1, 2020, and its corporate history says ACL was consolidated from that date. This is a historical acquisition, not a pending deal.

Sinch’s announcement set an expected closing window in the third quarter of 2020, subject to customary closing conditions. Its September 1 completion notice confirmed the first part of the transaction.
What ACL Mobile did
ACL provided cloud communications services to businesses in India and Southeast Asia. Sinch said its platform supported SMS, voice, email, IP messaging and WhatsApp. It reported more than 500 enterprise customers at the time of the announcement, with particular strength among banks and other financial-services firms.
Sinch described ACL’s Axiom platform as offering intelligent message routing and granular access controls—capabilities relevant to organizations that need to manage security-sensitive communications. Its 2020 announcement named HDFC Bank, ICICI Bank, Kotak and IndusInd Bank among ACL’s financial-services customers, and Amway, Flipkart, MakeMyTrip and OLX among customers in other sectors. Those are historical customer names reported by Sinch, not confirmation of current relationships.

Sinch also reported that ACL had 288 employees and direct operator connections in India, Malaysia and the UAE. The operator links were strategically important: they could give Sinch more control over routes and connectivity instead of relying as heavily on intermediaries. Sinch presented that as a potential benefit to delivery and economics, not as a quantified or guaranteed cost saving.
Why Sinch wanted the business
Regional access and operator connectivity
The deal gave Sinch local expertise and enterprise relationships in India while adding links to mobile operators in three markets. For a global communications provider, direct connections can matter as much as customer count: they may provide more control over how messages are routed and delivered. Sinch’s rationale was to extend its network and serve customers across borders; the announcement did not quantify the resulting improvement in delivery or cost.

Financial-services capabilities
ACL’s banking relationships and routing and access-control features gave Sinch a foothold in communications for regulated and security-conscious businesses. Transaction alerts and other customer messages require more than raw sending capacity: buyers also assess route control, access policies and operational reliability.
Scale and cross-selling potential
ACL brought substantial message volumes and a regional customer base that Sinch could potentially combine with its global reach. Sinch did not publish a quantified synergy target, so the deal’s strategic logic should not be mistaken for proof of a particular financial outcome.

Sinch framed the acquisition as part of a broader growth strategy that included other transactions, including its pursuit of SAP Digital Interconnect. The stated India investment thesis reflected the company’s 2020 view of rising use of financial services and demand for transaction notifications; it is not a current market forecast.
ACL’s reported financials and the price
For the 12 months ending March 2020, Sinch reported the following figures for ACL. They are historical, pre-acquisition results, not current operating metrics.

The purchase price implied an enterprise-value-to-adjusted-EBITDA multiple of 11.1 times, using ACL’s adjusted EBITDA for that same 12-month period. It is a valuation measure based on the historical earnings figure, not a promise of future performance. Sinch said it would fund the acquisition from cash on hand and available credit facilities. At announcement, it also said it was targeting net debt to adjusted EBITDA below 2.5 times over time; that was a 2020 target, not a description of Sinch’s current leverage.
Sinch estimated initial integration costs at SEK 17 million. The company said lower commercial activity in India during the COVID-19 pandemic made ACL’s near-term outlook less predictable, while its long-term outlook remained favorable. It said total synergies involving Sinch, ACL and SAP Digital Interconnect would be assessed after closing, without giving a quantified target in the announcement. How the transaction unfolded
- June 15, 2020: Sinch announced a definitive agreement to buy ACL for cash, with closing expected in the third quarter subject to customary conditions.
- September 1, 2020: Sinch announced completion of the first stage, acquiring 82% of ACL.
- On or after December 1, 2020: Sinch could exercise its call option for the remaining 18%; the seller had a corresponding put option if Sinch did not exercise the call.
Sinch’s current corporate history says the deal was entered into on June 15, 2020, identifies ACL as headquartered in Delhi and records the business as consolidated from September 1, 2020. The cited company materials establish the first-stage closing and consolidation date; they do not, by themselves, establish the exact legal or financial treatment of the remaining 18%.
What the deal does—and does not—show
The acquisition is evidence of Sinch’s historical strategy to expand its international network, regional presence and enterprise communications capabilities. It does not establish that every anticipated benefit materialized, that named customers remain customers today, or that ACL still operates as a separately available brand or product. The 2020 deal figures should be read in their original context: rupee-denominated consideration, exchange-rate conversions cited at the time, and financial results for the year ending March 2020.
- Integration: Combining platforms, sales teams, customer relationships, operator links and compliance processes can bring operational friction; the announced integration-cost estimate was not a measure of all possible integration risks.
- Market and network exposure: The pandemic created near-term uncertainty in India in 2020. Communications businesses can also be affected by operator pricing and routing, spam controls, sender-registration rules and changes in traffic quality.
- Currency and structure: The announced price was in Indian rupees and also reported in Swedish kronor, so the conversion reflected the exchange rate cited in 2020. The staged 82% acquisition and option over the remaining 18% were more complex than a one-step purchase.
For a buyer evaluating communications platforms today, the historical deal alone cannot establish current product availability, country coverage, compliance support or pricing. Those details should be confirmed directly with vendors for the intended destination, channel and use case.
