Saint-Gobain Completes Its Acquisition of Xypex

Saint-Gobain completed its acquisition of Xypex on October 1, 2026, adding crystalline concrete waterproofing products to the group that acquired Chryso in 2021.

Saint-Gobain completed its acquisition of Xypex on October 1, 2026. The deal adds a concrete waterproofing business to the group that acquired Chryso in 2021; Saint-Gobain said Xypex is expected to generate C$110 million in sales in 2026, a forecast rather than a final full-year result.

What happened in the Xypex deal?

Saint-Gobain announced an agreement to acquire Xypex on July 6, 2026, with closing expected in the fourth quarter, subject to customary conditions and regulatory approvals. On October 1, Saint-Gobain announced that the acquisition was complete, replacing the earlier projected timing with a confirmed close date. Saint-Gobain’s July 6 announcement and October 1 completion announcement describe the respective stages.

The completion release headlines the acquired company as Xypex (North America), while describing Xypex as a global supplier headquartered in Vancouver, Canada.

Why is Chryso’s parent acquiring Xypex?

Saint-Gobain acquired Chryso, a construction-chemicals company, on September 29, 2021. That is why the deal can be described as an acquisition by Chryso’s parent: the parent is Saint-Gobain. At the time of its 2021 announcement, Saint-Gobain put Chryso’s annual sales at approximately €400 million and its workforce at around 1,300 employees; those are historical deal-announcement figures, not current metrics. Saint-Gobain’s Chryso completion announcement also quoted CEO Benoit Bazin describing the acquisition as aligned with the group’s vision of sustainable construction.

Saint-Gobain says Xypex brings crystalline waterproofing technology to a portfolio that already includes membranes, liquid-applied systems, injection products, and repair technologies. The company’s stated rationale is that crystalline waterproofing can help enhance concrete durability and service life, either by itself or alongside membrane systems. Those are the acquirer’s product-category claims, not independent comparative performance findings.

What does Xypex make?

Saint-Gobain describes Xypex as a global supplier of crystalline waterproofing admixtures and coatings, serving customers in more than 100 countries. Its July acquisition announcement named Admix C-Series, Concentrate, and Bio-San technology. The completion announcement says Xypex has strong positions in infrastructure and specification-driven construction markets in North America, Asia-Pacific, and Europe.

Crystalline waterproofing is intended for concrete structures. The announcements characterize the technology as a way to support durability and service life, but do not provide independent test results that establish how it performs against other waterproofing approaches in particular applications.

What the announcements do—and do not—establish

The releases establish that the deal closed and explain how Saint-Gobain says Xypex fits into its construction-chemicals portfolio. They do not provide independent performance comparisons among crystalline waterproofing, membranes, liquid-applied systems, injection products, or repair technologies. A project-level choice requires technical documentation addressing application method, specification requirements, compatibility with other systems, and evidence for expected maintenance and service life; the transaction announcements alone cannot rank those options.
