What Microsoft was reportedly considering
On March 18, 2026, The Financial Times, in reporting relayed by Reuters, said Microsoft was weighing legal action involving OpenAI and Amazon. The issue was a reported Amazon–OpenAI strategic partnership valued at roughly $50 billion, including AWS infrastructure and distribution rights for OpenAI’s Frontier enterprise-agent platform. Reuters’ account via Investing.com described litigation as a possibility if the parties could not resolve the contract dispute.
That wording matters: Microsoft was considering or threatening legal action, not announcing that it had filed a complaint. Public information does not establish that a court case was filed.
How the Amazon–OpenAI arrangement created the conflict
Amazon and OpenAI said AWS would be the exclusive third-party cloud distribution provider for OpenAI Frontier, an enterprise platform for building and running AI agents. The announcement concerned Frontier’s intended distribution and cloud relationship; it does not establish that every OpenAI API or product would run through AWS.

The roughly $50 billion figure referred to the broader reported strategic partnership. Amazon separately disclosed a potential $35 billion purchase of OpenAI preferred stock, subject to conditions and timing provisions in its filing with the U.S. Securities and Exchange Commission. Those figures should not be treated as the same transaction or as proof that all the money had already been paid. (Amazon announcement; SEC filing)
Why Microsoft believed its rights might be affected
Microsoft’s concern centered on how the Amazon arrangement fit with its existing agreement with OpenAI. Public statements and reporting point to several overlapping issues:
- Azure’s exclusivity for stateless OpenAI APIs that provide access to OpenAI models and intellectual property.
- Microsoft’s rights to OpenAI models and related intellectual property.
- A right of first refusal concerning additional cloud capacity.
- Whether Frontier was a first-party OpenAI product, an API product, or a jointly developed third-party workload.
- Whether persistent, or “stateful,” agent workloads were covered by the same exclusivity language as stateless API calls.
Microsoft reportedly argued that an AWS runtime could circumvent the contract’s wording or its intended purpose. Coverage characterized the concern as potentially violating the “spirit, if not the letter” of the agreement. That was Microsoft’s reported position, not a judicial finding. The complete Microsoft–OpenAI contract has not been made public, so it is not possible to determine independently whether OpenAI breached it.

Stateless versus stateful: the technical fault line
Stateless API calls
A stateless request is generally handled independently. The service receives an input, returns an output, and does not maintain an ongoing agent session or memory as part of that request flow. Microsoft and OpenAI said on February 27, 2026, that Azure remained the exclusive cloud provider for stateless APIs providing access to OpenAI models and intellectual property.

A stateful system can preserve context, memory, tasks, tool activity, or other information across interactions. Reporting said Amazon and OpenAI’s proposed Frontier arrangement raised the question of whether such a runtime could operate on AWS without invoking OpenAI APIs in a way that triggered Microsoft’s exclusivity rights.
The public record does not supply a definitive legal definition of these terms under the contract. The distinction explains why the companies could describe the Amazon partnership and Azure API exclusivity as compatible while still disagreeing about Frontier’s implementation.

What the February statement actually said
In their February 27 joint statement, Microsoft and OpenAI said Azure was the exclusive cloud provider for stateless OpenAI APIs. They also said stateless API calls resulting from collaborations with third parties, including Amazon, would be hosted on Azure, and that OpenAI first-party products, including Frontier, would continue to be hosted on Azure.
This language did not publicly resolve every possible question about stateful workloads, third-party distribution, or capacity rights. Those unresolved boundaries were central to the reported dispute.
Did Microsoft actually sue OpenAI?
No publicly identified lawsuit is established by the available reporting. The March account described a conditional threat: Microsoft would consider suing if it concluded that OpenAI breached the agreement and the parties failed to reach a resolution. Statements attributed to Microsoft, including “We know our contract,” reflect the company’s reported position rather than a court ruling.

Because no complaint or judicial interpretation has been identified, it would be inaccurate to state that OpenAI was found to have breached the contract or that a lawsuit was later dropped.

On April 27, 2026, Microsoft announced an amended agreement with OpenAI. The terms addressed the immediate cloud conflict without ending the partnership:

Why the dispute mattered beyond the two companies
Microsoft
Azure competes directly with AWS, and OpenAI workloads can generate substantial cloud demand. Microsoft investor materials described the relationship as involving Azure API exclusivity, revenue sharing, extended intellectual-property rights, and an additional $250 billion commitment for Azure services. OpenAI
Access to more than one cloud provider can increase compute capacity, distribution options, negotiating leverage, and flexibility in serving enterprise customers. The amendment broadened that flexibility while preserving Azure advantages.
Amazon and AWS
AWS gained a prominent enterprise-agent distribution relationship through Frontier and a closer strategic connection with OpenAI. The arrangement did not automatically make AWS the provider for every OpenAI API or product.
Enterprise customers
Cloud customers could be affected by where Frontier and OpenAI APIs are available, as well as by procurement rules, compliance controls, regional infrastructure, pricing, portability, and switching costs. Product classification and the routing of API calls may remain important contractual issues even after the amendment.
What can—and cannot—be concluded
- Established: Microsoft reportedly considered legal action on March 18, 2026, over the AWS–OpenAI Frontier arrangement.
- Established: No publicly identified filed lawsuit is shown by the available material.
- Established: Microsoft and OpenAI amended their agreement on April 27, 2026.
- Not established: Whether OpenAI actually breached the earlier contract.
- Not established: A court’s interpretation of “stateful” and “stateless” workloads under that contract.
- Not established: That the entire reported $50 billion partnership was an upfront cash payment.
Microsoft’s threatened lawsuit was therefore a serious contractual dispute, but the available evidence points to renegotiation rather than litigation. The April amendment reduced the immediate legal risk while preserving a substantial, though less exclusive, Microsoft–OpenAI relationship.
