The telecom merger and the 5G auction are separate regulatory events: spectrum was auctioned to operators, while the approvals cover PTCL’s acquisition of Telenor Pakistan and its integration with Ufone. The auction has already taken place; it was not created or awarded through the acquisition.
What did the regulators approve?
The Competition Commission of Pakistan (CCP) approved PTCL’s acquisition of 100% of Telenor Pakistan and Orion Towers on 1 October 2025, subject to conditions intended to preserve competition and protect consumers. PTA later approved the proposed amalgamation of Pak Telecom Mobile Limited (PTML, which operates Ufone) and Telenor Pakistan on 19 March 2026, conditional on unconditional acceptance of PTA’s terms. PTCL disclosed that PTA issued a no-objection certificate on 2 April 2026 for consolidation, transfer of licenses and the amalgamation.
The sequence matters: PTCL acquired Telenor Pakistan and Orion Towers; regulators then considered the companies’ integration into PTML/Ufone. PTA did not transfer or sell spectrum as part of that acquisition.
Who received spectrum in Pakistan’s 5G auction?
Pakistan’s NGMS/5G auction took place on 10 March 2026. It offered 597.2 MHz across the 700, 1800, 2100, 2300, 2600 and 3500 MHz bands. Jazz, Ufone and Zong participated, and 480 MHz was sold.

The Pakistan Telecommunication Authority (PTA) and Associated Press of Pakistan reported total proceeds of US$509.6 million, approximately Rs142.6 billion, in 2026. The operator payments shown are the reported auction totals, not recurring consumer charges.
Reported assignments in the 2600 MHz and 3500 MHz bands
The assignment-stage report dated 13 March 2026 detailed these allocations in two bands; they do not account for every megahertz in each operator’s overall auction total.

How are the acquisition and auction connected?
The auction independently gave Jazz, Ufone and Zong additional spectrum capacity. Separately, PTCL’s acquisition and the proposed integration give the combined PTCL/Ufone platform a larger mobile footprint with which to plan its network. That makes the events strategically related, but the acquisition did not cause the auction, and the auction took place before PTA approved the amalgamation.
The Ministry of IT and Telecommunication described the auction as “a historic step for Pakistan’s digital future.” The Pakistan Economic Survey also recorded the auction and characterized the PTCL–Telenor approval as conditional and competition-protective.

What safeguards apply to competition and consumers?
CCP’s approval is conditional, not an unrestricted permission to consolidate. Its requirements include:
- Separate boards and independent management.
- Non-discriminatory interconnection and access to infrastructure.
- PTA approval of reference interconnection offers and specified wholesale pricing.
- Restrictions on cross-subsidization and predatory retail pricing.
- Compliance with service-quality and consumer-protection requirements.
- Evidence that claimed efficiencies reach consumers.
- A possible divestiture remedy if conditions are violated in the future.
These safeguards are intended to constrain how the combined business treats competitors and customers; they do not, by themselves, establish what prices or service quality consumers will experience.

Will the approvals make internet faster or bring 5G everywhere immediately?
No immediate nationwide improvement follows automatically from either regulatory approval or spectrum allocation. PTA and government statements describe deployment as phased, beginning in selected cities and expanding over time. No definitive nationwide commercial launch date or measured consumer speed improvement is established here.
More spectrum enables network planning, but the user experience also depends on infrastructure and operator buildout. In a National Assembly committee discussion, officials noted that available spectrum had risen from 274 MHz to 754 MHz after the auction, while also citing slow internet, call failures and electricity load-shedding affecting telecom infrastructure. Towers, fiber connections, reliable power and compatible devices remain relevant to whether an individual customer sees better service.

What should customers consider before spending on a 5G upgrade?
The auction results alone do not show which operator will offer the best coverage, speed, price or launch timing at a particular address. Before paying more for a handset or plan, check the following against information from your operator:
- Whether 5G service is available at the locations where you actually use your phone.
- Whether your handset supports the operator’s network bands and is compatible with its service.
- Whether your current plan includes access to the service and what any upgrade costs.
- Whether local coverage and measured service quality justify the extra expense over your existing connection.
For an operator comparison, spectrum quantity and band mix are only part of the picture. Rollout geography and timing, network readiness and fiberization, coverage, service quality, pricing and compliance with the competition conditions also matter. Do not treat an auction allocation as a promise of a particular speed or coverage level.
