Proofpoint said it expected the transaction to close in November 2024, subject to customary conditions, but disclosed no purchase price. Later Proofpoint materials identify the resulting DSPM offering as “fka Normalyze,” indicating integration into Proofpoint even though the sources reviewed do not establish an exact legal closing date.
The deal at a glance
| Item | What is established |
|---|---|
| Announcement | Proofpoint announced the definitive agreement on October 29, 2024. |
| Expected closing | November 2024, subject to customary closing conditions. |
| Financial terms | Not disclosed by Proofpoint or in the cited independent coverage. |
| Technology acquired | Normalyze’s data security posture management capabilities. |
| Later product identity | Proofpoint materials describe DSPM as “fka Normalyze” (formerly known as Normalyze). |
See Proofpoint’s announcement for the transaction terms and stated rationale. SecurityWeek also reported that Normalyze had raised more than $26 million before the deal; that is funding reported by the publication, not a valuation or purchase price.
What Normalyze brought to Proofpoint
DSPM is the layer that helps an organization locate sensitive information, understand who and what can reach it, assess the resulting exposure, and prioritize corrective action. Proofpoint described Normalyze as covering SaaS, PaaS, public and multicloud environments, on-premises infrastructure, and hybrid deployments.
Agentless discovery and classification
Normalyze’s agentless One-Pass Scanner was designed to scan data in place and use AI-assisted analysis to identify and classify valuable or sensitive information. Keeping data in its existing location can reduce copying and operational overhead, but deployment still depends on supported connectors, permissions, and network access. The AI and accuracy claims are vendor descriptions, not independent test results.

Putting a value on data
DataValuator was presented as assigning monetary value to data and identifying stores that could have the greatest impact if lost. That can help security teams rank work in business terms; it does not establish that every valuation is objectively accurate or suitable for financial reporting.
Access graphs and attack paths
The Data Access Graph maps relationships among identities, permissions, systems, and data. Data Risk Navigator highlights attack paths that could lead to data loss or a breach. Proofpoint also cited a U.S. patent concerning identification of attack paths to sensitive data. These features address the question that a data inventory alone cannot: how an exposed data set can actually be reached.
Remediation and compliance support
Proofpoint said the platform supplied actionable recommendations, service-management integrations, and support for more than 500 benchmarks. Benchmark coverage can aid assessment, but it is not itself a regulatory certification or a guarantee of compliance. Remediation still requires owners to change permissions, configurations, processes, or controls.

Why Proofpoint wanted DSPM
Proofpoint’s established portfolio centers on email protection, data loss prevention, insider risk, compliance, and human-centric security. The company’s argument was that sensitive data increasingly sits beyond email and traditional endpoint boundaries: in internally developed cloud applications, SaaS adopted outside central IT, data lakes, and mixed cloud/on-premises estates.
The Tool Desk
Outbyte Driver Updater FREEScan for outdated or missing drivers - takes under a minuteDriver Scan →Outbyte PC Repair FREERepair Windows errors before they cause bigger problemsFix Now →Normalyze potentially extends Proofpoint’s view from the moment a person sends or handles information to the wider environment in which that information resides. The intended chain is:
- discover where sensitive data is stored;
- classify its importance;
- map identities, permissions, and trust relationships;
- prioritize the exposures most likely to cause material harm; and
- connect recommendations to data-protection, identity, service-management, and human-risk workflows.
That is an expansion of Proofpoint’s platform strategy, not a claim that DSPM replaces DLP, identity governance, insider-risk management, secure configuration, or incident response.

What the transaction means for customers
Potential benefits
- Broader visibility: a possible inventory of data outside mailboxes and managed endpoints.
- More context: sensitivity, access rights, and attack paths can be considered together rather than in separate consoles.
- Platform consolidation: existing Proofpoint customers may be able to evaluate data posture alongside DLP, insider-risk, and compliance controls.
- Hybrid coverage: the acquired technology was marketed for cloud, on-premises, and hybrid environments.
Risks and trade-offs
- Acquired technology must be aligned with Proofpoint’s identity model, console, APIs, licensing, and support processes.
- DSPM findings do not automatically remove excessive permissions, stop exfiltration, or establish data ownership.
- AI classification needs tuning and review for false positives and false negatives.
- Consolidating controls with one supplier can simplify procurement while increasing vendor dependence.
- Customers should not assume that an existing Proofpoint contract automatically includes DSPM.
Did the acquisition close, and what happened to Normalyze?
The October announcement was an agreement to acquire, with an expected November 2024 closing—not a contemporaneous confirmation that closing had occurred. The exact legal closing date is not disclosed in the sources cited here.
There is, however, later official evidence of integration. A Proofpoint ISO 27001 certificate identifies “Data Security Posture Management (DSPM) (fka Normalyze),” and Proofpoint’s analyst material refers to “Proofpoint (formerly Normalyze).” Those labels indicate that Normalyze’s technology became part of Proofpoint rather than continuing as a separately presented product company. They do not, by themselves, prove that every original feature, contract, or corporate entity remained unchanged.

| Category | Primary question it answers |
|---|---|
| DSPM | Where is sensitive data, who can reach it, and which exposures deserve priority? |
| Data loss prevention | Can movement or use of sensitive data be detected and controlled? |
| Insider-risk management | Are human activities creating unusual or dangerous data-loss risk? |
| Identity governance | Are access rights granted, reviewed, and removed appropriately? |
Proofpoint’s opportunity is to connect these functions. Buyers seeking alternatives should compare category fit rather than assume identical products. Cyera, BigID, and Sentra are natural candidates for dedicated data-discovery or DSPM evaluations. Securiti combines security with privacy and governance. Wiz emphasizes broader cloud-security exposure, while Microsoft Purview may fit organizations deeply invested in Microsoft 365 and Azure. These are category distinctions, not a current feature or performance ranking.
Questions to verify before buying
- Is Proofpoint DSPM sold separately, bundled, or licensed by data volume, repositories, identities, connectors, or modules?
- Which Normalyze connectors and integrations remain supported?
- What databases, SaaS applications, data lakes, and generative-AI data stores are covered?
- Does scanning keep sensitive data in place, and what permissions are required?
- Can analysts validate, override, and tune classifications and risk scores?
- Does remediation execute permission changes, or only recommend them?
- Which IAM, SIEM, SOAR, DLP, and service-management integrations are available?
- What migration and support commitments apply to former Normalyze customers?
- How is DSPM separated from Proofpoint’s existing DLP and insider-risk products?
What remains unknown
- The purchase price and detailed deal structure.
- The exact legal closing date.
- Current packaging, pricing, and licensing for Proofpoint DSPM.
- The complete integration roadmap and whether all Normalyze functionality remained available unchanged.
- Customer-specific migration, contract, and service terms.
Proofpoint’s current Data Security page is the appropriate starting point for a product evaluation, but no public DSPM price is established here. Enterprise pricing can vary by scope, data volume, connectors, modules, support, and contract size.
The Bottom Line
Proofpoint’s Normalyze transaction was announced on October 29, 2024 as a planned acquisition, with terms undisclosed and a November closing target. Later Proofpoint documents identify DSPM as formerly Normalyze, showing that the technology was integrated into Proofpoint’s data-security platform. The strategic value is broader visibility into sensitive data and the identities that can reach it—not an automatic replacement for DLP, identity controls, or remediation work.
