Perplexity AI did submit a proposal involving TikTok’s U.S. business, but it did not simply offer to buy all of TikTok. On January 18, 2025, Perplexity proposed merging with TikTok U.S. and adding outside investors. A revised proposal reportedly contemplated giving the U.S. government up to a 50% stake after a future initial public offering valued at at least $300 billion, while ByteDance could retain equity.
That proposal was never reported as accepted or completed. On January 22, 2026, TikTok’s U.S. business instead became part of a joint venture led by Oracle, Silver Lake and Abu Dhabi-backed MGX. Perplexity was not identified among the final managing investors.
Why TikTok faced a sale-or-ban deadline
The proposals emerged after Congress required ByteDance, TikTok’s Chinese parent, to divest TikTok’s U.S. business or face restrictions under the Protecting Americans from Foreign Adversary Controlled Applications Act. The law’s concerns included potential Chinese access to U.S. user data, ByteDance’s operational influence, the recommendation algorithm, software updates and content moderation.
Perplexity’s first proposal arrived on January 18, 2025, immediately before the statutory restriction was scheduled to take effect on January 19. That timing made it an alternative to a ban or a conventional forced sale.

What Perplexity proposed on January 18, 2025
According to TechCrunch, the proposal would have created a new company combining:
- Perplexity AI;
- TikTok’s U.S. business; and
- additional outside equity investors.
Most existing ByteDance investors could reportedly retain equity. The structure was therefore a merger proposal involving TikTok U.S., not a straightforward cash acquisition of TikTok’s global operations. Perplexity’s strategic interest was TikTok’s large short-form video library, user-generated content and audience, which could expand its AI search product’s video capabilities.
The reporting did not establish that Perplexity had obtained rights to train models on all TikTok content, copy TikTok’s recommendation technology or use all TikTok data. Those issues would have required separate licensing, privacy, security and platform agreements.

The Associated Press and TechCrunch described these as terms of a reported proposal. The $300 billion figure was an IPO valuation threshold, not money the government had agreed to pay or receive. The available reporting does not show that the government committed funding, accepted the stake or approved the transaction.
What a government stake would—and would not—mean
Government ownership would have been different from government regulation. A 50% equity interest would not automatically determine who controlled recommendations, content moderation or product decisions. Those questions would depend on voting rights, board appointments, security agreements and operational contracts that were not publicly established.
A federal stake in a major social-media platform would also have raised questions about statutory authority, valuation, conflicts of interest, political influence and whether the investment was passive or controlling. The proposal was made to ByteDance; it was not an announced White House ownership program.
Could ByteDance have kept ownership?
Reportedly, yes. The revised proposal allowed for ByteDance to retain an ownership position, although the precise percentage and governance rights were not publicly established in the cited coverage.

That distinction mattered because the U.S. policy dispute focused on effective operational control, not merely the name on a corporate certificate. Regulators would likely have examined who could access U.S. user data, control recommendation code, approve software updates, provide engineering support and direct moderation. A minority stake would not by itself prove compliance or noncompliance.
Was ByteDance interested or did it accept?
There is no evidence in the cited reporting that ByteDance accepted Perplexity’s proposal. The initial reporting said ByteDance had not responded. The bids were therefore proposals under discussion, not signed agreements, regulatory approvals or completed transactions.
Why the proposal was difficult to execute
Legal and national-security review
A structure allowing ByteDance to retain equity could have prompted scrutiny over whether the arrangement achieved a genuine divestiture. Reviewers would have focused on data access, algorithmic control, software updates, Chinese investor rights and links between the U.S. entity and ByteDance.
Financing and capitalization
Perplexity was much smaller than TikTok, so the plan depended on outside investors and a complex capitalization structure rather than financing supplied solely by Perplexity.

Technology and intellectual property
TikTok’s recommendation system and related technology were central to the business’s value. Transferring the U.S. app, accounts and employees would not by itself resolve who controlled the underlying code, infrastructure and updates.
China-related approvals
Any transfer of important technology or operational rights could also have been affected by Chinese export-control or national-security rules, adding uncertainty to negotiations.

How to evaluate claims about the Perplexity bid
When a headline says Perplexity “wanted to buy TikTok,” check these separate questions:
- Ownership: Who legally owned TikTok’s U.S. business?
- Control: Who appointed directors and executives?
- Data: Who stored and could access U.S. user information?
- Algorithm: Who controlled ranking code and updates?
- Operations: Could ByteDance still provide engineering, moderation or technical services?
- Government role: Was Washington a regulator, investor, board participant or operator?
- Financing: Was the proposal funded, conditional or dependent on a future IPO?
- User impact: Would accounts, the app, the content library or recommendations change?
Common misunderstandings
- Perplexity did not buy TikTok.
- The U.S. government did not agree to own half of TikTok; the 50% figure came from a reported, conditional proposal.
- $300 billion was not a purchase price or a confirmed government payment.
- The proposals concerned TikTok’s U.S. business, not necessarily all of TikTok worldwide.
- ByteDance was not clearly excluded from the revised proposal.
- The final Oracle-Silver Lake-MGX joint venture was not Perplexity’s bid.
Why the episode mattered for technology and investors
The proposal illustrated how AI companies may seek distribution through established video platforms, while also showing the liabilities that come with operating a social network: privacy compliance, child safety, content moderation, advertising, infrastructure and national-security oversight.
It also demonstrated why ownership percentages alone cannot answer the TikTok question. The decisive issues were likely to include data flows, algorithmic control, software access and governance—areas that were not fully specified in Perplexity’s reported proposals.
