The announcement signaled continued cooperation—not a formal breakup—but left the most important commercial details unresolved.

What exactly did OpenAI and Microsoft sign?
A memorandum of understanding records a preliminary understanding between parties. It can establish a framework for further negotiations, but it is not the same thing as a definitive contract containing the final enforceable commercial terms.

That distinction matters here. OpenAI and Microsoft announced that they had signed an MOU covering the next phase of their partnership, but they also said they were continuing to finalize contractual terms. The announcement therefore established an intended direction rather than a fully documented replacement for their existing arrangement.
Calling it a “preliminary deal” is reasonable. Calling it a finalized partnership contract is not supported by the companies’ own wording.
Why were the partnership terms being renegotiated?
OpenAI had evolved from a research-focused nonprofit into a capital-intensive AI company requiring enormous computing capacity, investment, and commercial infrastructure. Its corporate structure and relationship with Microsoft had to accommodate that growth.
At the same time, the partnership had become more complicated. Microsoft was a major investor and infrastructure partner, while the companies increasingly competed in areas such as AI products and enterprise services. OpenAI also sought access to additional cloud and infrastructure providers rather than relying entirely on one commercial relationship.
Contemporary reporting described disagreements over governance, future equity, revenue sharing, intellectual-property access, and the scope of Microsoft’s contractual rights. Business Insider and Ars Technica reported on those issues, but the official announcement did not publish the final answers.

Microsoft’s consent was especially important because of its investment and contractual relationship with OpenAI. The MOU appeared to address a major obstacle to OpenAI’s restructuring, but its precise legal effect would depend on the definitive documents.
How would OpenAI’s proposed structure work?
Under OpenAI’s proposal, the existing nonprofit would remain in existence and control a new public benefit corporation, or PBC. The nonprofit would also share directly in the PBC’s financial success.
OpenAI said the nonprofit’s proposed equity stake would exceed $100 billion. Its statement on the nonprofit and PBC said the structure was intended to preserve nonprofit authority while giving the commercial operation a form better suited to raising capital and expanding its business.
A public benefit corporation is still a for-profit corporate form, but it has formal public-benefit obligations alongside the goal of generating returns. The proposal therefore attempted to combine commercial fundraising capacity with continuing mission oversight.
What the $100 billion figure did—and did not—mean
The figure referred to the proposed value of the nonprofit’s equity stake. It did not mean that the nonprofit would receive $100 billion in cash at closing.

The eventual value would depend on the restructured company’s valuation, capitalization, ownership terms, and the rights attached to the stake. The announcement did not provide a complete cap table or disclose the final percentages held by Microsoft, employees, SoftBank, or other investors.
What did Microsoft receive or give up?
The answer was not disclosed in the September 11 announcement. The joint statements confirmed the framework but not the revised economics or technology provisions.
Reported areas of negotiation included:
- Microsoft’s economic stake or claim on future profits;
- revenue-sharing arrangements;
- Microsoft’s access to OpenAI intellectual property;
- cloud and infrastructure rights;
- provisions connected to artificial general intelligence; and
- OpenAI’s ability to work with other cloud providers.
These should be treated as reported negotiation points, not settled terms. Without the definitive agreement or a specific company disclosure, it would be inaccurate to state a precise Microsoft ownership percentage, revenue share, exclusivity arrangement, or intellectual-property right.
Was this a breakup?
No—not based on the official announcement. OpenAI and Microsoft described the MOU as the next phase of their partnership and reaffirmed their shared focus on delivering AI tools and maintaining a safety commitment.
The more accurate interpretation is that the companies were renegotiating an increasingly complex alliance while trying to preserve it. Their interests were no longer perfectly aligned: Microsoft wanted to protect the value of its investment, cloud business, and contractual rights, while OpenAI wanted more capital, infrastructure flexibility, and room to develop its commercial operation.

No. Neither the MOU announcement nor OpenAI’s nonprofit/PBC statement announced an initial public offering, a timetable, a securities filing, or a listing plan.
A more conventional corporate structure could make future fundraising—or eventually a public offering—easier to consider. But that is a possible consequence, not an announced transaction. Readers should not interpret the restructuring as proof that OpenAI was going public.

Why the deal mattered beyond the two companies
For Microsoft and Azure
Microsoft’s relationship with OpenAI supported its broader AI strategy, including Azure-based access and enterprise products. Preserving the partnership helped avoid an abrupt disruption to Microsoft’s AI offerings, but a less exclusive relationship could give OpenAI more freedom to use competing infrastructure providers.
For OpenAI’s financing and compute needs
OpenAI’s proposed structure was designed to support a company that needed substantial outside capital and computing capacity. More flexible financing and infrastructure relationships could help it expand, although the MOU itself did not guarantee new funding or additional compute.

For enterprise customers
Businesses using OpenAI models, Azure services, or Microsoft 365 Copilot had a reason to watch the negotiations. Changes to cloud rights, licensing, or infrastructure arrangements could eventually affect how products are delivered. The September 11 announcement, however, did not announce an immediate change to customer contracts or product availability.
For investors and regulators
The proposed nonprofit-controlled PBC structure raised questions about how mission oversight, investor returns, corporate governance, and commercial decision-making would interact. OpenAI’s statement confirmed continuing work with the California and Delaware attorneys general; it did not establish that all regulatory or legal matters were resolved.
What to watch next
The most meaningful evidence of what changed would come from documents and disclosures issued after the MOU, including:
- a definitive partnership agreement;
- corporate restructuring filings;
- decisions or statements from the California and Delaware attorneys general;
- updated ownership or financing disclosures;
- specific changes to cloud exclusivity, licensing, or intellectual-property rights; and
- any formal IPO registration or financing announcement.
Because the event occurred on September 11, 2025, it should be read as a dated milestone rather than proof that the parties completed every step afterward. The official sources cited here establish the MOU and proposed structure, but they do not by themselves establish a later definitive contract or a complete revised ownership arrangement.
What this means for people choosing AI services
The MOU alone does not show that OpenAI or Microsoft products are better, cheaper, safer, or more available than alternatives. Organizations evaluating AI services should instead examine their cloud commitments, data-governance requirements, security controls, model needs, and integration plans.
Relevant official offerings include ChatGPT Business, ChatGPT Enterprise, the OpenAI API, Azure OpenAI and Azure AI services, and Microsoft 365 Copilot. Pricing, availability, contract terms, and feature sets should be checked directly with the providers because they can change.
