Omnitek Engineering Acquires Hard Rock Ready Mix and Appoints New Leadership

Omnitek’s Hard Rock Ready Mix acquisition closed October 1, 2026, for 10,000 Series A preferred shares, alongside board appointments and an executive transition.

Omnitek Engineering Corp. agreed on September 29, 2026, to acquire all membership interests in Hard Rock Ready Mix, LLC for 10,000 shares of Omnitek Series A Preferred Stock. The deal closed October 1, when Hard Rock Ready Mix became a wholly owned subsidiary. Kevin Jay Hayes Jr. and Brett Kiker joined Omnitek’s board, and Hayes took over four executive offices from Werner Funk.

Agreement and closing: two separate dates

A filing-based account states that Omnitek entered an Exchange Agreement with Hard Rock Holdco, LLC on September 29, 2026. Under the agreement, Hard Rock Holdco transferred all membership interests in Hard Rock Ready Mix to Omnitek in exchange for 10,000 shares of Omnitek Series A Preferred Stock. The transaction closed on October 1, 2026, at which point Hard Rock Ready Mix became Omnitek’s wholly owned subsidiary. The filing-based transaction account distinguishes the agreement date from the closing date.

The reported consideration is preferred stock. The account does not establish a cash purchase price or valuation, so a dollar value for the acquisition cannot be inferred from the share count alone.

Board appointments and executive changes

Kevin Jay Hayes Jr.

Hayes and Brett Kiker were appointed to Omnitek’s board on September 29. Effective October 1, Hayes became President, Chief Executive Officer, Chief Financial Officer and Secretary. The filing-based account identifies Hayes as the sole owner of Hard Rock Holdco, the entity that transferred the Hard Rock Ready Mix interests. The leadership account reports these appointment and ownership details.

The company filing describes Hayes as having served as CFO of TrueRock Holdings, Inc. since January 2020, with responsibilities including financial reporting, treasury, budgeting, banking relationships and strategic planning. This is the filing’s description of his background, not an independent assessment of his performance. The filing-based biography provides that account.

Werner Funk

Funk resigned as President, CEO, CFO and Secretary effective October 1 and became Vice President. The report describes the change in Omnitek’s top offices but does not provide further detail on the Vice President role.

Brett Kiker

Kiker joined the board on September 29. The filing describes him as a Branch Manager and Senior Broker at Edge Home Finance; it does not characterize that role as an Omnitek executive appointment. The filing-based biography identifies his outside positions.

Separate warrant disclosure

Omnitek separately issued Hawkeye Digital, Inc. a warrant on September 30, 2026, in connection with consulting services related to the transaction. Investing.com reports that the warrant was issued under a registration exemption. Its terms cover up to 16,666,667 Omnitek common shares at an exercise price of $0.004 per share, with a five-year term, cashless exercise provisions and a 4.99% beneficial ownership limitation. The stated share count is the maximum covered by the warrant, not a report that those shares have all been issued. Investing.com’s transaction and warrant report summarizes the terms.

What the announcements establish—and what they do not

The reported terms establish the exchange consideration, the change in ownership of Hard Rock Ready Mix, the board appointments and the executive-office transition. They do not quantify expected synergies, financial effects or operating results from the acquisition. The announced transaction and leadership changes therefore should not be read as evidence of a particular future business outcome.
